1 LICENSE AND OPERATIONS AGREEMENT FOR THE VETERANS MEMORIAL
HALL BETWEEN THE COUNTY OF MENDOCINO AND CITY OF FORT BRAGG This License and Operations Agreement for the Veterans Memorial Hall in Fort Bragg (“Agreement”) is entered into this ___ of __________, 2026 (“Effective Date”), by and between the County of Mendocino (“County”) and the City of Fort Bragg (“City”).
RECITALS
WHEREAS, City and County have worked collaboratively to improve the Veterans Memorial Hall in Fort Bragg, real property owned by the County located at 360 N. Harrison Street in Fort Bragg, CA, with APNs 008-183-02, as depicted in Exhibit A attached hereto, including a floorplan, and incorporated herein by this reference (the “Premises”); and WHEREAS, on June 24, 2025, County provided City with a license (the “2025 License”) to use a portion of the Premises, as depicted in Exhibit B attached hereto, allowing City to incorporate that portion of the Premises into improvements planned and now constructed primarily within the adjacent Bainbridge Park and the Premises, including landscaping, sidewalks, and other improvements; and
WHEREAS, through the 2025 License, City has already agreed to maintain the irrigation, landscaping, and site furnishings installed on the 2025 License area at its sole cost and expense; and
WHEREAS, County adopted Veterans’ Memorial Buildings Rules and Regulations on September 1, 2026 (Exhibit C), which in part provide clarity that the Board of Supervisors may enter into separate agreement with any group or organization as long as doing so does not conflict with the use and enjoyment of the Buildings by the congressionally chartered Veterans’ organizations; and
WHEREAS, City desires to license the entirety of the Premises for the purpose of operating and maintaining both the Building, and any grounds not previously encompassed within the 2025 License (the “Building”); and
WHEREAS, County is willing to license to City the Premises, subject to the current uses including by the American Legion Sequoia Post 96 and the Veterans Service Office (the “Agreed Use”) as further described herein, pursuant to the terms and conditions also set forth herein; and WHEREAS, County has determined that the license of the Premises to City under the terms of this Agreement will not result in a violation of Military and Veterans Code §1262.
NOW, THEREFORE, based on the foregoing Recitals, which are incorporated herein by this reference, and for and in consideration of the mutual covenants and conditions contained herein, the receipt and sufficiency of which is hereby acknowledged, the parties hereby agree as follows:
2 1. The Premises. The Premises to be licensed by County to City pursuant to this Agreement are depicted in Exhibit A.
2. Consideration; Term.
a. For consideration in this agreement, City will be responsible for normal maintenance and repair to the Premises during the term, and paying all utility expenses. City also agrees to reserve streetside parking adjacent to the Premises for one medical “mobile clinic” vehicle offering health services to veterans, with a frequency anticipated to include twelve days a year. County will allow City to keep the entirety of all rental revenues derived from usage of the Premises, charged in an amount that is authorized by the County Fee Schedule, as currently exists or may be amended in the future. County will exempt City from charges otherwise allowed by the Building Use Fee Schedule.
b. The initial term of this Agreement shall commence on the date on which City provides County with written notice that City is prepared to commence conducting operations at the Premises (the “Commencement Date”) and continue for three (3) License Years. This written notification must come within 90 days of the date this agreement has been signed by both parties (“Effective Date”).
c. The first “License Year” shall commence on the Commencement Date and end on June 30 of the subsequent year. Any subsequent “License Year” extensions shall commence immediately upon the conclusion of the prior License Year and be twelve (12) full calendar months in length.
d. City shall have the option to renew this Agreement for up to three (3) additional License Year extensions of one (1) year each. As used in this Agreement, the word “term” shall include the initial License Year and any applicable extension term(s). The terms for exercise of the extension options, and the conditions of renewal, are as follows:
i) Written notice of exercise of an extension option shall be given by City not later than sixty (60) days prior to the expiration of a License Year; provided, however, that if City fails to provide a written notice of exercise prior to any such deadline, City shall have the continuing right to exercise the applicable extension option until the date that is thirty (30) days after the date on which City receives a written notice from County stating that City has failed to exercise such extension option.
ii) Notice shall be given to County at the address specified in Section 18 below, or at such other place as may be designated in writing by County in accordance with Section 18 below.
iii) All terms and conditions set forth in this Agreement shall remain in full force and effect during any extension term.
3. Termination City and County shall have a continuing right to terminate this Agreement during the initial term, or an extension term, for any reason or no reason at all, upon ninety (90) days prior written notice. Said termination to be effective upon conclusion of the 3 current term unless the parties mutually agree to another date. Additional termination language is provided within this agreement under the section addressing “Defaults and Remedies”.
4. Surrender. Upon expiration or termination of this Agreement, City shall surrender the Premises to County in substantially the same condition, reasonable wear and tear excepted, as existed as of the Commencement Date, except for damages caused by casualty addressed in Section 5 and except for any damages or other conditions that are the County’s responsibility to repair or replace pursuant to the terms of this Agreement. Notwithstanding the foregoing, upon expiration or termination of this Agreement, (i) City shall leave any then-existing Improvement(s) (as defined below) owned by City or County on the Premises, and (ii) if any then-existing Improvement(s) are rented by City, City shall have the option to either (a) remove such Improvements from the Premises or (b) assign the rental agreement applicable to such Improvements to County. Any Improvements retained pursuant to clause (i) of the preceding sentence shall become part of the Premises. In connection with any assignment contemplated in clause (ii)(b) of such sentence, County shall expressly assume all obligations under the applicable rental agreement(s) and shall execute any commercially reasonable assignment agreement required by City or the lessor of any such rented Improvements.
5. Destruction of Premises. In the event the Premises are wholly or partially destroyed by casualty, County shall at its sole cost and expense, as soon as reasonably possible after the occurrence of such destruction, commence and complete reconstruction of the Premises, and this Agreement shall continue in full force and effect; provided, however, that if the Premises are wholly or partially destroyed by casualty so as to render more than fifty percent (50%) of the usable space in the Building unusable, then either County or City may, in their respective sole and absolute discretion, terminate this Agreement upon written notice delivered within thirty (30) days from such casualty without further liability of either party to the other party. In the event of any such termination, City shall surrender the Premises to County. Notwithstanding the previous sentence, City shall remain liable for the damage caused by itself or anyone acting on its behalf, and County shall have no liability to City for any interruption of business caused by any damage or destruction of the Premises.
6. Purpose. City is obligated to operate the Premises as a Veterans Memorial Hall, with usage prioritized for veterans consistent with the County of Mendocino County Veterans’ Building Rules and Regulations as adopted by the County on September 1, 2026 (as may be amended from time to time) depicted in Exhibit C. Additionally, City is allowed to use the Premises as an Emergency Operations Center, with that usage prioritized during times of declared disasters or declared emergencies. Finally, City is allowed to use the Premises as a community gathering space and center for events and meetings, both public and private, when the Premises are properly reserved (in total, the uses stated in this paragraph are the Agreed Use).
City shall not permit the Premises to be used for any illegal purpose, or in such a manner as to constitute a nuisance to others.
7. Modifications to the County of Mendocino Veterans’ Memorial Buildings Rules And Regulations with Regard to the Premises. City agrees to comply with the County of Mendocino Veterans Memorial Buildings Rules and Regulations adopted by the County on September 1, 2026, (as may be amended from time to time) depicted in Exhibit C with specific 4 modifications for City’s use of the Premises under this license agreement. The Rules and Regulations explicitly state that the Board of Supervisors is not prohibited from making a separate agreement with any group or organization as long as doing so does not conflict with the use and enjoyment of the Buildings (as defined in the Rules and Regulations) by the congressionally chartered Veterans Organizations. During the term of this agreement, requests for scheduling and use of the Premises will be made through the City. County departments, agencies and agencies of joint powers shall make requests for scheduling any use of the Premises and shall pay all required deposits and/or fees. The City shall provide notifications of building use as necessary. Further, rental fees and deposits for the Premises, as set by the County, during the term of this agreement shall be made payable to the City. City will be authorized to hold keys to the building and provide access to renters as necessary, while ensuring the Premises are secured when not in use. Requests for maintenance or repairs to the Premises will be sent to the City. City shall designate a representative to participate in meetings with the American Legion Post as necessary. City shall take no action to discontinue the current uses and users without the express written consent of the County’s Chief Executive Officer (CEO).
8. Use of Dedicated Space During the Term. The American Legion Sequoia Post 96 and the Veterans Services Office (VSO) have dedicated space in the Building as depicted in Exhibit A totaling approximately 310 square feet (the “dedicated spaces”). Subject to the agreement of the American Legion Sequoia Post 96 and the VSO, as applicable, these dedicated spaces may be shifted in the future, however it is the intent of County and City that appropriate space, not intended to exceed current aggregate totals, will remain available for both. City agrees that during the Term, the American Legion Sequoia Post 96 and VSO will have a right to occupy and use dedicated spaces without interference from City. Routine usage of the space allocated to the VSO is intended to include telehealth services offered to veterans. Routine usage of the space allocated to the VSO typically occurs during weekdays, and should not preclude other uses of the Premises during that same time.
9. City understands and agrees that existing wall decorations and memorabilia throughout the Premises may have important meaning, and the American Legion Sequoia Post 96 must be consulted in advance about any proposed changes that would impact the existing wall decorations or memorabilia.
10. Condition of Premises. Prior to the Commencement Date, County, at its sole cost and expense, shall maintain the Premises in substantially the same condition that exists as of the Effective Date. County shall deliver the Premises to City “as-is” in the condition in which the same exist upon the Commencement Date of this Agreement, including without limitation the paving, landscaping, lighting, security, striping, and other conditions that exist as of such date.
Without limiting County’s obligations set forth above with respect to the condition of the Premises as of the Commencement Date, County shall have no responsibility to improve the Premises to be suitable for the Agreed Use, or to maintain the Premises during the Term of this Agreement. City agrees to bear any and all risks, costs, and expenses incurred to complete any investigation or diligence required for City to enter into this Agreement and, except as may be expressly set forth in this Agreement, City is not relying on any information, communication, representation, or warranty of County, its employees, or agents, whatsoever in entering into this Agreement. 5 11. Operations and Maintenance. Beginning on the Commencement Date and throughout the term of this Agreement, City shall (i) operate the Premises for the Agreed Use and in accordance with all applicable laws, (ii) be responsible for compliance with the County of Mendocino Veteran’s Memorial Buildings Rules and Regulations, and (iii) be responsible for all expenses related to routine maintenance of the Premises (and any Improvements thereupon), including by: (a) maintaining all landscaping and irrigation systems serving the Premises (including the programming and maintenance and replacement, as necessary, of any irrigation controllers), (b) maintaining all lighting and electrical systems serving the Premises, (c) maintaining all draining inlets, screens and curb drains located on the Premises, (d) periodically painting the Premises (including graffiti removal), as deemed necessary by City, and (e) periodically collecting and disposing of trash that accumulates at the Premises, as deemed necessary by City. City shall provide all signage, facilities, equipment, supplies and materials that City may deem necessary to operate and maintain the Building and Premises during the term of this Agreement.
12. Improvement, Modifications, or Alterations to Premises. The Premises shall not be improved, modified, or altered without the prior written approval of County’s Chief Executive Officer. Prior to the construction of any improvements to the interior or exterior of the Building or elsewhere on the Premises, City shall inform the County of the scope of work and submit plans, if available, for review and approval by County, to include building, electrical, plumbing or other permits and related inspections as may be required. Any improvements, modifications, or alterations so approved and completed are referred to herein as “Improvements”.
13. Insurance.
a. City shall procure and maintain for the duration of the term of this Agreement the following insurance or, with County’s approval that shall not be unreasonably withheld, self-insurance with comparable insurance coverage as set forth below:
i) Comprehensive general liability insurance with respect to the Premises and the operations of or on behalf of City or its agents, representatives, officers, directors, and employees in, on or about the Premises in an amount not less than Two Million Dollars ($2,000,000) per occurrence and Four Million Dollars ($4,000,000) in the aggregate. This coverage shall include combined single limit bodily injury, personal injury, death and property damage liability. The amount of this coverage may be adjusted periodically as reasonably required by either the County or City to make the amount of such coverage reasonably comparable to the coverage maintained on other parking structures that are reasonably similar to the Premises. The policy or policies shall include that County and its officers, officials, members, employees, representatives, and agents shall be named as additional insureds under such policy or policies, with an endorsement evidencing same, and shall provide that such policy or policies shall not be terminated unless thirty (30) days’ notice has been provided to County; ii) Worker’s compensation coverage as required by the laws of the State of California together with employer’s liability coverage; provided, however, that City shall only be required to maintain such coverages for the time periods during which City has employees; and
6 iii) With respect to items of personal property located on or in the Premises and any City-owned Improvements installed upon the Premises by City, insurance against fire, vandalism and malicious mischief, and such other additional perils, hazards and risk as now are or may be included in standard “all risk” forms in general use in Mendocino County, California, for an amount equal to not less than the full current actual replacement cost thereof. In the event City receives proceeds from any such insurance during the term of this Agreement, such proceeds shall be used by City for the replacement of any such personal property and/or Improvements.
b. County, at its sole cost and expense, shall procure and maintain for the duration of the term of this Agreement a policy or policies of fire and extended coverage insurance (currently called “Causes of Loss – Special Form”) covering the Premises in an amount not less than the full replacement cost thereof (the “County Property Insurance”). c. Other Requirements.
i) Each party hereto shall provide a certificate of the insurer, certifying that each policy required to be procured by such party has been issued, providing the coverage required by this Section and containing provisions specified herein, as well as accompanying endorsements (or, if requested in writing by the other party hereto, a copy of each such policy appropriately authenticated by the insurer). Each party shall deliver such certificate or policy(ies), as applicable, to the other party hereto prior to the date City is given the right of possession of the Premises or as such other party may otherwise require, and upon renewals, not less than thirty (30) days prior to the expiration of such coverage.
ii) If City is self-insured, City shall provide evidence of said insurance to the County Chief Executive Officer or designee prior to the date City is given the right of possession of the Premises or as County may otherwise require, and upon renewals, not less than thirty (30) days prior to the expiration of such coverage.
14. Liens and Encumbrances. City shall not create or cause to be imposed, claimed, or filed upon the Premises or any portion thereof, or upon County’s interest therein, any lien (including mechanic’s liens), charge or encumbrance whatsoever. If, because of any work performed, materials furnished or obligations incurred by or for City, any such lien, charge or encumbrance shall be imposed, claimed or filed, City shall promptly cause the same to be fully paid and satisfied or otherwise discharged of record (by bonding or otherwise) and, to the extent permitted by law, City shall indemnify and save and hold County harmless from and against any and all costs, liabilities, suits, penalties, claims and demands whatsoever, and from and against any and all attorney’s fees resulting from City’s failure to satisfy or release any such lien, charge or encumbrance in a reasonable time or to defend any action or proceeding on behalf of County, at both trial and all appellate levels, resulting or on account thereof and therefrom. Upon notice from County, City shall defend any such action or proceeding on behalf of County by counsel selected by County that is reasonably acceptable to City. The provisions of this Section shall survive the expiration or termination of this Agreement. In the event that City shall fail to comply with the foregoing provisions of this Section, County, upon reasonable prior written notice to City, shall have the option of paying, satisfying, or otherwise discharging (by bonding or otherwise) such lien, charge, or encumbrance and City agrees to reimburse County, upon demand, for all sums so 7 paid and for all costs and expenses incurred by County in connection therewith, together with interest thereon not to exceed three percent (3%) per annum, or the maximum amount permitted by applicable law, whichever is lower, until paid.
15. Indemnification of County. City shall indemnify, defend, and hold harmless County and its officers, officials, employees, agents, or representatives (collectively the “County Indemnitees”) against any and all claims, demands, causes of action, damages, costs, expenses, losses and liabilities, at law or in equity (collectively, “Claims”) to the extent arising out of or relating to (i) any activity or work done, permitted, or suffered on the Premises during the term of this Agreement by or at the request of City, including any construction, maintenance, and use of any Improvements during the term of this Agreement by or at the request of City; (ii) use of the Premises and/or Improvements by City and its officers, employees, agents, representatives, invitees, patrons, or sublessees during the term of this Agreement; or (iii) the acts or omissions of City or its officers, employees, agents, or representatives acting in an official capacity in furtherance of City’s obligations under this Agreement during the term hereof. This indemnity shall specifically include the right to indemnification for any Claims to the extent arising from the negligent acts or omissions of any third party when such third party is or was on or about the Premises. Notwithstanding the foregoing, City shall have no obligation to indemnify, defend, and hold harmless the County Indemnitees for any claim, demand, cause of action, damages, costs, expenses, losses, and liabilities arising from or relating to (i) any condition or circumstance existing on or about the Premises as of the Commencement Date (including, without limitation, (a) any failure of the Premises to comply with any applicable law, and/or (b) any pre-existing environmental condition concerning hazardous substances on or under the Premises); (ii) any negligence or willful misconduct of County Indemnitee(s); or (iii) any willful, intentional or criminal act of any third party. The policy limits of any insurance of City, or other parties, are not a limitation upon the City’s obligation to indemnify County as set forth in this Agreement.
16. Taxes and Utilities. City hereby agrees to pay, if any, sales and use, transactions and use, and property taxes and assessments levied against the Premises, and any and all utility services that City may procure, for the use and operation of the Premises as authorized under this Agreement. Within thirty (30) days after the Commencement Date, County and City shall work together to transfer any and all utility services accounts applicable to the Premises from County to City.
17. Force Majeure. Except as otherwise expressly provided in this Agreement, if the performance of any act required by this Agreement to be performed by either party is prevented or delayed by reason of any act of God, strike, lockout, pandemic, labor trouble, inability to secure materials, restrictive governmental laws or regulations, or any other cause (except financial inability) not the fault of the party required to perform the act, the time for performance of the act will be extended for a period equivalent to the period of delay and performance of the act during the period of delay will be excused.
18. Defaults and Remedies.
a. The following shall constitute a default of City under this Agreement:
8 i) The failure by City to pay, by the dates and in the manner herein prescribed any monetary charges or payments that City has the obligation to pay under this Agreement, if such failure continues for more than ten (10) days after City receives written notice of such failure from County;
ii) City’s failure to perform any non-monetary obligation under this Agreement, if such failure continues for more than thirty (30) days after City receives written notice of such failure from County; provided, however, that if performance cannot be completed with thirty (30) days, such failure to perform shall not constitute a default so long as City commences to cure such failure within thirty (30) days after receipt of such notice and thereafter diligently prosecutes such cure to completion;
iii) The recording against the Premises of any lien or encumbrance in violation of this Agreement if City fails to remove said lien or encumbrance (by bonding or otherwise) within thirty (30) days after City receives written notice thereof from County. b. In the event of an uncured default under this Agreement by City, County shall have the following rights and remedies:
i) The Agreement shall continue in effect as long as County does not terminate City’s rights to possession of the Premises, and County may enforce all of its rights and remedies hereunder, including the right to recover amounts payable by City under this Agreement as they become due and payable. For as long as County does not terminate City’s rights to possession of the Premises (which, if County does so terminate, County may only do so by having notified City of the same in writing), City shall have no right to assign its interest in this Agreement and/or sublet the Premises to any party or person not otherwise disclosed in this Agreement, without the express written consent of the County Chief Executive Officer (which consent will not unreasonably be conditioned, withheld or delayed).
ii) County may terminate this Agreement, and in such event, County may declare this Agreement and City’s right to possession terminated and re-take the Premises, and remove (if any) City’s property therefrom and either dispose of the same and retain the proceeds thereof as may be allowed by law, or store the same for City at City’s sole cost and expense. In the event County elects to terminate this Agreement and City’s right to possession, County may recover as damages from City any amount necessary to compensate County for all the detriment proximately caused by City’s failure to perform City’s obligations under this Agreement and/or which in the ordinary course of things would be likely to result therefrom, including but not limited to costs and expenses incurred by County in recovering possession of the Premises, repairing the Premises (to the extent City failed to maintain the Premises in accordance with the terms of this Agreement), as well as any other fees (such as attorney’s fees) in exercising any of County’s rights and remedies under this Agreement. iii) County shall use commercially reasonable efforts to mitigate any damages caused by City’s default or breach of this Agreement; provided, however, that any efforts by County to mitigate the damages caused by City’s default or breach of this Agreement shall not waive County’s right to recover damages under the foregoing provisions. 9 iv) Nothing in this Section of this Agreement affects the right of County to indemnification for liability arising prior to the termination of this Agreement for personal injuries or property damage and set forth elsewhere in this Agreement. v) City covenants that, upon the termination of this Agreement by County after an uncured default by City, City shall surrender and deliver to County the Premises peaceably and quietly.
vi) City hereby waives any right of redemption or relief from forfeiture under Code of Civil Procedure sections 1174 and 1179, or under any other current or future law regarding the same, in the event that City is evicted or County takes possession of the Premises by reason of any default and/or breach by City.
c. County shall not be in default unless County fails to perform obligations required of County under this Agreement within a reasonable time, but in no event later than thirty (30) days after City delivers written notice of such failure to County; provided, however, that if performance cannot be completed with thirty (30) days, such failure to perform shall not constitute a default so long as County commences to cure such failure within thirty (30) days after receipt of such notice and thereafter diligently prosecutes such cure to completion.
19. Notices. Any notices, documents, correspondence or other communications concerning this Agreement may be provided by personal delivery or by certified mail, return receipt requested, or by Federal Express or another reputable overnight air-courier service, fee prepaid, and shall be addressed as set forth below. Any communication delivered by commercial overnight delivery service or personal service shall be deemed complete upon actual delivery, attempted delivery or the date delivery is refused, provided such attempted or refused delivery is made on a business day. Any communication given by certified mail shall be deemed complete on the third business day after the mailing thereof as hereinafter provided. Either party may change its address for notices by delivering a notice to the other party as provided above.

29. No Partnership or Joint Venture. Nothing in this Agreement shall be construed to render County in any way or for any purpose a partner, joint venturer, or associate in any relationship with City, nor shall this Agreement authorize either party to act as an agent for the other.

No officer, manager, director, official, employee, agent, or representative of either County or City shall be personally liable to the other party, or any successor or assign of same, in the event of any default or breach by either party, or for any amount which may become due to the other party, or any successor or assign of same, or for breach of any obligation of the terms of this Agreement.
31. Covenant Against Discrimination. City covenants for itself, successors and assigns, and all persons claiming under or through it, that there shall be no discrimination against any person on account of race, color, creed, religion, sex, marital status, national origin, ancestry, or any other protected class or characteristic under Federal or State law, in the performance of this Agreement.
