STAFF REPORT
City Council Consent Item
DATE: March 3, 2025
TO: Honorable Mayor and Council Members
FROM: Kaylyn Stainbrook, Interim Director of Parks & Recreation THRU: Amy Nilsen, City Manager
SUBJECT: Donation Acceptance from the Bob and Jennie Canevari Foundation, Inc.

STAFF RECOMMENDATION:

Staff recommends the City Council accept a $30,000 donation from The Bob and Jennie Canevari Foundation, Inc. to offset Local Non-Profit Youth Based Sports park fees.

EXECUTIVE SUMMARY:

The City of Fortuna, Parks & Recreation Department received a donation in the amount of $30,000 from The Bob and Jennie Canevari Foundation, Inc. to offset Local Non-Profit Youth Based Sports park fees.

Local Non-Profit Youth Based Sports Organizations, who provide proof of registered non-profit status and submit a Facility Rental Request Form for their season’s field use, may be eligible to receive financial assistance through the donation provided by The Bob and Jennie Canevari Foundation, Inc. until donated funds have been exhausted. In order to be eligible for financial assistance the following must be provided to the City and will then also be shared with The Bob and Jennie Canevari Foundation, Inc. prior to receiving financial assistance:
• A completed Facility Rental Request Form
• Proof of registered non-profit status
• A complete league roster of enrolled participants
• Proof of insurance
• Approval from The Bob and Jennie Canevari Foundation, Inc. to receive financial assistance
Facility Rental Request Forms that are submitted with the aforementioned supporting documents will be eligible to receive financial assistance from the donated funds on a “first come first serve” basis.

However, in an effort to prohibit a sole organization from exhausting the total donated amount, organizations may only submit one season’s field use Facility Rental Request Form at a time. Once the organization’s current season has been completed, they may submit a new Facility Rental Request Form for an additional season and may be eligible for any remaining donated funds.

The least expensive rate will be charged to the organizations account balance (either hourly field use rate or $20 per player).

Consent Item 4c

Page 2 of 2 ends

An internal transfer will be performed in order to apply donated funds to the account balance specifically for field use fees. Donation will not apply to Newburg Concession Stand Fees nor storage of assets on City property.

FISCAL IMPACT:

No financial impact. The donation in the amount of $30,000 to Parks will be applied towards outstanding receivables as Non-Profit Youth Based Sports Organizations complete and submit Facility Rental Request Forms for field use. The donation will offset revenue the department had anticipated receiving from the Youth Based Sports Organizations and that were included in the FY 24-25 budget.

RECOMMENDED COUNCIL ACTION:

Approve staff’s recommendation to accept the donation from the Bob and Jennie Canevari Foundation, Inc. Consent Agenda vote.

STAFF REPORT
City Council Business Item
DATE: March 3, 2025
TO: Honorable Mayor and Council Members
FROM: Amy Nilsen, City Manager
SUBJECT: Fortuna Business Improvement District Annual Report and By-Law Amendments
STAFF RECOMMENDATION:

Staff recommends the Council accept, with or without modification, the Fortuna Business Improvement District (FBID) Annual Report and the FBID By-Law Amendments.

EXECUTIVE SUMMARY

1. FBID By-Law Amendments
On October, 22, 2024 the FBID Advisory Committee created an FBID Ad Hoc Committee to review and update the by-laws as well as review modifying the method and basis of levying the assessment. On February 18, 2025, the FBID Advisory Committee approved by-law amendments as well as levying a flat $25 assessment as recommended by the FBID Ad Hoc Committee.

The FBID by-law amendments include:

Changes to Article II. Purpose
• Added clarifying language on purpose.

Changes to Article III. Committee Members and District City Staff Member • Removed core areas from committee members to business license holder in retail, professional and service, manufacturing/wholesale, and hospitality (four representatives). The City Council member would remain and become a voting member. This also reduces the committee members from seven to five. • Removed reference to FBID administrator.
• Added clarifying language for City staff’s role in FBID.

Changes to Article IV. Membership
• Updated language for consistency
• Provided more leeway for Advisory Committee members to be selected.

Changes to Article V. Term of Membership
• Removed reference to FBID administrator.

Business Item 5b

Page 2 of 5 ends

Article VI. Membership Duties and Responsibilities
• Provided voting privileges for the appointed City Council member. • Removed reference to FBID administrator
• Removed reference to Core areas.

Article VII. Meetings
• Added clarifying language on calling meetings.

Article IX. Agenda and Minutes and Article X. Finance
• These articles were moved to Article III.

Article XIV. Offices
• Removed this section since there is no longer an FBID administrator.

In addition, the FBID Advisory Committee recommends reinstating the assessment for Fiscal Year 2025-26 at a flat assessment of $25.00 for every business within the City of Fortuna which would generate approximately $16,500 annually.

2. FBID Annual Report
The Fortuna Business Improvement District (“FBID”) was established by the City in 1990 under the Parking and Business Improvement Area Law of 1989 (California Streets and Highways Code §§ 36500 et seq.) to benefit and promote the City’s businesses. Under the enabling statute, the Council is required to approve an annual report that contains the following information:
(1) Any proposed changes in the boundaries of FBID or in any benefit zones within the area.
(2) The improvements and activities to be provided for that fiscal year. (3) An estimate of the cost of providing the improvements and the activities for that fiscal year.
(4) The method and basis of levying the assessment in sufficient detail to allow each business owner to estimate the amount of the assessment to be levied against his or her business for that fiscal year.
(5) The amount of any surplus or deficit revenues to be carried over from a previous fiscal year.
(6) The amount of any contributions to be made from sources other than assessments levied pursuant to this part.

The annual report (Attachment 1) is before your Council. The Council may approve the report as filed or may modify the report and approve it as modified.

Business Item 5b

Page 3 of 5 ends

As noted above, FBID was established by the City for the purpose of imposing benefit assessments and charges on businesses for certain identified purposes, including:
• Promote public events which are to take place on or in public places in the district; • Decorate public places in the district;
• Furnish music in public places in the district;
• General promotion of business activities in the district; and • Demonstrate to the District through a report the use of funds, attendance, and/or community benefit.

A. PROPOSED CHANGES IN THE FBID BOUNDARIES:

There are no proposed changes to the FBID boundaries; however, as set forth below and in the annual report and by-law amendments, it is recommended that the Council remove the core area designations for the Downtown core area, the Strongs Creek core area, and the Redwood Village core area. This will reduce the number of FBID Advisory Committee Members from seven to five.

B. SUMMARY OF ACTIVITIES FOR FISCAL YEAR 2024/2025:

Calendar Year 2024
March
• Approved $360 in a one-time expense for Downtown Merchants for annual rent of a storage unit.

May
• City Council voted to not levy an assessment for FBID for Fiscal Year 2024-25.

June
• Approved $1,001 for the Fortuna Fireworks and 3rd of July Festival • Approved $7,500 for the Fortuna Downtown Business Association.

October
• Created an Ad Hoc Committee with members Kris Mobley and Fred Robinson to work with City Manager on FBID By-Laws and to consider a flat assessment. • Approved $2,500 for the Al Gray Lighted parade.
• Staff deleted FBID social media accounts and Adopt-a-Block signs were removed.

Calendar Year 2025 Year-To-Date
• Approved by-law amendments and recommendation to reinstate a flat $25.00 assessment per business.

C. BUDGET SUMMARY:

The FBID Advisory Committee reviewed and recommended that the Council accept the annual report and budget for FBID on February 18, 2024. FBID currently has no Business Item 5b

Page 4 of 5 ends

assessment for Fiscal Year 2024-25. FBID in prior fiscal years collected approximately $65,000 in assessments.

The total expenditures for Fiscal Year 2024-2025 year-to-date are $16,523.65. Total revenue for FY 2024-25 was $0.00 since no assessment was levied. If the City Council approves an assessment to be levied the proposed budget for the next fiscal year will be approved with the City’s annual budget.

The FBID fund has a current balance of $39,750 with $6,350 reserved for funding in the Redwood Village Core Area and $3,150 reserved for funding in the Strongs Creek Core Area. This leaves $30,250 that can be spent with no Core Area restrictions. The previous FBID administrator left earlier than expected in FY 2023-24 and therefore there were salary savings which explains the higher than anticipated fund balance.

D. LEVY OF ASSESSMENT
For Fiscal Year 2024-25 no assessment was levied on businesses. The FBID Ad Hoc Committee met on November 15 and 22, 2024 and December 19, 2024 where the committee considered multiple options for how the assessment should be LEVIED for Fiscal Year 2025-26. The FBID Ad Hoc recommended moving to a simplified assessment model with a flat rate of $25.00. The FBID Advisory Committee agreed with the Ad Hoc and on February 18, 2025 recommended to the City Council a flat $25.00 assessment be levied for Fiscal Year 2025-26. There are approximately 660 businesses in Fortuna and a $25.00 assessment would generate $16,500.

If an assessment is approved at a $25 flat fee and the core areas are removed, approximately $16,500 would be generated annually. This would cover “seed” money for events, or could be used to cover some of the costs to the Downtown Merchants to pay for event insurance, storage or other low cost projects. Additionally, other groups could request funding for new events or financial support for other activities consistent with the City’s municipal code. Under this model, the city would not have a staff person, and would not organize events using funds from the FBID assessment.

It is the recommendation of the FBID Advisory Committee and staff that the Council make the following changes:

1. That, without changing the overall boundaries of the District, the Council dedesignate the core areas within the District; and reassess and revise the basis and method of collection of the assessment to a flat rate of $25 per business.

A change in the amount of the assessment and the elimination of the core areas would need to be memorialized in the Council’s annual resolution declaring its intention to levy the assessment and the resolution (following a public hearing) adopting the levy for the next fiscal year. Staff is seeking direction on the proposed levy from the Council to be able to bring forward the intent to levy the assessment and the resolution at an upcoming Council meeting.

FINANCIAL IMPACT:

The FBID fund has a current balance of $39,750 with $6,350 reserved for funding in the Redwood Village Core Area and $3,150 reserved for funding in the Strongs Creek Core Area. This leaves $30,250 that can be spent with no Core Area restrictions.

4. Method and Basis of Levying the Assessment in Sufficient Detail to Allow Each Business Owner to Estimate the Amount of the Assessment

5.40.030 Benefit assessment.

All businesses, trades and professions located within the boundaries shown on Exhibit A attached to the ordinance codified in this chapter and found on file in the office of the city clerk, shall, commencing July 1, 1990, pay a benefit assessment in addition to the city business license fee, in the amounts identified in Exhibit B as amended on March 18, 2002, and attached to the ordinance codified in this chapter and found on file in the office of the city clerk.

The benefit assessment shall be payable annually during each fiscal year, as provided in FMC 5.40.080. (Ord. 2002-636 § 2; Ord. 94-595 § 2; Ord. 90-550 § 1(B)).

5.40.080 Collection of benefit assessment.

The benefit assessment authorized by the ordinance codified in this chapter shall be billed by the city as of July 1st of each fiscal year and shall be paid within 30 days thereafter. Each billing shall represent 100 percent of the annual assessment. It shall be unlawful for any person to transact and carry on any business in the city without first having paid the required Fortuna business improvement district assessment. This obligation shall be enforced by the city, pursuant to the provisions of Chapter 1.08 FMC. (Ord. 2003-640 § 1; Ord. 2002-636 § 2; Ord. 90-550 § 2).

In addition, it is recommended the assessment for Fiscal Year 2025-26 be reinstated. However, instead of an assessment based on gross receipts it is recommended a flat assessment of $25.00 for all businesses within the City of Fortuna be assessed. There are approximately 660 businesses in Fortuna which would generate approximately $16,500 annually. This recommendation means the Fortuna Municipal Code will need to be amended to address the flat assessment of $25.00 and the removal of the core areas. The reinstatement of the benefit assessment as well as the amendments to the Fortuna Municipal Code will need to be approved by the City Council through a process designated by law.

It is also recommended to move to a tiered assessment in Fiscal Year 2026-27 when the City transitions to Invoice Cloud which would allow for a three-tiered assessment based on gross receipts. The process of moving to a tiered assessment would begin in early 2026.

5. Amount of Any Surplus or Deficit Revenues to be Carried Over from Previous Fiscal Year.

The amount of money generated by the FBID Assessment to be carried over from fiscal year 2023- 24 is approximately $17,750. It is anticipated that $0 revenue will be carried over from FY 2024- 25 as no assessment was charged. The FBID fund has a current balance of $39,750 from previous fiscal years with $6,350 reserved for funding in the Redwood Village Core Area and $3,150 reserved for funding in the Strongs Creek Core Area. This leaves $30,250 that can be spent with no Core Area restrictions. The previous FBID administrator left earlier than expected in FY 23- 24 and therefore there were salary savings which explains the higher than anticipated fund balance.

If any monies are remaining from previous fiscal years, the Fortuna business assessment funds will remain in the FBID account for the next fiscal year’s activities and expenditures. The assessment funds are to be used only for FBID budget, as they are not a tax and cannot be used for general City purposes.

6. Amount of any Contributions to be Made from Sources Other than Assessments Levied The events FBID hosts are open to collecting participation fees, such as booth fees for a marketplace event and entry fees to participate in the Al Gray Lighted Parade, to name a couple possible revenue building streams. These contributions from vendors assist with offsetting the cost of the event, but the amounts collected do not completely cover the cost of the event.

STAFF REPORT
City Council Business Item
DATE: March 3, 2025
TO: Honorable Mayor and Council Members
FROM: Amy Nilsen, City Manager
SUBJECT: Professional Services Agreement with LACO Associates for Land and Water Conservation Fund (LWCF) Grants for the Newburg Park, Vancil Forest Parcel, and Riverwalk Park
STAFF RECOMMENDATION:

Authorize the City Manager to execute a contract with LACO Associates to complete three Land and Water Conservation Fund (LWCF) Grants for Newburg Park, Vancil Forest Parcel, and Riverwalk Park in an amount not to exceed $27,500.

BACKGROUND:

The City’s General Plan identified a series of Parks goals, policies, and programs to: develop and promote a balanced park system with a balance of passive and active recreation opportunities; acquire adjacent parkland; identify and adequately fund the development of new and existing parks; multi-agency coordination in planning, developing, protecting, and managing park resources; support community pool efforts; and identify and acquire lands with significant natural resources. The recent activities below support the General Plan’s goals, policies, and programs. • Acquisition of 2.66 acres of land to expand Newburg Park. • The City has received $171,000 from the California State Parks Habitat Conservation Fund grant for the proposed acquisition of approximately 6.25 acres of redwood forestland that is adjacent to a 13-acre redwood forest parcel (Vancil parcel) already owned by the City of Fortuna and the 55-acre City owned Rohner Park and Rohner Community Forest. The parcel proposed for acquisition would connect existing City owned forested properties to create a 74.25 acre contiguous publically owned forest. The City recently submitted a grant proposal to the USDA Community Forest and Open Space Conservation Program in the amount of $126,000 to complete the land acquisition. • The City received notification that the State Coastal Conservancy will award $1,000,000 to acquire 237 acres along the Lower Eel River, of which 7.2 acres, near the River Lodge, will remain with the City, while 229.6 acres will be returned to Wiyot Tribe for ceremonial purposes, restoration, and public access. This grant funding is in addition to $620,194 in grant dollars from the California Natural Resources Agency (CNRA) River Parkways grant. There is still an administrative process the City needs to pursue with the SCC to make the final acquisition
Business Item 5c

Page 2 of 3 ends

The future development of these park parcels within the City is dependent on grant funding, as the City does not currently have the financial resources to do so. Therefore, the City has been steadily working to identify development funding for Newburg Park, Vancil Forest Parcel, and Riverwalk Park.

EXECUTIVE SUMMARY:

The Land and Water Conservation Fund (LWCF) has been identified as a funding source for park’s development. The LWCF grants provide funding for the acquisition or development of land to create new outdoor recreation opportunities for the health and wellness of Californians.

There is $35 million available statewide with a maximum request of $6 million. There is a 50% match requirement. In addition, staff have worked to identify a resource to assist with grant development as is consistent in the past. LACO and Associates have previously provided technical assistance with the Riverwalk Park and therefore are in a unique position to assist the City. The grants would be developed to provide the following:

1. Newburg Park: Expand park footprint to incorporate a recently acquired adjacent parcel.

The City has prepared a concept site plan for this expansion to include soccer fields, restrooms, and a “snack shack” to support future organized outdoor recreation at the site.

2. Vancil Forest Parcel: Pursue funding for either the acquisition of the Vancil Forest parcel or for recreational development on the property, pending acquisition status prior to the LWCF deadline. The City is awaiting an award decision on a prior funding application for acquisition funds for the parcel. Should that grant be awarded, LWCF funds would be requested to develop the site. Should the previously-submitted acquisition funding application be unsuccessful, the City would like to apply for acquisition funding under LWCF.

3. Riverwalk Park: Enhance park with new recreational features based on the City’s conceptual plan. LACO supported the City in preparing an application to develop this site as a park in 2022 and will leverage materials generated during that process in developing this application.

Staff is requesting that the council authorize the City manager to execute a contract for up to $27,500 with LACO Associates for their assistance.

CLIENT agrees that LACO will have no liability for any claim regarding bodily injury or property damage alleged to arise from or be caused by the presence of or exposure to any Biological Pollutants in or around any structure. In addition, CLIENT will defend, indemnify, and hold harmless LACO from any third party claim for damages alleged to arise from or be caused by the presence of or exposure to any Biological Pollutants in or around any structure, except for damages arising from or caused by LACO’s sole negligence. The term “Biological Pollutants” includes, but is not limited to, molds, fungi, spores, bacteria, and viruses, and the byproducts of any such biological organisms.

To the fullest extent permitted by law, CLIENT agrees to defend, indemnify, and hold LACO, its agents, subcontractors, and employees harmless from and against any and all claims, defense costs, including attorney's fees, damages, and other liabilities arising out of or in any way related to LACO's reports or recommendations concerning this Agreement, LACO's presence on the project property, or the presence, release, or threatened release of asbestos, hazardous substances, or pollutants on or from the project property; provided that CLIENT shall not indemnify LACO against liability for damages to the extent caused by the negligence or intentional misconduct of LACO, its agents, subcontractors, or employees.

CLIENT waives any claim against LACO and agrees to defend, indemnify and hold LACO harmless for injury or loss which may arise as a result of (1) alleged cross-contamination of aquifers caused by sampling, (2) release of pollutants to the environment, (3) drill cuttings, fluids or other presumed hazardous materials being left on-site after containerization by LACO, (4) containing, labeling, transporting, testing, storing, or other handling of contaminated samples, (5) any work, error, omission or negligent act performed by contractors or others under not complete and direct supervision by LACO for the specific task concerned.

CLIENT is responsible for accurately delineating the locations of all underground structures and utilities. LACO will take reasonable precautions to avoid known subterranean structures, and CLIENT agrees to defend, indemnify and hold LACO harmless from any claim or liability for injury or loss, including costs of defense, arising from damage done to subterranean structures and utilities not identified or accurately located.

In the absence of special arrangements, all uncontaminated samples of soil or rocks will be disposed of by LACO sixty (60) days after submission of our report. Soil, water, rock and/or other waste materials generated during work on the project site shall remain the sole property and responsibility of CLIENT. It is CLIENT’s sole responsibility to arrange for lawful disposal of all waste materials. Soil, water, rock and/or other waste materials generated during LACO’s work efforts on behalf of the CLIENT which may be contaminated with hazardous or toxic materials or potentially hazardous or toxic materials will be containerized on the site in approved containers at such times as they may be generated. Such materials may be required by law to be characterized and disposed of within a limited time frame. Arranging for disposal of hazardous or toxic materials or potentially hazardous or toxic materials is specifically excluded from the scope of LACO’s services. Upon written request from the CLIENT, LACO may assist in coordinating or facilitating lawful disposal procedures by an appropriately-licensed contractor employed by the CLIENT. Regardless of any coordination or facilitation of disposal of hazardous or toxic materials or potentially hazardous or toxic materials by LACO on behalf of the CLIENT, CLIENT agrees to indemnify and hold harmless LACO from any claim of liability for injury, loss or environmental damage, including cost of defense, arising from any disposal of hazardous or toxic materials or potentially hazardous or toxic materials.

All laboratory and field equipment contaminated with suspected or potentially toxic or hazardous substances in performing our services will be cleaned at CLIENT's expense. Contaminated consumables will be disposed of and replaced at CLIENT's expense. Equipment (including tools) which cannot be reasonably decontaminated shall become the property and responsibility of the CLIENT. All such equipment shall be delivered to the CLIENT or disposed of in a manner similar to that indicated for hazardous samples. CLIENT agrees to pay the fair market value of any such equipment which cannot reasonably be decontaminated.

CLIENT has relied on LACO's judgement in establishing the workscope and fee for this project, given the project's nature and risks. CLIENT shall, therefore, rely on LACO's judgement as to the continued adequacy of this Agreement in light of occurrences or discoveries not originally contemplated or known. Should LACO call for contract renegotiation, LACO shall identify the changed conditions which, in LACO's judgement make such renegotiation necessary, and LACO and CLIENT shall promptly and in good faith enter into renegotiation of this Agreement to help permit LACO to continue to meet CLIENT's needs. If renegotiated terms cannot be agreed to, CLIENT agrees that LACO has an absolute right to terminate this Agreement.

GEN2007
LACO and CLIENT agree that discovery of unanticipated hazardous or toxic materials constitutes a changed condition mandating renegotiation or termination of services. LACO agrees to notify CLIENT as soon as practically possible should unanticipated hazardous materials or suspected hazardous or toxic materials be encountered. CLIENT agrees to make any disclosures required by law to the appropriate governmental agencies.

CLIENT and LACO also agree that discovery of hazardous materials may make it necessary for LACO to take immediate action to protect health and safety. CLIENT agrees to compensate LACO for all costs required for such action and other costs incident to such unanticipated discovery of hazardous or toxic materials.

CLIENT agrees that construction contractors, subcontractors or others not affiliated with LACO are solely responsible for safety at and near the project site. LACO will have no responsibility or liability for methods of work performance, supervision including selection of equipment, selection or direction of contractor's employees, or sequencing of construction other than that done by LACO's own employees. LACO will not be responsible for excavation safety, temporary slopes, shoring, underpinning, dewatering, or other construction activities of the contractor(s) and subcontractor(s).

Unless otherwise agreed, CLIENT will furnish to LACO, its agents, representatives and subcontractors right-of-entry on land for planned field operations. CLIENT will notify any and all possessors of the project site that the CLIENT has granted LACO free access to the site. LACO will take reasonable precautions to minimize damage to the site, but it is understood by CLIENT that, in the normal course of work, some damage may occur and the correction of such damage is not part of the Agreement unless so specified in the proposal or scope of work.

All documents, reports, boring logs, field and survey notes, tracings, and other documents prepared by LACO as instruments of service shall remain the property of LACO. All designs, information, reports, or recommendations prepared or issued by LACO are for the sole use of the CLIENT for the specific project for which they are prepared. CLIENT agrees not to provide such materials to any person or organization unless the person or organization agrees in writing to be bound by the conditions of this Agreement. CLIENT agrees to save and hold LACO harmless from any liability arising from any use made by CLIENT or any other party outside the intent of this Agreement.

All claims, disputes, and other matters in controversy between LACO and CLIENT arising out of or in any way related to this Agreement will be submitted to "alternative dispute resolution" (ADR) before and as a condition precedent to other remedies provided by law. If and to the extent that CLIENT and LACO have agreed on methods for resolving such disputes, then such methods will be set forth in the "Alternative Dispute Resolution Agreement" which, if attached, is incorporated into and made a part of this Agreement. If no specific ADR procedures are set forth in this Agreement, then it shall be understood that the parties will submit disputes to mediation as a condition precedent to litigation.

If a dispute at law arises from matters related to the services provided under this Agreement and that dispute requires litigation instead of ADR as provided above, then: (1) the claim will be brought and tried in the judicial jurisdiction of the Court of the county where LACO's principal place of business is located and CLIENT waives the right to remove the action to any other county or judicial jurisdiction, and (2) the prevailing party will be entitled to recovery of all reasonable costs incurred, including staff time, Court costs, attorney's fees, and other claim related expenses.

This Agreement may be terminated by either party upon ten (10) days written notice by certified mail, return receipt requested. If CLIENT elects to terminate this Agreement, CLIENT will be responsible for all charges, as computed under this Agreement, for work performed by LACO through the tenth day after mailing of the notice of termination.

The laws of the State of California will govern the validity of the terms, their interpretation and performance. If any of the provisions contained in this Agreement are held illegal, invalid, or unenforceable, the enforceability of the remaining provisions will not be impaired. Limitations of liability and indemnities will survive termination of this Agreement for any cause.
