SUBJECT: Authorization to File the Kenmar Properties LLC Major Subdivision Final Tract Map, and Accept the Dedications, Easements, and Improvements; Resolution 2025-26
STAFF RECOMMENDATION:
Adopt Resolution 2025-26, authorizing City staff to file the Kenmar Properties LLC major subdivision final tract map and accept the dedications, easements, and improvements.
DISCUSSION
On August 7, 2023, by Resolution 2023-23, the City Council approved a tentative map for a major subdivision of a 1.43-acre and 8,031-square-foot parcel, resulting in nine residential parcels ranging in size from 6,014 square feet to 14,646 square feet, and a 1.77-acre remainder vacant residential parcel. The subject parcels are located on the eastern side of Kenmar Road near Shields Lane in an established residential neighborhood of single-family homes. This project is phase 2 of a planned 3-phase subdivision. Phase 1, completed in August 2021, subdivided a 3.7-acre parcel into one developed single-family parcel and a remainder parcel. Following recordation of phase 2, phase 3 will subdivide this remainder parcel to complete the subdivision.
Fortuna Municipal Code Sections 16.04.030 and 16.16.160, and the Subdivision Map Act Section 66458 require City Council authorization to record the final tract map and City Council acceptance of dedications, easements, and public improvements.
The City Surveyor has reviewed the final tract map for conformance with the approved tentative parcel map, survey analysis, title details, compliance with the California Subdivision Map Act, Resolution 2023-23 conditions, and city ordinances. Following minor corrections, the final map will be subject to final review by the City Surveyor, City Planner, and City Engineer prior to recordation.
Public improvement installation is complete, including a new public road, sidewalk, underground utilities, and storm drainage improvements. The City Engineer has examined the improvement plan record drawings and found them to be in conformance with the requirements of the City of Fortuna improvement standards, in substantial compliance with the City’s standards and specifications, local ordinances, and project conditions of approval as specified in Resolution 2023-23. All improvements have been constructed by the developer as shown on the approved record drawings and have been inspected and accepted for public use and maintenance on behalf Consent Item 3c
of the City of Fortuna by the City Engineer as shown in Attachment B. Pursuant to Section
16.16.100 of the Fortuna Municipal Code, the applicant will enter into a subdivision maintenance agreement, in which all public improvements will be covered by a one-year warranty guaranteed with a security bond in the amount of 10% of the cost of the improvements. The cost of the improvements is $363,938; the warranty bond to be held by the city will be $36,394.
Following acceptance and authorization by the City Council and upon final City staff approval, the final tract map may be recorded once the warranty bond is posted, all required signatures are completed, City and Recorder’s fees are paid, and compliance with all conditions of Council Resolution 2023-23 is confirmed.
FISCAL IMPACT:
There is no fiscal impact to City general fund as a result of the approval of the final map and acceptance of improvements and easements. The city will be responsible for maintenance of the public improvements after release of the one-year warranty bond. Additional maintenance costs resulting from long-term maintenance of the new road and improvements will be allocated as appropriate to the City’s Road maintenance funds. Due to the small number of lots and relatively short road length, City Road maintenance cost can be absorbed into the City’s Road maintenance fund with no significant impact.
ENVIRONMENTAL REVIEW:
The approval of the final parcel map is categorically exempt from CEQA (California Environmental Quality Act) under CEQA Guidelines Title 14, Section 15268 (b) (3), Ministerial Projects, which expressly applies to approval of final parcel maps.
RECOMMENDED COUNCIL ACTION:
Motion to adopt Resolution 2025-26, A Resolution of the City Council of the City of Fortuna Authorizing Recordation of the Final Map and Acceptance of the Dedications and Improvements for Phase 2 of the Kenmar Properties LLC Subdivision. Consent Agenda vote.

SUBJECT: Amendment to the Existing Solid Waste Franchise Agreement between Recology and the City of Fortuna
STAFF RECOMMENDATION:
Authorize the City Manager to execute an amendment to the existing Franchise Agreement between Recology and the City of Fortuna for the collection of solid waste, recycling and yard waste services to extend the term from January 1, 2026 through June 30, 2026.
EXECUTIVE SUMMARY:
The City and Recology (formerly Eel River Disposal) are parties to an existing solid waste and curbside recycling franchise agreement dated January 1, 1995. The current franchise agreement expires on December 31, 2025. City staff are completing a lengthy process to develop a new franchise agreement to assist the City with compliance with new state mandate Senate Bill (SB) 1383 which requires new mandatory organics collection programs, monitoring, mandatory outreach/education programs, reporting and other requirements and gain consensus with Recology on these new provisions. Since the current agreement is very outdated, the new agreement also includes several performance standard improvements, improved reporting, and a clear transparent rate setting process. The new franchise agreement would not commence until July 1, 2026, therefore, staff recommend the amendment to the existing franchise agreement for a short-term extension from January 1, 2026, through June 30, 2026.
BACKGROUND:
The City’s current franchise agreement predates many of California’s recycling mandates and has several outdated provisions. The new franchise agreement will comply with SB 1383 and will include these new provisions:
• Provide universal organics collection for all residents and businesses; • Provide color-compliant containers (gray/black: trash, blue: recycling, green: organics); • Complete contamination monitoring, inspections, and enforcement; • Complete mandatory outreach/education programs; and
• Complete recordkeeping and reporting to the state;
Staff has been participating in a regional collaborative effort with the Cities of Arcata, Eureka, Rio Dell and the County of Humboldt to provide Fortuna residents and businesses with:
• Improved cost-effective recycling, organics, garbage programs for residents and Consent Item 3d
businesses
• Meet SB 1383 requirements and other new state mandates to avoid penalties from CalRecycle (CA agency).
• Improved performance standards, reporting and added accountability for Recology • Provide cost effective outreach/education programs to increase diversion and reduce contamination in organics and recycling
Below is a comprehensive summary of jurisdictions responsibilities under SB 1383.
Staff is working to complete the new franchise agreement in coordination with Recology and the City’s consultant, and will complete analysis of Recology’s cost proposal/related documents; staff will return to Council in the coming months with the new franchise agreement and related documents for the Council’s consideration for approval.
RECOMMENDED COUNCIL ACTION:
Motion to authorize the City Manager to execute an amendment to the existing Franchise Agreement between Recology and the City of Fortuna for the collection of solid waste, recycling and yard waste services to extend the term from January 1, 2026 through June 30, 2026. Consent agenda vote.

Consent Item 3e
STAFF REPORT
Consent Agenda Item
DATE: November 3, 2025
TO: Honorable Mayor and Council Members
FROM: Amy Nilsen, City Manager
SUBJECT: Authorize the City Manager to Execute a Contract for Professional Services Agreement with CSG Consulting for SB 1383 Compliance and Franchise Agreement Development and Approve a Supplemental Budget Request STAFF RECOMMENDATION:
Authorize the City Manager to execute a Professional Services Contract with CSG Consultants to continue to assist the City with SB 1383 compliance and the development of an updated franchise agreement and approve a supplemental budget request in the amount of $22,890.
EXECUTIVE SUMMARY:
State mandate, Senate Bill (SB) 1383, requires significant changes to solid waste management by requiring the diversion of organics from landfills and includes mandatory residential and commercial organics collection programs, mandatory route audits, mandatory outreach/education, enforcement, procurement, reporting to Cal Recycle, etc. Cities are responsible for complying by updating franchise agreements/amendments with waste haulers.
Below is a visual summary of the City’s requirements under SB 1383.
Fortuna’s current franchise agreement and subsequent amendments are outdated and without provisions to meet SB 1383 or previous mandates, e.g., AB 341, SB 1826, and lack rate setting and transparency requirements for Recology. Fortuna joined Arcata, Eureka, and the County of Consent Item 3e
Humboldt (Jurisdictions), to hire consultant CSG to develop a new SB 1383-compliant franchise agreement and provide technical assistance for sole source negotiations with Recology.
CSG developed a new franchise agreement with Fortuna to:
o Include SB 1383 requirements, contractor performance requirements, current industry standards, and reporting compliance requirements to replace outdated current agreement
o Provide cost-effective programs/services to limit rate impact on ratepayers o Ensure the contractor provides a detailed rate-setting process and has a profit margin consistent with other jurisdictions
o Ensure Recology leverages its significant resources from other regions for Fortuna. (Recology Inc. has $1 Billion in revenue, 40 operating companies in CA, Oregon, Washington, and 3,700 staff)
It should be noted; the City is working to comply with the provisions of SB 1383 and CalRecycle has issued a Corrective Action Plan (CAP) with specific tasks and completion dates for the steps necessary for the City to comply with SB 1383. Many of the tasks required of the City will become the responsibility of Recology once the Franchise Agreement is executed.
Based on the incomplete state of the franchise negotiations, additional effort is necessary to complete the negotiations with Recology and approving this contract with CSG will provide the necessary effort to continue with the franchise agreement efforts and remain in compliance with the CAP.
In addition, CSG has been helpful with organics recycling, which is a requirement of SB 1383, by facilitating conversations on how and where the City will address organics recycling. City staff will return with a staff report on organics recycling and the services Humboldt Waste Management Authority offers. HWMA provides solid waste services to other local jurisdictions, of which Fortuna is not a member, which will include organics recycling.
FINANCIAL IMPACT:
The cost for the services from CSG Consultants would be for an amount not to exceed $22,890.
The cost of the agreement was not included in the City’s fiscal year 2025-26 budget under Fund 210, Solid Waste Fund. However, Fund 210 has approximately a $50,000 reserve balance and can be used to complete the franchise negotiations.
RECOMMENDED COUNCIL ACTION
Motion to authorize the City Manager to execute the Professional Services Agreement with CSG Consultants to continue assisting the city with SB 1383 compliance and development of a franchise agreement and approve a supplemental budget request in the amount of $22,890.
Consent Agenda vote.
ALTERNATIVE TO STAFF RECOMMENDATION:
The City Council may decide to not approve the contract with CSG. However, this is not recommended as this would leave the City in a difficult position to negotiate SB 1383 mandatory Consent Item 3e
requirements with Recology and potentially place the City in noncompliance with the CalRecycle CAP.

SUBJECT: First Amendment of Loan to Debra Kay Chisum for 320 Main Street STAFF RECOMMENDATION:
Staff recommends the City Council approve a first amendment to promissory note Secured by Deed of Trust between the City of Fortuna and Debra Kay Chisum.
EXECUTIVE SUMMARY:
In 2020 the City Council authorized the City Manager to negotiate a sale of the City-owned real property located at 320 Main Street with Debra Kay Chisum, who operates a restaurant at the location. The City previously acquired the property through a judicial foreclosure sale. The material terms of the sale, which were previously approved by the Council, are as follows: the purchase price for the real property was $375,000, payable by way of a $15,000 down payment and a City carried promissory note in the amount of $360,000. The promissory note is secured by a first priority deed of trust in and to the property, as evidenced by a lender’s policy of title insurance issued by Fidelity National Title Company. The loan accrues interest at the rate of 5% per annum and, although amortized over a thirty-year period, all principal and interest is due and payable on the fifth anniversary of the close of escrow. During the five-year period, Ms. Chisum will make sixty (60) monthly payments to the City, each in the amount of $1,932.56, and a balloon payment in the amount of $330,583.29 due on November 1, 2025.
Ms. Chisum has expressed an interest in extending the balloon payment due date to allow for her to sell other properties she owns so that she can make the balloon payment. Ms. Chisum has regularly made her monthly payment and is current on her loan.
Staff recommends that the City Council approve the first amendment to the Promissory Note extending the due date of the balloon payment to April 1, 2026 while continuing interim monthly payments and maintaining all other terms in the original note.
FINANCIAL IMPACT:
The estimated earnings from interest on the extended loan terms is similar to the amount of investment interest the City would earn if the loan was paid off on the original payment date. This results in no overall fiscal impact to Fund 836, Business Loan Fund.
Consent Item 3f

Borrower further covenants that Borrower shall not do so without the prior written consent of Lender.
8. No Default. 9. Consideration. Borrower acknowledges that the extension of the Maturity Date and the continued forbearance of Lender constitute good and valuable consideration for this Amendment, the receipt and sufficiency of which are hereby acknowledged.
10. Governing Law. This Amendment shall be governed by and construed in accordance with the laws of the State of California.
11. Counterparts; Electronic Signatures. This Amendment may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile, email, or other electronic means shall be deemed original signatures for all purposes. 3 12. Entire Agreement. This Amendment, together with the Note and Deed of Trust, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous negotiations and understandings.

SUBJECT: Approve the Senior Administrative Assistant/Deputy City Clerk Candidate Advance Step Placement at Step Five (5) on the Fiscal Year 2025-26 Full-time Pay Rate Schedule
STAFF RECOMMENDATION:
Approve the Senior Administrative Assistant/Deputy City Clerk candidate, Buffy Gray, advance step placement at step five of the Fiscal Year (FY)2025-26 full-time pay rate schedule.
EXCECUTIVE SUMMARY:
Due to unforeseen circumstances, the Senior Administrative Assistant/Deputy City Clerk position was recently filled and is once again vacant. This position plays a critical role in supporting Human Resources and City Clerk’s Office, providing complex administrative support to City management, coordinating public records requests, assisting with agenda preparation, and ensuring compliance with the Brown Act, Fair Political Practices Commission filing requirements, and records retention. In addition, this position provides critical support to the City’s employee recruitment process, which is vital for the City to maintain adequate levels of service.
The selected candidate, Buffy Gray, previously served in this same role with the City from August 2017 to August 2023 providing six years of exemplary service. During that time, Ms. Gray helped develop and build out the City’s website platform, Revize, the agenda management system, Towncloud, and implemented other efficient administrative processes. She also supported numerous City Council meetings and was the Clerk responsible for the Rohner Community Park District Board, Fortuna Business Improvement District, and the Measure E Oversight Committee meetings. Ms. Gray aided in public records requests, tracking systems, and worked collaboratively with staff across multiple departments on document management and agenda procedures.
Staff is recommending hiring Ms. Gray at the advanced salary step 5 based on her proven performance and institutional knowledge. Her comprehensive understanding of the City’s operations, policies, and procedures will enable an immediate and seamless transition back into the role—minimizing onboarding and training time. This institutional knowledge is particularly valuable given the complexity of City Clerk operations and the frequent changes in regulatory requirements. Appointing Ms. Gray will save the City both time and money that would otherwise be spent on recruitment, onboard and training.
