1. OverviewandApproach1.1. AgreementThisStatementofWork(“SOW”)identifiesservicesthatOpenGov,Inc.(“OpenGov”or“we”)willperformforCityofFosterCity,CA(“Customer”or“you”)pursuanttothatorderforProfessionalServicesenteredintobetweenOpenGovandtheCustomer(“OrderForm”)whichreferencestheMasterServicesAgreementorotherapplicableagreemententeredintobytheparties(the“Agreement”).● CustomeracknowledgesandagreesthatthisStatementofWorkissubjecttotheconfidentialityobligationssetforthintheAgreementbetweenOpenGovandCustomer.● TheDeliverableslistedinAppendixBarethesinglesourceofthetruthofthedeliverablestobeprovided.● Customer’suseoftheProfessionalServicesisgovernedbytheAgreementandnotthisSOW.● UponexecutionoftheOrderFormorotherdocumentationreferencingtheSOW,thisSOWshallbeincorporatedbyreferenceintotheAgreement.● IntheeventofanyinconsistencyorconflictbetweenthetermsandconditionsofthisSOWandtheAgreement,thetermsandconditionsofthisSOWshallgovernwithrespecttothesubjectmatterofthisSOWonly.Unlessotherwisedefinedherein,capitalizedtermsusedinthisSOWshallhavethemeaningdefinedintheAgreement.● ThisSOWmaynotbemodifiedoramendedexceptinawrittenagreementsignedbyadulyauthorizedrepresentativeofeachparty.● OpenGovwillbedeployedasis,Customerhasaccesstoallfunctionalityavailableinthecurrentrelease.

2. StatementofWorkThisSOWislimitedtotheImplementationoftheOpenGovEnterpriseAssetManagement asdefinedintheOpenGovResponsibilitiessectionofthisdocument(Section2.5).Anyadditionalservicesorsupportwillbeconsideredoutofscope.

2.1. ProjectScopeUnderthisproject,OpenGovwilldelivercloudbasedEnterpriseAssetManagementsolutionstohelptheCustomerpoweramoreeffectiveandaccountablegovernment.OpenGov'sestimatedchargesandschedulearebasedonperformanceoftheactivitieslistedinthe“OpenGovResponsibilities”sectionbelow. DeviationsthatariseduringtheprojectwillbemanagedthroughtheproceduredescribedinAppendixA-2:ProjectChangeControlProcedure,andmayresultinadjustmentstotheProjectScope,EstimatedSchedule,Chargesandotherterms. Theseadjustmentsmayincludechargesonatime-and-materialsorfixed-feebasisusingOpenGov’sstandardratesineffectfromtimetotimeforanyresultingadditionalworkorwaitingtime. 2023Statement of Workv1 3

2.2. FacilitiesandHoursofCoverageOpenGovwill:A. PerformtheworkunderthisSOWremotely,exceptforanyproject-relatedactivitywhichOpenGovdetermineswouldbebestperformedatyourfacilityinCityofFosterCity,CAinordertocompleteitsresponsibilitiesunderthisSOW.B. ProvidetheServicesunderthisSOWduringnormalbusinesshours,8:30amto6:00pmlocaltime,MondaythroughFriday,exceptholidays.

2.3. KeyAssumptionsTheSOWandOpenGovestimatesarebasedonthefollowingkeyassumptions.DeviationsthatariseduringtheproposedprojectwillbemanagedthroughtheProjectChangeControlProcedure(seeAppendixA-2),andmayresultinadjustmentstotheProjectScope,EstimatedSchedule,Charges,andotherterms.PerA. TheOpenGovSuitesarenotcustomizedbeyondcurrentcapacitiesbasedonthelatestreleaseofthesoftware.B. IndividualsoftwaremodulesareconfiguredbasedondiscussionsbetweenOpenGovandCustomer.C. EnterpriseAssetManagementi. OpenGovwillprovideallservicesremotelyviaaudio;video;andwebconferencesunlessotherwisenoted.ii. OpenGovassumesthatthecustomerisresponsibleforperformingqualitycontrolmeasuresonitsdatainEAM.iii. OpenGovassumesthatthecustomerisresponsiblefortestingitsworkflows,automations,integrations,andconfigurationswithintheEAMandwillupdatetheconfigurationsaspartofitstestingandtrainingactivities.iv. OpenGovassumesthatthecustomeracceptsEAMuponthecompletionofthego-liveeventv. Ifanon-APIintegrationisincludedinscope,Customerisresponsibleforengagingthirdpartyvendortoobtaindata,configuration,and/orthirdpartyintegrationsupport.vi. IfanAPIintegrationisincludedinscope,CustomerisresponsibleforprovidingaccesstoatestinstanceofthethirdpartyAPIincludingaURL,authenticationcredentials,andrelevantdocumentation.vii. 2.4. ExclusionsThefollowingserviceitemsarenotincludedinthescopeofthisproject:

2.5. OpenGovResponsibilities

2.5.1. Activity1–ProjectManagementOpenGovwillprovideprojectmanagementfortheOpenGovresponsibilitiesinthisSOW.ThepurposeofthisactivityistoprovidedirectiontotheOpenGovprojectpersonnelandtoprovideaframeworkforprojectplanning,communications,reporting,proceduralandcontractualactivity. Thisactivityiscomposedofthefollowingtasks:

PlanningOpenGovwill:A. reviewtheSOW,contractandprojectplanwithCustomer’sProjectManagerandkeystakeholderstoensurealignmentandagreedupontimelines;B. maintainprojectcommunicationsthroughyourProjectManager;C. establishdocumentationandproceduralstandardsfordeliverableMaterials;andD. CollaboratewithyourProjectManagertoprepareandmaintaintheprojectplanfortheperformanceofthisSOWwhichwillincludetheactivities,tasks,assignments,andprojectmilestones.

ProjectTrackingandReportingOpenGovwill:A. reviewprojecttasks,schedules,andresourcesandmakechangesoradditions,asappropriate. MeasureandevaluateprogressagainsttheprojectplanwithyourProjectManager;B. workwithyourProjectManagertoaddressandresolvedeviationsfromtheprojectplan;C. conductregularlyscheduledprojectstatusmeetings;andD. administertheProjectChangeControlProcedurewithyourProjectManager.

CompletionCriteria:Thisisanon-goingactivitywhichwillbeconsideredcompleteattheendoftheServicescontract.

2.6. YourResponsibilitiesThecompletionoftheproposedscopeofworkdependsonthefullcommitmentandparticipationofyourmanagementandpersonnel. TheresponsibilitieslistedinthissectionareinadditiontothoseresponsibilitiesspecifiedintheAgreementandaretobeprovidedatnochargetoOpenGov. OpenGov'sperformanceispredicateduponthefollowingresponsibilitiesbeingmanagedandfulfilledbyyou. DelaysinperformanceoftheseresponsibilitiesmayresultindelayofthecompletionoftheprojectandwillbehandledinaccordancewithAppendixA-2:ProjectChangeControlProcedure.

2.6.1. YourProjectManagerPriortothestartofthisproject,youwilldesignateapersoncalledyourProjectManagerwhowillbethefocalpointforOpenGovcommunicationsrelativetothisprojectandwillhavetheauthoritytoactonbehalfofyouinallmattersregardingthisproject.YourProjectManager'sresponsibilitiesincludethefollowing:

A. manageyourpersonnelandresponsibilitiesforthisproject(forexample:ensurepersonnelcompleteanyself-pacedtrainingsessions,configuration,validationoruseracceptancetesting);B. serveastheinterfacebetweenOpenGovandallyourdepartmentsparticipatingintheproject;C. administertheProjectChangeControlProcedurewiththeProjectManager;D. participateinprojectstatusmeetings;E. obtainandprovideinformation,data,anddecisionswithinfive(5)businessdaysofOpenGov’srequestunlessyouandOpenGovagreeinwritingtoadifferentresponsetime;F. resolvedeviationsfromtheestimatedschedule,whichmaybecausedbyyou;G. helpresolveprojectissuesandescalateissueswithinyourorganization,asnecessary;andH. create,withOpenGov’sassistance,theprojectplanfortheperformanceofthisSOWwhichwillincludetheactivities,tasks,assignments,milestonesandestimates.

2.7. CompletionCriteriaOpenGovwillhavefulfilleditsobligationsunderthisSOWwhenanyofthefollowingfirstoccurs:

A. OpenGovaccomplishestheactivitiessetforthin“OpenGovresponsibilities”sectionanddeliverstheservicesinAppendixBaslisted,ifany;orB. TheEnddateisreached

2.8. EstimatedScheduleOpenGov will scheduleresourcesfor thisproject uponsignatureof theorder form. Unlessspecificallynoted, theOpenGovassignedproject manager willworkwithCustomerProjectManager to develop the project schedule for all requested deliverables under this SOW.OpenGov reserves the right to adjust the schedule based on the availability of OpenGovresources and/or Customer resources, and the timeliness of deliverablesprovidedbytheCustomer.

TheServicesarecurrentlyestimatedtostart withintwo(2)weeksbutnolaterthanfour(4)weeks fromsignatures and have an estimated enddateof ninemonthsafter project kickoff(“EndDate”)oronotherdatesmutuallyagreedtobetweenyouandOpenGov.

2.9. IIllustrativeProjectTimelinesThetypicalprojecttimelinesareforillustrativepurposesonlyandmaynotreflectyourusecases.

2.10. TravelExpenses
Thereisnotravelexpectedinthisproject.Shouldtravelberequested,CustomershallreimburseOpenGovforreasonableout-of-pocketexpensesOpenGovincursprovidingProfessionalServices.Reasonableexpensesinclude,butarenotlimitedto,travel,lodging,andmeals.Expensesarebilledbasedonactualcostsincurred.

2.11. OfferExpirationDateThisofferwillexpireonJuly7,2024unlessextendedbyOpenGovinwriting. 2023Statement of Workv1 8

AppendixA:EngagementCharter
A-1:CommunicationandEscalationProcedureActiveengagementthroughouttheimplementationprocessisthefoundationofasuccessfuldeployment.Tohelpassessprogress,addressquestions,andminimizeriskduringthecourseofdeploymentbothpartiesagreetothefollowing:● Regularcommunicationalignedtotheagreeduponprojectplanandtiming.○ OpenGovexpectsourcustomerstoraisequestionsorconcernsassoonastheyarise.OpenGovwilldothesame,inordertobeabletoaddressitemswhenknown.● Executiveinvolvement○ Executivesmaybecalledupontoclarifyexpectationsand/orresolveconfusion.○ Executivesmaybeneededtosteerstrategicitemstomaximizethevaluethroughthedeployment.● EscalationProcess:○ OpenGovandCustomeragreetoraiseconcernsandfollowtheescalationprocess,resourceresponsibility,anddocumentationintheeventanescalationisneededtosupportissuesraised● Identificationofanissueimpedingdeploymentprogress,outcomeorcapturingthevalueproposition,thatisnotacceptable.● CustomerorOpenGovProjectManagersummarizestheproblemstatementandimpasse.● CustomerandOpenGovProjectManagersjointlywilloutlinesolution,acceptanceorscheduleExecutivereview.● ResolutionwillbedocumentedandsignedofffollowingExecutivereview.● PhaseSign-Off○ OpenGovrequestssign-offsatvariousstagesduringtheimplementationoftheproject. A-2:ChangeOrderProcessThisSOWandrelatedeffortsarebasedontheinformationprovidedandgatheredbyOpenGov.Customersacknowledgethatchangestothescopemayrequireadditionaleffortortime,resultinginadditionalcost.Anychangetoscopemustbeagreedtoinwritingoremail,bybothCustomerandOpenGov,anddocumentedassuchviaa:● ChangeOrder-WorkthatisaddedtoordeletedfromtheoriginalscopeofthisSOW.Dependingonthemagnitudeofthechange,itmayormaynotaltertheoriginalcontractamountorcompletiondateandbepaidforbyCustomer.Changesmightinclude:o Timelineforcompletiono Signoffprocesso CostofchangeandInvoicetimingo AmendingtheSOWtocorrectanerror. 2023Statement of Workv1 9

A-3:DeliverableMaterialsAcceptanceProcedureDeliverableMaterialsasdefinedhereinwillbereviewedandacceptedinaccordancewiththefollowingprocedure:● ThedeliverableMaterialwillbesubmittedtoyourProjectManager.● YourProjectManagerwillhavedecisionauthoritytoapprove/rejectallprojectCriteria,PhaseAcceptanceandEngagementAcceptance.● Withinfive(5)businessdaysofreceipt,yourProjectManagerwilleitheracceptthedeliverableMaterialorprovideOpenGov’sProjectManagerawrittenlistofrequestedrevisions.IfOpenGovreceivesnoresponsefromyourProjectManagerwithinfive(5)businessdays,thenthedeliverableMaterialwillbedeemedaccepted.Theprocesswillrepeatfortherequestedrevisionsuntilacceptance.● Allacceptancemilestonesandassociatedreviewperiodswillbetrackedontheprojectplan.● BothOpenGovandCustomer recognizethat failuretocompletetasksandrespondtoopenissuesmayhaveanegativeimpactontheproject.● For anytasksnot yet complete, OpenGovand/orCustomerwillprovidesucientresourcestoexpeditecompletionoftaskstopreventnegativelyimpactingtheproject.● AnyconflictarisingfromthedeliverableMaterialsAcceptanceProcedurewillbeaddressedasspecifiedintheEscalationProceduresetforthinAppendixA-1.Assetforthinthe“CustomerDelays”provisionoftheAgreement,ifthereareextendeddelays(greaterthan10businessdays)inCustomer’sresponseforrequestedinformationordeliverable;OpenGovmayopttoputtheprojectonan"OnHold"status.AftertheCustomerhasfulfilleditsobligations,ProfessionalServicescanberesumedandtheprojectwillbetakenoffthe"On-Hold"status.● Puttingaproject“onHold”mayhaveseveralramificationsincluding,butnotrestricted,tothefollowing:○ ProfessionalServicestothecustomercouldbestopped;○ Delaytoanyagreedtimelines;or○ NothavingthesameProfessionalServicesteamassigned. 2023Statement of Workv1 10

SetupOpenGovwill:
● Setupahosted,sandboxandproductionOpenGovAssetManagementenvironment.● Provide an overview, up to two (2) hours, of OpenGovandArcGISOnlineuser-basedloginsandUser/Rolefunctionality.● Provideatemplatefiletobeutilizedbyyour staff topopulateRolesandUserstobeutilizedforOpenGovAssetManagement.● Utilize the template to create users and roles in OpenGov Asset Management. (Note:SubsequentUserand/orRolechangeswillbeyouradministrator’sresponsibility.)● Provide documentation and guidance, up to four (4) hours, for your technical GIS staff toconfigureEsri BasemapServicesforOpenGovAssetManagementintegration.Guidancewillbe geared towards OpenGov Asset Management/Esri integration functionality andrequirements.● Setup the OpenGov Asset Management Platform, including the Request, Work, Resource,andAsset Management areasof thesoftware.
