A RESOLUTION OF THE BOARD OF DIRECTORS OF THE ESTERO MUNICIPAL
IMPROVEMENT DISTRICT AUTHORIZING A THIRD AMENDMENT TO THE
AGREEMENT BETWEEN ESTERO MUNICIPAL IMPROVEMENT DISTRICT AND FOSTER CITY VILLAGE, INC. EXTENDING THE TERM FROM JANUARY 1, 2025 THROUGH DECEMBER 31, 2025, WITH ADDITIONAL OPTIONAL EXTENSIONS THROUGH JUNE 30, 2026 AND AUTHORIZING DISTRICT MANAGER TO APPROVE
FUTURE EXTENSIONS, FOR THE USE OF A WORK SPACE AT CITY HALL,
MEETING/CLASSROOM SPACES AS AVAILABLE AT THE COMMUNITY CENTER, AND I.T. SERVICES AND EQUIPMENT
ESTERO MUNICIPAL IMPROVEMENT DISTRICT
WHEREAS, the Foster City Village (“The Village”) is a non-profit, membership- based organization whose mission is to enable older adults to continue living in their homes and communities as they age; and
WHEREAS, the Village can deploy older adult programs and services in a way that is both cost efficient and effective to serve Foster City residents; and WHEREAS, the Village has utilized office space at the Community Center for about seven years under an annual agreement dated December 13, 2021, between the City and the Village (“Agreement”); and
WHEREAS, to the Village workspace was moved to City Hall due to programs transitioning to the Community Center during the rebuild of the Recreation Center; and WHEREAS, the initial one-year term of the Agreement concluded on December 31, 2022, and a first amendment extending the Agreement through December 31, 2023, was approved by the Board of Directors, followed by a second amendment, approved on January 16, 2024, further extending the term through December 31, 2024; and WHEREAS, Estero Municipal Improvement District and the Village mutually desire to extend the term of the Agreement for an additional one-year period through December 31, 2025 at the current annual rental rate of $3,276 with no increase implemented due to the move to smaller office space at City Hall, which extension is authorized by Section 1.2 of the Agreement; and
NOW, THEREFORE, BE IT RESOLVED that the Estero Municipal Improvement District does hereby authorize the President to sign a Third Amendment, dated December 16, 2024, extending the Agreement for an additional one-year term from January 1, 2025 through December 31, 2025, with an additional optional extension through June 30, 2026, and authorizing the District Manager to approve any future extension requests for extension of the term of the Agreement and all other conditions associated with extension requests for the use of a work space at City Hall, 2 8

meeting/classroom space as available at the Community Center, and IT services and equipment.
PASSED AND ADOPTED as a resolution of the Board of Directors of the Estero Municipal Improvement District at the regular meeting held on the 16th day of December, 2024, by the following vote:
