A RESOLUTION OF THE BOARD OF DIRECTORS OF THE ESTERO MUNICIPAL IMPROVEMENT DISTRICT AUTHORIZING (1) AWARD OF AN AGREEMENT TO KAYUGA SOLUTION, INC. (KAYUGA) IN THE AMOUNT OF $243,320 FOR
PROFESSIONAL ENGINEERING SERVICES FOR THE WATER MAIN CONDITION ASSESSMENT PROJECT (CIP 405-723); (2) A PROJECT CONTINGENCY IN THE AMOUNT OF $6,000 AUTHORIZING THE DISTRICT MANAGER TO EXECUTE CONTRACT AMENDMENTS UP TO THE CONTINGENCY AMOUNT; AND (3) FINDING THE PROJECT EXEMPT FROM CEQA UNDER SECTION 15301(B) (CLASS 1-
EXISTING FACILITIES)
ESTERO MUNICIPAL IMPROVEMENT DISTRICT
WHEREAS, at the October 21, 2024 Board Meeting, the Board of Directors adopted EMID Resolution No. 3782 approving the scope of services and authorizing the Request for Proposal (RFP) for the Water Main Condition Assessment (CIP 405-723); and
WHEREAS, the Request for Proposal was advertised and on November 20, 2024, one (1) consulting firm submitted a proposal; and
WHEREAS, as a result of a Qualification Based Selection process, Kayuga was selected by reason of their in-depth project understanding, experience and specialized skills to provide the services desired by the District; and WHEREAS, the terms and fees of the agreement have been negotiated and determined reasonable based on the scope of services to be provided; and
WHEREAS, a project contingency in the amount of $6,000 will enable expedient resolution of changes to the agreement resulting from any unforeseen conditions; and WHEREAS, sufficient funding in the amount of $250,000 exists in the project budget.
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Estero Municipal Improvement District does hereby authorize:
1. The President to execute an agreement with Kayuga, dated March 3, 2025, in an amount not to exceed $243,320 for professional engineering services for the Water Main Condition Assessment Project (CIP 405-723); and
2. The establishment of a project contingency in the amount of $6,000 with authorization given to the District Manager to execute contract amendments up to the contingency amount.

3. The project is categorically exempt pursuant to CEQA Guidelines Section 15301(b) – Existing Facilities as there is no expansion of existing or former use of the City facilities.
BE IT FURTHER RESOLVED minor, non-substantive revisions may be approved by the District Manager and the District Counsel, and any other documents may be executed as necessary to effectuate the terms of the Agreement as authorized above.
PASSED AND ADOPTED as a resolution of the Board of Directors of the Estero Municipal Improvement District at the regular meeting held on the 3rd day of March 2025, by the following vote:
