CHANGE REQUESTED BY: COMMUNITY DEVELOPMENT DEPARTMENT AND 4LEAF, INC.
Based on mutual agreement, 4Leaf, Inc. and City of Foster City agree to amend the original Agreement dated July 16, 2024 (“Agreement”) pursuant to Section 17 of the Agreement to extend the Services identified in Exhibit A (Scope of Services) and increase the compensation as follows:
1.Section 2(a) of the Agreement and Exhibit A shall be revised to amend the term of the Agreement as follows:
The term of this Agreement shall commence on July 16, 2024, and shall expire on June 30, 2027.
2.Section 3 of the Agreement is amended to add additional compensation amounts for the ongoing services which are identified as follows:
ORIGINAL AGREEMENT AMOUNT $150,000
AMOUNT OF CONTRACT AMENDMENT NO. ONE (1) $ 75,000
AMOUNT OF CONTRACT AMENDMENT NO. TWO (2) $ 100,000
AMOUNT OF CONTRACT AMENDMENT NO. THREE (2) $ 550,000
TOTAL MAXIMUM CONTRACT AMOUNT $875,000
The increased Agreement maximum is necessary to continue using 4Leaf for on-call building services, given their familiarity with ongoing projects and consistent availability.
Except as specifically modified herein, all other terms and provisions in the Agreement shall remain unchanged.
4Leaf, Inc. has given careful consideration to the amendments identified herein and agrees that if this Contract Amendment No. 3 is approved, to provide all equipment, furnish all materials except as may otherwise be noted above, and to perform all services necessary for the work, and to accept as full payment therefore the prices shown in the Agreement as amended herein.
