AMENDMENT NO. 2 TO TASK ORDER NO. PLWS-2025-01
TO MASTER PROFESSIONAL SERVICES AGREEMENT FOR ON-CALL
ENVIRONMENTAL REVIEW AND CONSULTING SERVICES
Based on mutual agreement, PlaceWorks, Inc. ("Consultant") and City/Estero Municipal Improvement District (“City/District”) agree to amend the original Task Order No. PLWS- 2025-01, dated May 19, 2025 (“Original Task Order”) pursuant to the master agreement entitled Master Professional Services Agreement For On-Call Environmental Review and Consulting Services ("Agreement") on September 19, 2023, to add additional work for specified amounts, which are identified as follows:
RECITAL
A. City/District and Consultant entered into an agreement entitled Master Professional Services Agreement For On-Call Environmental Review and Consulting Services ("Agreement") on September 19, 2023, by which the Consultant agreed to provide professional environmental review and consulting services on development applications and long-range projects and related services in accordance with Task Orders issued by the City.
B. City/District and Consultant entered into a Task Order No. PLWS-2025-01 (“Original Task Order”) on May 19, 2025 for services performed by Consultant in accordance with the Original Task Order for the amount of $139,919; C. City/District entered into a 5 percent contingency of $6,996.00 for a total amount not to exceed amount of $146,915.
D. The parties have determined that additional services are needed in the amount of $44,338, for the total revised Task Order amount of $191,253.00.
NOW, THEREFORE, THE PARTIES HEREBY AGREE AS FOLLOWS:
1. INCORPORATION BY REFERENCE. This Task Order Amendment No. 2 hereby incorporates by reference all items and conditions set forth in the Agreement and Original Task Order .
2. SCOPE OF TASK ORDER. Consultant shall perform the amended services described in Exhibit "A," attached hereto and incorporated herein by reference, in accordance with the terms and conditions of the Agreement.
3. PAYMENT. For services performed by Consultant in accordance with Original Task Order, as amended, the City will compensate Consultant in accordance with the terms and conditions of the Agreement, in an amount not to exceed $191,253.00 (including all hourly billings as well as reimbursable costs).
4. SIGNATURES. The individuals executing this Task Order Amendment No. 2 represent and warrant that they have the right, power, legal capacity, and 4 1

authority to enter into and to execute this Task Order Amendment No. 2 on behalf of the respective legal entities of the Consultant and the City.
IN WITNESS WHEREOF, the City and Consultant do hereby agree to the full performance of the terms set forth herein.

This is an Exhibit attached to and made a part of and incorporated by reference to the Master Professional Civil Engineering Services Agreement dated September 19, 2023 and to Resolution No. 2025-33 for Task Order PLWS-2025-01 approved on May 19, 2025, by and between PlaceWorks, Inc., hereinafter referred to as "CONSULTANT" and the City of Foster City/Estero Municipal Improvement District, hereinafter referred to as "CITY/DISTRICT" providing for professional services.
