· Purchaser is responsible for con®rming options, materials, quantities, etc., for completeness and conformity to plans and speci®cations.
· Changes to or cancellations of standard product orders may incur a penalty charge of 30% or more. · Orders including modi®ed or custom product (Specials and/or Studio 431) may not be cancelled. If an order is terminated by the customer, payment in full is expected for the product subtotal regardless of current project status. · Orders including modi®ed or custom product (Specials and/or Studio 431) are subject to price increase after engineering/product development is complete and approved by the customer. Modi®cations in price will be handled via change order. · All manufacturing of product, as engineered and/or designed by Landscape Forms, shall be performed exclusively by Landscape Forms or its expressly authorized af®liates or subcontractors. Customer shall not engage any third party for the manufacture of said Product without the prior written consent of Landscape Forms. · All orders that include a swing product must include an executed liability waiver to be accepted and entered into production. · Only the Material Supplier Standard Limited Warranty shall apply to all product sold by Landscape Forms. No other warranties or changes to the standard warranty will be applied or accepted. · No merchandise can be returned without authorization from Landscape Forms. Returns may be subject to a disposition fee of 30-100%.
· Prices based on quantities shown and quantity changes may affect price. · QUOTED prices are held for 60 days. After receipt of a written ORDER, prices will be held for up to twelve months from receipt of the order. Changes in quantity or speci®cation may affect pricing. Up®t and Scenic pricing will only be held for six months after receipt of a written order.
· Pricing includes selection from our standard color palette. Optional colors and custom color matches are available for an additional fee and will extend lead-time. Please contact our corporate of®ce for more information.

· Handling fees alone will apply on third party and customer pick-up orders. · Mounting hardware is only available on a limited number of products. Please consult the installation recommendations or contact our corporate of®ce to con®rm. In the event hardware is provided, it MUST be used for proper installation. · Refer to Care and Maintenance guidelines for more detailed information and instructions. · All orders ship upon completion of fabrication. A one-week grace period may be available, after which storage fees will apply. · This Agreement contains the entire understanding between the parties. All prior communications are merged into this Agreement. Balances on invoices not paid within 30 days of date of invoice, or within an alternate period of time as determined and indicated by Landscape Forms, shall incur interest at a rate of 18% per annum. Any further use, including reproduction, manufacture, or commissioning of similar designs, is prohibited without prior written consent from mmcité a.s., in accordance with U.S applicable laws.
Price and Payment Terms:
Payment:
50% Initial Deposit: This payment is required to initiate the order process. An invoice will be issued upon order confirmation, and payment is due within 7 days of the invoice date. This deposit secures your order and initiates the production or allocation of the goods. Failure to make this payment within the specified period may result in rescheduling of the production timeline or the cancellation of your order. 50% Final Payment: The remaining balance is due following the issuance of a final invoice, which will be sent prior to the scheduled delivery of the goods. The final payment must be completed within 7 days of receiving this invoice to ensure there are no delays in the delivery process. It is essential that this payment is received before delivery; failure to do so may result in a delay or rescheduling of the delivery date.
Prices Include: All necessary installation hardware.
Prices Exclude: Installation services.

Delivery and Shipping Terms:
Incoterms 2024®: DDP (Delivered Duty Paid). Includes all costs up to the point of delivery, including duties and taxes; exclude salex tax unless specifically mentioned
Standard Lead Time:
15-17 weeks for standard catalog products.
Add 2 weeks for products with special certifications or features (Resysta, stainless steel, "SMART", "NEW", "GREEN").
Add 1 week for deliveries to the West Coast.
16-25 weeks for custom-made products, detailed scheduling to be discussed.
Clients are advised to consult with us at least 16 weeks before the products are needed on-site to ensure the best delivery terms.
Transport and Handling:
Goods shipped in wooden crates/pallets. Detailed site access requirements must be provided to arrange suitable transportation.

The products labeled with "FSC® 100%" are made from wood sourced from responsibly managed forests certified in accordance with the standards of the Forest Stewardship Council® (FSC®). Our FSC® 100% certified products carry the Certificate Registration Code PBN-COC-065387-F.
Product Specifications and Compliance:
Product Quality: Designed for durability in outdoor public spaces, resistant to adverse weather and vandalism.
Customization: Prices include standard colors and materials. Non-standard options available at additional costs and may affect lead times.
Tax Notice:
Sales Tax: Any applicable taxes, including sales tax, will be additional and determined at the time of order. mmcité usa LLC meets the Nexus requirements to collect and remit sales tax in CA, FL, MA, NJ, NY, NC, PA, and VA.
Tax Calculation: At the time of this quote, sales tax usually cannot be calculated, unless otherwise stated in the above. Sales tax will be applied when the order is placed.
Tax Exemption: If your company is sales tax exempt, please provide the documentation at the time of the order.
