A RESOLUTION OF THE BOARD OF DIRECTORS OF THE ESTERO MUNICIPAL
IMPROVEMENT DISTRICT AUTHORIZING THE PRESIDENT TO EXECUTE AN AGREEMENT WITH CD & POWER IN THE AMOUNT OF $635,351.13 FOR THE PURCHASE OF SEVEN (7) EMERGENCY GENERATOR SYSTEMS, AUTOMATIC
TRANSFER SWITCHES AND ASSOCIATED EQUIPMENT FOR THE EMERGENCY GENERATOR REPLACEMENTS PROJECT (CIP 455-705) AND FINDING THE
PROJECT EXEMPT FROM THE CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) UNDER SECTION 15301(b)– EXISTING FACILITIES
ESTERO MUNICIPAL IMPROVEMENT DISTRICT
WHEREAS CIP 455-705 addresses the replacement of emergency generators and automatic transfer switches located at ten (10) of the District’s lift stations; and WHEREAS, the ten (10) emergency generator systems (Generators) and ATSs at the ten lift stations have been chosen because they have reached the end of their useful lives; and
WHEREAS, it is prudent to separately procure the equipment as District furnished items, while the project design is underway to keep its delivery in sync with the construction timeline, avoid supply chain issues including potential future price increases, and reduce potential delay claims by the installation contractor; and WHEREAS, a pre-purchase package for the three Generators and ATSs at Lift Stations 22, 29, and 59 was previously prepared, bid, and equipment ordered; and WHEREAS, at the meeting on October 20, 2025, the District Board adopted EMID Resolution No. 3824 approving the equipment procurement bid package and authorizing the call for bids for the remaining seven (7) generators, ATSs and associated equipment for Lift Station 10, 12, 14, 15, 16, 26 and 41; and WHEREAS, out of two (2) bids received and opened on November 18, 2025, CD&P submitted the apparent low responsible and responsive bid in the amount $635,351.13; and
WHEREAS, the lead time for the seven Generators and ATSs is estimated to be 30 to 50 weeks; and
WHEREAS, this action is not subject to review under the California Environmental Quality Act (CEQA) pursuant to Public Resources Code Section 21000, et seq. and the CEQA Guidelines (14 Cal. Code Regs. §§ 15000 et. seq.) as this project is exempt from the provisions of CEQA as a Class 2 (Replacement or Reconstruction) because this project will be a replacement of existing facilities on the same site for the same purpose and capacity as the structure being replaced; and WHEREAS, funding is available in the budget for CIP 455-705 Emergency Generator Replacement Project.
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Estero Municipal Improvement District does hereby authorize the President to execute an agreement with CD & Power in the amount of $635,351.13 for the purchase of seven (7) emergency generator systems, seven (7) automatic transfer switches, and associated equipment for the Emergency Generator Replacements Project (CIP 455- 705).
BE IT FURTHER RESOLVED that minor, non-substantive revisions may be approved by the District Manager and the District Board to execute any other necessary documents to effectuate the terms of the Agreement.
