A RESOLUTION OF THE BOARD OF DIRECTORS OF THE ESTERO MUNICIPAL
IMPROVEMENT DISTRICT AUTHORIZING THE DISBANDMENT OF THE AUDIT
COMMITTEE
ESTERO MUNICIPAL IMPROVEMENT DISTRICT
WHEREAS, the Audit Committee was established and appointed by the EMID Board of Directors on June 20, 1977 and its purpose was to advise the EMID Board regarding the selection of the independent auditor(s), the review of the annual audit process and financial statements, and other financial matters as requested by the EMID Board; and
WHEREAS, at the February 10, 2026 City Council/ EMID Board Annual Retreat, EMID Board reviewed the existing Citizens Advisory Committees to assess whether committees aligned with Council priorities and their effectiveness; and WHEREAS, the selection of auditors occurs once every five years, and the EMID Board may create an ad hoc committee for that purpose or provide other independent input into the auditor selection process; and
WHEREAS, the EMID Board provided direction to staff to proceed with disbanding the Audit committee.
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Estero Municipal Improvement District does hereby authorize the disbandment of the Audit Committee.
PASSED AND ADOPTED as a resolution of the Board of Directors of the Estero Municipal Improvement District at the regular meeting held on the 2nd day of March, 2026, by the following vote:
