SUBJECT: AMENDMENT NO. ONE (1) TO THE VENDOR AGREEMENT WITH CD & POWER IN THE AMOUNT OF $13,412.63 FOR THE
EMERGENCY GENERATOR REPLACEMENTS PROJECT (CIP
455-705)
RECOMMENDATION
It is recommended that the Estero Municipal Improvement District Board (District Board) adopt the attached resolution authorizing the President to execute Contract Amendment No. One (1) to the vendor agreement with CD & Power (CDP) in the amount of $13,412.63 for the Emergency Generator Replacements Project (CIP 455-705).
EXECUTIVE SUMMARY
At the January 20, 2026, Board Meeting, the District Board adopted EMID Resolution No. 3831 authorizing a vendor agreement to CDP for the purchase of seven (7) generators and seven (7) Automatic Transfer Switches (ATS) for Lift Stations 10, 12, 14, 15, 16, 26 and 41 in the amount of $653,351.13. As a result of recent performance evaluations of a similar generator at another bay area project, Freyer & Laureta, Inc. (F&L) (Design Consultant) is recommending the generator for Lift Station 41 be upsized to ensure sufficient power to run the pumps at the station. The attached Contract Amendment No. One (1)addresses the costs associated with upsizing the Lift Station 41 generator from the current 60kW to an 80kW generator. Funding
is available for this amendment in the approved project budget for the Emergency Generator Replacement Project (CIP 455-705).
BACKGROUND/ANALYSIS
CIP 455-705 consists of the replacement of generators and ATSs at ten (10) of the District’s lift stations. Due to the long lead time for the equipment, a separate equipment procurement was performed prior to the award of the construction contract to minimize the effects of supply chain issues including potential future price increases and potential delay claims by the installation contractor.
On October 20, 2025, the District Board adopted EMID Resolution No. 3824 approving the equipment procurement bid package and authorizing the call for bids for seven (7) generators and seven (7) Automatic Transfer Switches (ATS) for Lift Stations 10, 12, 14, 15, 16, 26 and
41. On January 20, 2026, the District Board adopted EMID Resolution No. 3831 authorizing a vendor agreement to CDP for the purchase of seven (7) generators and seven (7) Automatic Transfer Switches (ATS) for Lift Stations 10, 12, 14, 15, 16, 26 and 41 in the amount of $653,351.13.
On March 27, 2026, during the submittal review of the equipment, F&L made observations on a similar Bay Area project with a lift station with an identical 60kW generator and pumps to the District’s Lift Station 41. They had found that when the pumps start, they draw a high surge of power. This causes an excessive drop in voltage, which makes the motor click on and off rapidly (chattering). That chattering is a sign there isn’t enough power at start-up. Because of this, it is determined that the current 60kW generator might have difficulties starting the second pump when the first pump is running. In order to meet the operational needs of Lift Station 41, the District’s consultant recommended the District proceed with upsizing the generator to 80kW.
The District requires all generators to start and run pumps in their respective lift stations in the event of a power outage. Although the original generator for Lift Station 41 is sized to handle the loads for the station, F&L is concerned that the generator may not be strong enough to start the second pump without the motor rapidly clicking on and off, which can lead to extra wear and tear on the motors and other electrical parts, shortening their useful life.
Staff and F&L reached out to CDP to discuss the cost of upsizing the generator and CDP presented an estimate. A summary of the price impact is provided below.

Staff and the design team concluded that upsizing Lift Station 41 generator is preferred from both a financial and maintenance perspective. Upsizing the generator achieves the goal of having a generator that is capable of starting the second pump as the first pump is running without adversely affecting the useful life of other Lift Station components.
The District Board’s approval of the attached resolution will amend CDP’s vendor agreement to provide for the purchase of 80kW generator for Lift Station 41. Upon execution, CDP will provide the necessary submittal documents for review and approval by the District in order to proceed with procurement of the equipment.
It is estimated the lead time for the seven (7) new generators and ATS replacements remains approximately 30 to 50 weeks.
CALIFORNIA ENVIRONMENTAL QUALITY ACT
This action is not subject to review under the California Environmental Quality Act (CEQA) pursuant to Public Resources Code Section 21000, et seq. and the CEQA Guidelines (14 Cal. Code Regs. §§ 15000 et. seq.) as this project is exempt from the provisions of CEQA as a Class 2 (Replacement or Reconstruction) because this project will be a replacement of existing facilities on the same site for the same purpose and capacity as the structure being replaced.
FISCAL IMPACT
Funding in the amount of $13,412.63 for Contract Amendment No. 1 to the Vendor Agreement is available in the approved project budget for the Emergency Generator Replacement Project (CIP 455-705).
