A RESOLUTION OF THE BOARD OF DIRECTORS OF THE ESTERO MUNICIPAL
IMPROVEMENT DISTRICT AUTHORIZING THE PRESIDENT TO EXECUTE CONTRACT AMENDMENT NO. ONE (1) TO THE VENDOR AGREEMENT WITH CD & POWER IN THE AMOUNT OF $13,412.63 FOR THE EMERGENCY GENERATOR REPLACEMENTS PROJECT (CIP 455-705); AND FINDING PROJECT EXEMPT FROM
REVIEW UNDER THE CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) PURSUANT TO CEQA GUIDELINES SECTION 15032 (CLASS 2-EXISTING
FACILITIES)
ESTERO MUNICIPAL IMPROVEMENT DISTRICT
WHEREAS, on January 20, 2026, the District Board adopted Resolution No. 3831 authorizing an agreement with CD & Power for the purchase of seven (7) generators and seven (7) Automatic Transfer Switch (ATSs) in the amount of $653,351.13; and WHEREAS, the generator for LS 41 specified in the original agreement is 60kW; and
WHEREAS, during the submittal review process, it was determined that an 80kW generator would better support the station allowing two pumps to run more efficiently at the same time; and
WHEREAS, Contract Amendment No. 1 in the amount of $13,412.63 will allow for the purchase of an 80kW generator for Lift Station 41 to ensure adequate power is provided to the pumps; and
WHEREAS, funding for this amendment is available in the approved project budget for the CIP 455-705 Emergency Generator Replacement Project budget; and WHEREAS, the project is not subject to review under the California Environmental Quality Act (CEQA) pursuant to Public Resources Code Section 21000, et seq. and the CEQA Guidelines (14 Cal. Code Regs. §§ 15000 et. seq.) as this project is exempt from the provisions of CEQA as a Class 2 (Replacement or Reconstruction) because this project will be a replacement of existing facilities on the same site for the same purpose and capacity as the structure being replaced.
NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Estero Municipal Improvement District does hereby:
1. Find that project is categorically exempt pursuant to CEQA Guidelines Section 15032 (Class 2 – Existing Facilities); and

2. Authorize the President to execute Contract Amendment No. One (1) to the vendor agreement with CD & Power in the amount of $13,412.63 for a total contract amount not to exceed $666,763.76 for the Emergency Generator Replacements Project (CIP 455-705).
PASSED AND ADOPTED as a resolution of the Board of Directors of the Estero Municipal Improvement District at the regular meeting held on the 18 th day of May 2026, by the following vote:
