SUBJECT: FIRST AMENDMENT TO THE CONCESSION AGREEMENT

WITH EDGEWATER MARINE LLC FOR BOAT RENTAL

SERVICES, EXTENDING THE AGREEMENT THROUGH
SEPTEMBER 30, 2026

RECOMMENDATION
It is recommended that the City Council adopt the attached resolution authorizing the First Amendment to the Concession Agreement with Edgewater Marine LLC, extending the agreement term through September 30, 2026.

EXECUTIVE SUMMARY
Edgewater Marine LLC has provided boat rental concession services within Foster City since January 2021. The current Concession Agreement expires on June 30, 2026, with optional extensions through June 30, 2030. Staff recommends extending the agreement through September 30, 2026, to allow continued operation of boat rental services while providing additional time for staff to negotiate the terms of an agreement extension and to determine the most appropriate long-term operating strategy for lagoon-based recreation services.

BACKGROUND/ANALYSIS

On January 4, 2021, the City Council adopted a resolution awarding a Concession Agreement to Edgewater Marine LLC for boat rental services within Foster City. The agreement commenced on January 1, 2021, and extends through June 30, 2026, with optional extensions through June 30, 2030.

The current agreement is scheduled to expire on June 30, 2026. Staff have evaluated the ongoing operation of the concession and recommends a short-term extension through September 30, 2026, to ensure uninterrupted public access to boat rental services during the peak summer and fall recreation seasons.

The proposed extension will also provide staff with additional time to assess long-term operational needs, evaluate future concession opportunities, and determine whether modifications to the concession structure or agreement terms may be appropriate prior to exercising any remaining extension options.

Edgewater Marine has expressed its desire to continue operating the concession and has maintained a cooperative working relationship with the City throughout the term of the agreement. Staff believes the proposed extension is in the best interest of the City and its residents, as it avoids service disruptions while allowing sufficient time for a comprehensive review of future concession operations.

FISCAL IMPACT
There is no direct fiscal impact with the approval of the agreement extension. Per the current agreement, the City receives concession revenue equal to seven percent (7%) of gross revenues generated by Edgewater Marine. Approval of the extension will allow the City to continue receiving concession revenue while maintaining recreational services without additional operating costs to the City. For the period January – December 2025, the amount received from Edgewater Marine was approximately $16,778.45.
