FIRST AMENDMENT TO
AGREEMENT FOR PROFESSIONAL SERVIES FOR
CANADA GOOSE MANAGEMENT PLAN IMPLEMENTATION
The City of Foster City (“CITY) and Wildlife Innovations Inc.(“CONTRACTOR”)(collectively “the parties”) hereby amend the agreement entitled Agreement for VENDOR AGREEMENT FOR
PRODUCTS AND/OR SERVICES FOR CANADA GOOSE MANAGEMENT PLAN IMPLEMENTATION (“Agreement”), Which was Executed on August 4, 2025, as follows:
RECITALS
This First Amendment is agreed to with reference to the following facts and circumstances:
A. The initial term of the Agreement was to run from August 4, 2025 thru June 30, 2026; B. Section 2 of the Agreement provides that the term of the Agreement may be renewed by the City Council for two, one year (12 months), extended terms (“Extended Term”) as follows: First Optional Extended term will be from July 1, 2026 to June 30, 2027 and Second Optional Extended Term will be from July 1, 2027 to June 30, 2028; C. The parties now desire to amend the Agreement to evidence the City Council’s exercise of the First Optional Extended term at the agreed-upon contract price during the period of July 1, 2026 to June 30, 2027.
AGREEMENT
The Parties agree to the following: :
1. CONTRACTOR shall perform the work called for under the Agreement for an additional year, with the additional term commencing on July 1, 2026 and expiring on June 30. 2027 (“First Optional Extended Term”)
2. All other provisions of the Agreement, unless revised in this First Amendment , shall remain in full force and effect .
3. The total combined compensation and reimbursement for the costs payable to the CONTRACTOR for services performed during the First Optional Extended Term (July 1, 2026 thru June 30, 2027) shall not exceed $381,598. The total compensation paid to CONTRACTOR pursuant to the Agreement for the Initial Term and the First Optional Extended Term of the Agreement shall not exceed the amount of $771,438.
4. Any additional extension of the term of the Agreement beyond June 30, 2026 shall require an additional amendment executed by the parties. [Signatures on Next Page]
