A RESOLUTION OF THE BOARD OF DIRECTORS OF THE ESTERO MUNICIPAL
IMPROVEMENT DISTRICT AUTHORIZING THE PRESIDENT TO EXECUTE CONTRACT AMENDMENT NO. TWO (2) TO THE VENDOR AGREEMENT WITH CD & POWER IN THE AMOUNT OF $26,484.18 FOR THE EMERGENCY GENERATOR REPLACEMENTS PROJECT (CIP 455-705) (CEQA STATUS: CATEGORICALLY EXEMPT PER CEQA GUIDELINES SECTION 15302 (CLASS 2-EXISTING
FACILITIES))
ESTERO MUNICIPAL IMPROVEMENT DISTRICT
WHEREAS, on January 20, 2026, the District Board adopted EMID Resolution No. 3831 authorizing an agreement with CD & Power for the purchase of seven (7) generators and seven (7) Automatic Transfer Switch (ATSs) in the amount of $635,351.13; and WHEREAS, bidders were required to include pricing for 316 stainless steel ATS enclosures in the base bid, with an option for the District to elect painted enclosures, recognized as a lower cost option; and
WHEREAS, the bid submitted for the ATS enclosures was for gray-powder coated steel as opposed to the required 316 stainless steel; and WHEREAS, staff and CD & Power agreed to the vendor supplying the required stainless-steel enclosures at a negotiated price; and
WHEREAS, Contract Amendment No. Two (CA #2) in the amount of $26,484.18 will allow for the acquisition of 316 stainless steel enclosures for all seven (7) ATSs to ensure proper weather-resistance and minimal maintenance; and WHEREAS, the revised contract amount with CA #2, remains the lowest responsive and responsible bid, still below the amount submitted by bidder #2; and WHEREAS, funding for this amendment is available in the current agreement and approved project budget for the CIP 455-705 Emergency Generator Replacement Project budget; and
WHEREAS, the project is not subject to review under the California Environmental Quality Act (CEQA) pursuant to Public Resources Code Section 21000, et seq. and the CEQA Guidelines (14 Cal. Code Regs. §§ 15000 et. seq.) as this project is exempt from the provisions of CEQA as a Class 2 (Replacement or Reconstruction) because this project will be a replacement of existing facilities on the same site for the same purpose and capacity as the structure being replaced.

NOW, THEREFORE, BE IT RESOLVED that the Board of Directors of the Estero Municipal Improvement District does hereby authorize the President to execute CA #2 to the vendor agreement with CD & Power in the amount of $26,484.18 for the Emergency Generator Replacements Project (CIP 455-705).
PASSED AND ADOPTED as a resolution of the Board of Directors of the Estero Municipal Improvement District at the regular meeting held on the 20 th day of July 2026, by the following vote:
