A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF FOSTER CITY
APPROVING AND AUTHORIZING THE MAYOR TO EXECUTE CONTRACT AMENDMENT NO.1 IN THE AMOUNT OF $50,000 TO THE AGREEMENT TO THERMAL MECHANICAL INC. FOR CITYWIDE HEATING, VENTILATION, AND AIR
CONDITIONING (HVAC) SYSTEM REPAIR FOR A TOTAL AMOUNT NOT TO EXCEED $200,000 ANNUALLY AND FINDING PROJECT EXEMPT FROM REVIEW UNDER THE
CALIFORNIA ENVIRONMENTAL QUALITY ACT (CEQA) PURSUANT TO CEQA GUIDELINES SECTION 15301 (CLASS 1-EXISTING FACILITIES)
CITY OF FOSTER CITY
WHEREAS, the City contracts for routine HVAC service and repair because this work is specialized; and
WHEREAS, at its meeting in November 2024, the City Council approved an agreement with Thermal Mechanical, Inc. for programmed HVAC maintenance and repairs to existing equipment, including $28,277 annually for Citywide HVAC System Programmed Maintenance, and a not to exceed amount of $150,000 for unforeseen repairs, from January 1, 2025 through December 31, 2027, with two optional extensions of one year each; and
WHEREAS, due to aging HVAC infrastructure in City buildings, several systems have required urgent repair work to address failing equipment and restore heating, cooling, and ventilation in City facilities; and
WHEREAS, Contract Amendment No. 1 increases the not to exceed amount by $50,000 from $150,000 to $200,000, to provide contract authority for approximately for repairs completed during FY 2025-26, and ensure sufficient authority is in place for the remainder of the agreement; and
WHEREAS, the project is not subject to review under the California Environmental Quality Act (CEQA) pursuant to Public Resources Code Section 21000, et seq. and the CEQA Guidelines (14 Cal. Code Regs. §§ 15000 et. seq.) as this action is not subject to review under the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines section 15301 (Class 1-Existing Facilities).
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Foster City does hereby:
1. Approve Contract Amendment No. 1 in an amount of $50,000 to the agreement to Thermal Mechanical Inc. for Citywide Heating, Ventilation, and Air Conditioning (HVAC) System Repair for a total amount not to exceed $200,000 annually, and authorize the Mayor to execute the amendment; and 4 8

2. Find that this action is not subject to review under the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines section 15301 (c) (Class 1-Existing Facilities).
PASSED AND ADOPTED as a resolution of the City Council of the City of Foster City at the regular meeting held on the 20th day of July 2026, by the following vote:
