not less than five (5) years following the termination of this Agreement; or (iii) acquire a full prior acts provision on any renewal or replacement policy.

2. City/District as Additional Insured
On Contractor's Commercial General Liability and Automobile policies, the City of Foster City/Estero Municipal Improvement District, its Council members, officers, directors, agents, employees, and volunteers, shall be named as additional insured's, but only with respect to liability arising out of the activities of the named insured. Any endorsement shall be provided using one of the following three options: (i) on ISO form CG 20 10 1 1 85; or (ii) on ISO form CG 20 37 10 01 plus either ISO form CG 20 10 10 01 or CG 20 33 10 01; or (iii) on such other forms which provide coverage at least equal to or better than form CG 20 10 1 1 85.

3. Insurance terms and conditions:

3.1 Cancellation of Insurance
The above stated insurance coverages required to be maintained by consultant shall be maintained until the completion of all of Contractor's obligations under this Agreement except as otherwise indicated herein. Each insurance policy supplied by consultant shall not be suspended, voided, cancelled or reduced in coverage or in limits except after ten (10) days written notice by Contractor in the case of non-payment of premiums, or thirty (30) days written notice in all other cases. This notice requirement does not waive the insurance requirements stated herein. Contractor shall immediately obtain replacement coverage for any insurance policy that is terminated, canceled, non-renewed, or whose policy limits have been exhausted or upon insolvency of the insurer that issued the policy.

3.2 All insurance shall be issued by a company or companies admitted to do business in California and listed in the current "Best's Key Rating Guide" publication with a minimum rating of A-; VII Any exception to these requirements must be approved by the City/District Risk Manager.

3.3 If Contractor is, or becomes during the term of this Agreement, self-insured or a member of a self-insurance pool, Contractor shall provide coverage equivalent to the insurance coverages and endorsements required above. The City/District will not accept such coverage unless the City/District determines, in its sole discretion and by written acceptance, that the coverage proposed to be provided by Contractor is equivalent to the above-required coverages.

3.4 For any claims related to the Agreement, the Contractor’s insurance coverage shall be primary insurance coverage at least as broad as ISO CG 20 01 04 13 as respects the City/District, its officers, officials, employees, and volunteers. Any insurance or self-insurance maintained by the City/District, its officers, officials, employees, or volunteers shall be excess of the Contractor’s insurance and shall not contribute with it.

3.5 Insurance coverages in the minimum amounts set forth herein shall not be construed to relieve Contractor for any liability, whether within, outside, or in excess of such coverage, and regardless of solvency or insolvency of the insurer that issues the Item 6.4

Page 301 of 342 ends

coverage; nor shall it preclude the City/District from taking such other actions as are available to it under any other provision of this Agreement or otherwise in law.

3.6 Failure by Contractor to maintain all such insurance in effect at all times required by this Agreement shall be a material breach of this Agreement by Contractor.

City/District, at its sole option, may terminate this Agreement and obtain damages from Contractor resulting from said breach. Alternatively, City/District may purchase such required insurance coverage, and without further notice to Contractor, City/District shall deduct from sums due to Contractor any premiums and associated costs advanced or paid by City/District for such insurance. If the balance of monies obligated to Contractor pursuant to this Agreement are insufficient to reimburse City/District for the premiums and any associated costs, Contractor agrees to reimburse City/District for the premiums and pay for all costs associated with the purchase of said insurance. Any failure by City/District to take this alternative action shall not relieve Contractor of its obligation to obtain and maintain the insurance coverages required by this Agreement.

3.7 Should any of the required insurance (other than errors and omissions insurance) be provided under a form of coverage that includes a general annual aggregate limit or provides that claims investigation or legal defenses costs be included in such general aggregate limit, such general annual aggregate limit shall be double the occurrence or claims limit specified above.

3.8 City/District may (but is under no obligation to) secure project-specific insurance, wrap-up insurance, or administer an owner-controlled insurance program ("OCIP"), in which case Contractor and its subconsultants shall communicate this fact to their insurance carriers and request that the risk of this project be excluded from their practice policies. Contractor's fees under this Agreement (and the fee of its subconsultants under subconsultant agreements) shall be reduced by the amount of insurance premiums that may be avoided by consultant and its subconsultants by virtue of the City/District's obtaining the project-specific insurance, wrap-up insurance or administering an OCIP, and the exclusion of this project from coverage of Contractor's and subconsultants policies.

Construction Manager and its subconsultants shall afford City/District access to their books and records and cooperate with City/District in verifying the amount of savings realized.

SUBJECT: Task Order with Verde Design, Inc. For On-Call Professional Engineering Services for the Installation of Lights at Boothbay Park Project (CIP 301-713) in the Amount of $65,500 and a Design Contingency of $8,000

RECOMMENDATION
It is recommended that the City Council adopt the resolution authorizing:

1. Mayor to execute Task Order VRD-2026-01 with Verde Design, Inc. in the amount of $65,500 for professional engineering services for CIP 301-713 Light Installation at Boothbay Park; and

2. Establishment of a contingency in the amount of $8,000 with authorization given to the City Manager or his designee, to execute contract amendments up to the contingency amount; and

3. Finding the approval of Task Order VRD-2026-01 exempt from review under the California Environmental Quality Act (CEQA) pursuant to CEQA Guidelines section 15301(Class 1-Existing Facilities).

EXECUTIVE SUMMARY
Item 7.1

Page 320 of 342 ends

CIP 301-713 consists of the design and installation of new light fixtures to illuminate the existing four (4) tennis courts at Boothbay Park. The addition of lights will allow the community and user groups to enjoy the park amenity in the evening hours, particularly in fall, winter, and spring. Staff reviewed three proposals from on-call consultants and selected Verde Design, Inc. for design services based on their qualifications and experience.

Existing funding of $250,000 is available in the project budget. An additional $750,000 will become available in FY2027-28, after the completion of the construction contract documents. The current City Council action will allow staff to award the project for design with anticipation of construction aligning with the start of FY2027-28.

BACKGROUND
Boothbay Park is a recreational space in Neighborhood 8 that offers a diverse range of amenities including a softball field, soccer field, beach volleyball court, playground, gazebo, full basketball court, walking paths, and four (4) tennis courts. The park has benches throughout and a full service bathroom for all day recreation and enjoyment.

CIP 301-713 intends to prolong the usable hours of the park by installing lights at the tennis courts. The project will also consider the future lighting of the basketball court with ready-made designs. The addition of lights will expand the hours that the community and user groups can take advantage of the sport courts and increase overall capacity in the City for greater play.

On December 15, 2025, the City Council adopted City Resolution No. 2025-108 approving the the City’s Parks System Master Plan (Plan). The Plan outlines capital improvement recommendations for each Foster City park including Boothbay. These recommendations reflect a thorough assessment and review of every park, building on the community’s priorities for greater activation, comfort, and overall park experience.

Recommendations are supported by conceptual designs which illustrate opportunities to enhance recreation amenities, comfort, and ecological function while preserving Foster City’s distinctive character (see Attachment 3 - Parks Master Plan - Boothbay).

While the Plan provides a guide to the City for future park planning projects, individual projects and recommendations will be fully scoped and vetted through the City’s annual budget process and Capital Improvement Plan development. Projects such as the one proposed is subject to this review and consideration by the City Council.

On July 20, 2026, the City Council/EMID Board adopted City Resolution No. 2026-77 and EMID Resolution No. 3861 and approved a Master Services Agreement with Verde Design, Inc. under which the City/District can access on-call civil engineering services through the issuance of Task Orders. Verde was selected through a competitive process, in accordance with the City’s purchasing policy. Verde has supported the City Item 7.1

Page 321 of 342 ends

through numerous CIP projects including work at Sea Cloud, Catamaran, Edgewater, and Port Royal Parks in the past and is fully qualified to provide design services for CIP 301-713.

ANALYSIS
Staff received three proposals from on-call designers for the installation of lights at Boothbay Park. Verde was selected based on their qualifications and demonstrated experience in similar projects.

The services to be provided by Verde include illumination and photometric studies, civil, structural, and electrical designs, preparation of plans, specifications, and cost estimates, bidding and construction support, and public outreach efforts.

Verde’s designs are thoughtful and intentional in order to reduce impact to properties adjacent to the park. Design choices such as height of the poles, angle of the lights, and auxiliary accessories such as shields will be considered to minimize impacts on nearby residential homes. Verde has additionally allocated time and resources to support the City’s public outreach efforts in order to address questions and concerns from the community.

Staff recommend onboarding Verde to assist with the community outreach process for the project, as they will provide important technical expertise which will help address questions and potential concerns that may arise for this type of project. Staff intend to work closely with Verde in crafting a community engagement strategy to ensure that all project stakeholders are informed and invited to participate in the project decision making.

No further improvements have been identified as part of the project. The existing courts, including perimeter fencing and the court surfaces, as well as exterior areas, will not be part of the project improvements (other than replacement as needed for accommodating trenching and lighting related improvements).

BOOTHBAY PARK
Community Park
Area: 11.21 acres
Boothbay Park is an 11.2-acre community park,
well-connected to surrounding neighborhoods
and offering a variety of amenities, including
playgrounds, sports courts, open lawns, and
a group picnic area. The assessment and
engagement process highlighted opportunities
to enhance comfort, accessibility, and yearround usability through improvements such as shade, updated amenities, and better
circulation and lighting.

The proposed design emphasizes enhanced
play, flexible gathering spaces, and overall
site improvements, including an all-abilities
play area, a central plaza for events, and a
multi-purpose lawn for sports and informal
recreation. The vision is a more functional,
accessible, and versatile park that supports
a broad range of recreational and social
activities.

Additional Improvements:
• Pathway lighting
• Benches
• Bike racks
• Recycling/compost/trash receptacles
• Water bottle refill/dog water stations
• Irrigation upgrade (expand coverage,
replace piping wiring and sprinklers)
Boothbay Park offers a variety of amenities, from
picnic areas (top) to playgrounds (bottom).

Design Ideas

ENHANCED PLAY
Create a unique all-abilities play area,
which provides a challenging and interesting
experience for kids. Consider age and mobility
needs in the design. Select accessible surfacing
(EWF, pour-in-place, etc.)

CENTRAL HUB PLAZA
Reconfigure central plaza to accommodate
larger group gatherings - cultural events (i.e.
taichi, etc.) and parties. Provide shade and
seating.

PICNIC SITES
Create two reservable (one large, and one
medium) and non-reservable picnic areas,
dispersed throughout the site and wellintegrated into the existing path network.

MULTIPURPOSE LAWN
A multi-purpose lawn would accommodate
organized and unstructured sports, such
as soccer, cricket, Frisbee, and other group
activities.
