The next Regular Meeting of the Fountain Valley City Council is April 16, 2024 at 6:00 p.m., in the Fountain Valley Council Chambers, 10200 Slater Avenue, Fountain Valley.

City of Fountain Valley
Memorandum
TO: Honorable Mayor and City Council
FROM: Colin Burns, Attorney for the City
Rick Miller, City Clerk-Risk Administrator
DATE: April 2, 2024
SUBJECT: Study Session on Transient Occupancy Taxes
______________________________________________________________________________ EXECUTIVE SUMMARY:

At the March 19, 2024, Council Member Constantine requested that staff bring back the Transient Occupancy Tax item for further discussion, which was seconded by Mayor Pro Tem Bui. This study session will include a discussion on legal issues associated with Transient Occupancy Taxes, comparative data regarding neighboring jurisdictions, and procedural discussions for increasing City’s TOT, if desired.

DISCUSSION:

Cities may impose a “transient occupancy tax” on persons staying 30 days or less in hotels, motels, and similar lodgings. (Rev. and Tax Code (RTC) §§ 7280 et seq.) Some TOTs are expressed as a flat rate per night, while most are expressed as a percentage of the room rate, including Fountain Valley’s current TOT. Imposing or increasing a TOT is subject to constitutional voter approval requirements.

TOT is imposed on “the privilege of occupying a lodging.” (RTC 7280.) The hotel operator collects the tax from lodgers and remits the tax to the City.

The City’s current TOT is 9%. Staff surveyed surrounding jurisdictions’ TOT rates and found a range of 8% to 15%. The City’s current 9% TOT rate provides revenue of $1,522,874.80 annually.

Based on current revenue levels, Staff anticipates that each percentage increase in the TOT rate would result in an additional $169,208.31 of revenue for the City.

Staff is requesting that the City Council receive and file Staff’s presentation and is seeking City Council’s direction on whether to move forward with a potential TOT ballot measure.

CITY OF FOUNTAIN VALLEY

CITY COUNCIL

COUNCIL ACTION REQUEST
To: Honorable Mayor and Agenda Date: April 2, 2024
Members of the City Council
SUBJECT: Award of Contract to Placeworks to Provide Environmental Services for Proposed Euclid & Heil Project located at 16300 Euclid Street (Northeast Corner of Euclid Street and Heil Avenue)
Three-Year Strategic Goals
☐ Enhance the culture and environment of “A Nice Place to Live” ☐ Attract and retain revenue producing businesses
☐ Achieve fiscal stability in accordance with the 20-Year Financial Plan ☐ Attract and retain quality staff
☒ Not applicable

EXECUTIVE SUMMARY
EPD Solutions has submitted a request, on behalf of the property owner (Shopoff Realty Investments), to construct a 626 unit development consisting of a 5-story wrap apartment building with 407 units, 183 3-story townhomes, and 36 2-story attached triplex units located at 16300 Euclid Street (“Project”). The Project will include the processing of a Precise Plan for the construction of the Project, a Conditional Use Permit for the use of multi-family dwellings in a R4 – High Density Multiple Dwelling zone, a Tentative Parcel Map for the subdivision of the existing property, and a Density Bonus and Affordable Housing Agreement for the proposed density bonus and affordable units proposed for the Project.

Pursuant to the provisions of the California Environmental Quality Act (“CEQA”), an environmental assessment must be conducted to identify any potential environmental impacts associated with the proposed project before the Planning Commission considers the Project. The applicant will be responsible for paying the cost of the environmental assessment plus staff time to review. Additionally, the applicant has requested a streamlined review of the Project per SB 330 which dictates, among other things, that the city has 90 days to review a housing development project before its deemed complete.

DISCUSSION
EPD Solutions has submitted a request, on behalf of the property owner (Shopoff Realty Investments), to construct a 626 unit development consisting of a 5-story wrap apartment building with 407 units, 183 3-story townhomes, and 36 2-story attached triplex units located at 16300 Euclid Street.

The city is currently in the process of conducting a Request for Qualifications (RFQ) process to select up to six (6) qualified consultants the city can utilize in the future for environmental review of projects, but has yet to complete the review process. Due to the applicant requesting a SB 330 expedited review of the Project, staff sent requests for proposals (RFP’s) to three (3) of the qualified professional private planning firms that are currently being evaluated through the RFQ process – Dudek, LSA Associates, Inc., and Placeworks. Staff has

evaluated each proposal and, based on the scope of work and budget, recommends the City Council aware the contract to Placeworks.

Placeworks is familiar with the site of this Project, the city, and the technical studies utilized for the General Plan Update as they prepared and gained approval of the General Plan Update EIR on November 21, 2023.

The proposal submitted by Placeworks will prepare an Addendum to the 2023 certified Environmental Impact Report (“EIR”) for the General Plan Update in conformance with CEQA Guidelines. The Addendum will analyze project-specific impacts as well as any changes in circumstances since the EIR was certified that could result in new or greater significant impacts than were identified in the certified EIR. The analysis will include technical studies including an air quality/greenhouse gas analysis, energy analysis, noise and vibration analysis, water supply assessment, and a peer review of the applicant’s transportation impact analysis and level of service traffic study.

The following is a breakdown of Placeworks proposal.

Cost Estimate
Project Initiation and Project Description $4,728
Technical Analysis $47,997
Peer Review of VMT and LOS (Option 2) $9,900
Administrative Draft Addendum $27,061
Public Draft and Final Addendum $5,411
Mitigation Monitoring and Reporting Program $2,183
Notice of Determination $862
Meetings and Hearing Preparation $4,489
Project Management $9,486
Reimbursable Expenses $529
Total $112,642

FINANCIAL REVIEW
There is no financial impact associated with approving the proposed contract. The Project applicant has submitted a check in the amount of $129,538.30 which is the combination of the contract price of $112,642 and $16,896.3 (15% of the contract price) as required by the 2020-2021 Comprehensive Fee Schedule (Resolution No. 9778) adopted by the City Council on February 2, 2021. The 15% fee is required for staff review of the environmental document.

The total Project breakdown cost is below.

Placeworks: $112,642.00
15% for staff review (Resolution 9778): $16,896.30
Project Total: $129,538.30
The cost of services for the Project will exceed the amount in Account 42209 CEQA Clearance Fee (EIR). As such, staff is requesting a budget amendment of Account 42209 from $100,000 to $250,000 to account for this Project as well as the environmental review of a project that was submitted for the former Boomers site on March 5, 2024.

Upon termination of the AGREEMENT pursuant to this section, CONSULTANT will submit an invoice to CITY detailing work performed up to the time of termination.

9. DEFAULT OF CONSULTANT
(a) CONSULTANT's failure to comply with the provisions of this AGREEMENT shall constitute a default. If CONSULTANT is in default for cause under the terms of this AGREEMENT, CITY shall have no obligation or duty to continue compensating CONSULTANT for any work performed after the date of default and can terminate this AGREEMENT immediately by written notice to CONSULTANT. If such failure by the CONSULTANT to make progress in the performance of work hereunder arises out of causes beyond CONSULTANT's control, and without fault or negligence of CONSULTANT, it shall not be considered a default.
(b) As an alternative to the procedure for immediate termination for default set forth in subparagraph (a), if CITY determines that CONSULTANT is in default in the performance of any of the terms or conditions of this AGREEMENT, CITY may in its discretion cause to be served upon CONSULTANT a written notice of the default and demand to cure. CONSULTANT shall have ten (10) calendar days after service upon it of said notice to cure the default by rendering a satisfactory performance. If CONSULTANT fails to cure its default within such period, CITY shall have the right, notwithstanding any other provision of this AGREEMENT, to terminate this AGREEMENT without further notice and without prejudice to any other remedy to which it may be entitled at law, in equity, or under this AGREEMENT.

10. OWNERSHIP OF DOCUMENTS
(a) CONSULTANT shall maintain complete and accurate records with respect to the plans, specifications, estimates, drawings, design calculations, letters, reports, testing results, and other such information including as-built records as required by CITY that relate to the performance of services under this AGREEMENT. CONSULTANT shall maintain adequate records of services provided in sufficient detail to permit an evaluation of services.

All such records shall be maintained in accordance with generally accepted accounting principles and shall be clearly identified and readily accessible. CONSULTANT shall provide free access to the representatives of CITY or its designees at reasonable times to such books and records; shall give CITY the right to examine and audit said books and records; shall permit CITY to make copies and transcripts therefrom as necessary; and shall allow inspection of all work, data, documents, proceedings, and activities related to this AGREEMENT. (b) Upon completion, termination, or suspension of this AGREEMENT all plans, specifications, engineer’s estimates, and other documents prepared in the course of providing the services to be performed pursuant to this AGREEMENT shall become the sole property of CITY and may be used, reused, or otherwise disposed of by CITY without the permission of CONSULTANT.

With respect to computer files, CONSULTANT shall make available to CITY, at CONSULTANT’s office and upon reasonable written request by CITY, the necessary computer software and hardware for purposes of accessing, compiling, transferring, and printing computer files.

11. INDEMNIFICATION
(a) Indemnification for Professional Liability.
(i) Indemnification for Professional Liability Generally. When the law establishes a professional standard of care for CONSULTANT’s services, to the fullest extent permitted by law, CONSULTANT shall indemnify, protect, defend, and hold harmless CITY and any and all of its officials, employees, and agents (“INDEMNIFIED PARTIES”) from and against any and all losses, liabilities, damages, costs, and expenses, including attorney’s fees and costs to the extent the same are caused in whole or in part by any negligent or wrongful act, error, or omission of CONSULTANT, its officers, agents, employees, or subconsultants (or any entity or individual that CONSULTANT shall bear the legal liability thereof) in the performance of professional services under this AGREEMENT.
(ii) Indemnification for Services of a Design Professional. If this AGREEMENT is for design professional services, CONSULTANT’s duty to defend, indemnity, and hold CITY harmless for CONSULTANT’s design professional liability shall be as provided in this paragraph. To the fullest extent permitted by law, CONSULTANT shall indemnify, protect, defend, and hold harmless INDEMNIFIED PARTIES from and against any and all losses, liabilities, damages, costs, expenses, and claims, including attorney’s fees and costs, to the extent the same arise out of, pertain to, or relate to the negligence, recklessness, or willful misconduct of the CONSULTANT. In no event shall the cost to defend charged to the CONSULTANT exceed the CONSULTANT’S proportionate percentage of fault. CONSULTANT shall not be liable for any injuries or property damage resulting from the reuse of the design at a location other than that specified in this AGREEMENT without the written consent of CONSULTANT. (b) Indemnification for Other Than Professional Liability. Other than in the performance of professional services and to the full extent permitted by law, CONSULTANT shall indemnify, defend, and hold harmless CITY, and any and all of its employees, officials, and agents from and against any liability (including liability for claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, losses, expenses, or costs of any kind, whether actual, alleged, or threatened, including attorney’s fees and costs, court costs, interest, defense costs, and expert witness fees), where the same arise out of, are a consequence of, or are in any way attributable to, in whole or in

part, the performance of this AGREEMENT by CONSULTANT or by any individual or entity for which CONSULTANT is legally liable, including but not limited to officers, agents, employees, or subconsultants of CONSULTANT.
(c) General Indemnification Provisions. CONSULTANT agrees to obtain executed indemnity agreements with provisions identical to those set forth here in this section from each subconsultant or any other person or entity involved by, for, with or on behalf of CONSULTANT in the performance of this AGREEMENT.

In the event CONSULTANT fails to obtain such indemnity obligations from others as required here, CONSULTANT agrees to be fully responsible according to the terms of this section.

Failure of CITY to monitor compliance with these requirements imposes no additional obligations on CITY and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend CITY as set forth here is binding on the successors, assigns, or heirs of CONSULTANT and shall survive the termination of this AGREEMENT or this section.

Nothing in this indemnity shall be construed as authorizing any award of attorney’s fees in any action on or to enforce the terms of this Indemnity or AGREEMENT. This indemnity shall apply to all claims and liability regardless of whether any insurance policies are applicable. (d) Indemnity Provisions for Contracts Related to Construction. This paragraph applies only when this AGREEMENT is related to construction. Without affecting the rights of CITY under any provision of this AGREEMENT, CONSULTANT shall not be required to indemnify and hold harmless CITY for liability attributable to the active negligence of CITY, provided such active negligence is determined by agreement between the parties or by the findings of a court of competent jurisdiction. In instances where CITY is shown to have been actively negligent and where CITY’s active negligence accounts for only a percentage of the liability involved, the obligation of CONSULTANT will be for that entire portion or percentage of liability not attributable to the active negligence of CITY.

12. INSURANCE
Prior to performing any work or receiving any compensation under this AGREEMENT, CONSULTANT shall obtain, and thereafter maintain for the duration of this AGREEMENT, insurance coverage as specified in Exhibit B, attached hereto and incorporated herein as though set forth in full.

13. WARRANTY FOR GOODS
(a) If this AGREEMENT includes the purchase of equipment, supplies, or chattel (hereafter “GOODS”), CONSULTANT shall provide the following warranty of said GOODS, or obtain a warranty from the manufacturer and/or retailer with provisions equal to or exceeding those specified in this Section. In the event the manufacturer’s warranty or retailer’s warranty do not equal or exceed the protections specified in this Section, CONSUTLANT agrees to provide said warranty protections. The warranty described hereunder extends to the original purchaser of the GOODS warranted under the warranty, and to each transferee owner of the GOODS. The term of this warranty begins on the date the GOODS are delivered to CITY, and continues therefrom. CONSULTANT warrants that:

(1) The GOODS will function properly under normal use, will be of good workmanship, free from defect, of merchantable quality, and fit for CITY’s intended use; (2) The GOODS will fully comply with any specifications provided by CITY and any samples or documentation provided by CONSULTANT; (3) The GOODS will be free of any security interests, liens, or encumbrances and CONSULTANT has title to the GOODS;

(4) The GOODS will not violate any intellectual property rights of any third party;
(5) The GOODS will be delivered free of the rightful claim of a third person by way of infringement; and
(6) The GOODS are merchantable in accordance with Commercial Code Section 2314.
(b) The warranty listed above is in addition to any other warranties made by CONSULTANT, the manufacturer, retailer, or imposed by law. All warranties will survive inspection and payment by CITY and are assignable to CITY’s successors and assigns. If any GOODS do not meet the warranty, CITY may, at CITY’s option, and without additional cost to CITY:
(1) Require CONSULTANT to repair or replace the GOODS until the GOODS meet the warranty. If CONSULTANT cannot replace the GOODS and repair either is not commercially practicable or cannot be made within three (3) days, CONSULTANT will refund the purchase price;
(2) Return any of the GOODS to CONSULTANT at CONSULTANT’s expense for a full refund;
(3) Correct the nonconformance and charge CONSULTANT for the costs to make the correction; or
(4) Engage a third party to provide substitute GOODS and charge CONSULTANT for the costs of obtaining the substitute GOODS from the third party.

14. INDEPENDENT CONTRACTOR
(a) CONSULTANT is and shall at all times remain as to the CITY a wholly independent contractor. The personnel performing the services under this AGREEMENT on behalf of CONSULTANT shall at all times be under CONSULTANT's exclusive direction and control. Neither CITY nor any of its officers, employees, or agents shall have control over the conduct of CONSULTANT or any of CONSULTANT's officers, employees, or agents, except as set forth in this AGREEMENT. CONSULTANT shall not at any time or in any manner represent that it or any of its officers, employees, or agents are in any manner officers,

employees, or agents of the CITY. CONSULTANT shall not incur or have the power to incur any debt, obligation, or liability whatsoever against CITY, or bind CITY in any manner. (b) No employee benefits shall be available to CONSULTANT in connection with the performance of this AGREEMENT. Subject: Proposal to Provide CEQA Consulting Services for Euclid & Heil Residential Project [P2024-0135S]
Transmitted via email: [email protected]
Dear Steven:

We appreciate the opportunity to submit this proposal to prepare an Addendum to the City of Fountain Valley’s 2045 General Plan Update Environmental Impact Report (EIR) (State Clearinghouse no. 2022100563), which was certified on December 20, 2023, for the Euclid & Heil Residential Project (Proposed Project). We understand your objective to develop defensible environmental documentation pursuant to the California Environmental Quality Act (CEQA) and move forward with the environmental analysis for the Proposed Project in a timely and thorough manner. Our firm has a dedicated and experienced staff, and our project management systems ensure that we can meet the project timeline with high standards and defensibility. PlaceWorks’ team has the comprehensive experience to successfully complete the environmental and technical services outlined in this proposal.

Nicole Vermillion has over 20 years of environmental planning experience and will serve as the senior advisor on the project. Malia Durand will serve as principal-in-charge (PIC), ensuring the project is adequately staffed and providing senior support and quality control. Malia has served as a project leader and practitioner with over 16 years of environmental planning experience. As the PIC, her objective will be to ensure that a well-supported and defensible document is prepared for this project. Jasmine Osman will serve as the project manager (PM) and day-to-day contact. She will provide coordination of internal and external technical teams and overall document preparation. Jasmine has worked on the City of Fountain Valley 2045 General Plan Update EIR that was recently approved. Her extensive work on the 2045 General Plan Update EIR will be an asset for the completion of this project.

Malia and Jasmine will be supported by our in-house team of technical experts in air quality, energy, greenhouse gas (GHG) emissions, noise, and water supply assessment who prepared the technical analyses for the 2045 General Plan Update EIR and have experience preparing analyses for addendums.

Fehr & Peers, who prepared the transportation analysis for the 2045 General Plan Update EIR, will serve as a subconsultant on the project and provide peer review services for applicant provided traffic and transportation analysis.

We have provided a scope of work, cost estimate, and preliminary schedule for an Addendum to the previously certified EIR. Our approach reflects our extensive experience with preparing environmental and technical documentation for similar development projects and our familiarity with the City’s CEQA documentation and processing requirements.

Understanding of the Project

PROJECT LOCATION
The project site is at 16300 Euclid Street, in the City of Fountain Valley, in Orange County, California. The project site is 18.09 net acres (18.64 gross acres) and is at the northeast corner of Euclid Street and Heil Avenue. The Assessor’s Parcel Number (APN) for the site is 144-111-01. The project site is surrounded by Euclid Street to the west, residential uses along Blue Allium Avenue and Mt. Nimbus Street to the north, residential uses along Mt. Dunhaven Street to the east, and Heil Avenue to the south.

The project site is currently vacant and undeveloped, and is surrounded by residential uses to the north, east, and south, and Mile Square Regional Park to the west. The project site was formerly used for agricultural purposes.

As a result of the recent Fountain Valley 2045 General Plan Update, the project site has a land use designation of High Density Residential and is zoned R-4 High Density Multiple Dwelling. The land use designations surrounding the project site are Park to the west and Low Density Residential to the north, east, and south. The zoning designations surrounding the project site are Park/Open Space (P/OS) to the west and Single-Family Residential (R-1) to the north, east, and south.

APPROVED PROJECT
The Approved Project is outlined in the City of Fountain Valley’s 2045 General Plan Update EIR, which was certified on December 20, 2023. The General Plan is the City’s policy and implementation framework that guides the long-term growth and improvement of Fountain Valley for the next 20 or more years. Under the Approved Project in the 2045 General Plan, the project site is zoned High Density Residential, which allows up to 30 units per acre, and therefore, the Approved Project assumed a total of 471 units on the project site.

Of the environmental topics that were analyzed in the Approved Project, air quality, cultural resources, geology and soils, GHG emissions, noise, and tribal cultural resources were considered potentially significant and required mitigation measures. However, the Approved Project determined that the following topical areas would remain significant and unavoidable: air quality, GHG emissions, noise, population and housing, and transportation.

PROPOSED PROJECT
The Proposed Project would consist of a total of 626 multifamily units both at market rate and affordable rent. The Proposed Project would subdivide the project site into a 4.02-acre site for 407 apartments (15 percent affordable housing—81 affordable units) in a five-story wrap building, and 14.06-acre site for 183 three-story townhomes and 36 two-story triplexes.

Page 47 ends

February 29, 2024 | Page 3
The current density for the project site allows up to 30 units per acre, based on the High-Density Residential land use designation. However, with the proposed density bonus, an additional 86 units in the multifamily wrap building will bring the density to 34.6 units per acre.

Compared to the Approved Project, the Proposed Project would increase the number of dwelling units on the project site by 155 units, which would result in a density of 34.6 dwelling units per acre, as opposed to 30 dwelling units per acre as analyzed by the Approved Project. The Proposed Project would not change the land use or zoning designations of the site.

APPROACH
Section 15164 of the CEQA Guidelines defines the applicability of using an addendum to support discretionary approvals following certification of an EIR. An addendum can be used if minor changes or additions are necessary but none of the conditions described in Section 15162 apply (regarding subsequent EIRs and negative declarations)—i.e., no substantial changes to the project, no increase in severity of impacts, no new information of substantial importance. An addendum to a previously approved CEQA document has a shorter timeline because it does not require public review, nor does it require tribal consultation per Assembly Bill (AB) 52. Also, the analysis in an addendum is focused on the differences between the Proposed Project and the Approved Project that was analyzed in the certified EIR, not baseline existing conditions.

PlaceWorks understands that the City is considering processing the Proposed Project through an Addendum to the 2023 certified EIR. PlaceWorks has accordingly developed this scope and budget around this approach. We will be in close coordination with the City to initiate technical analyses in support of an Addendum. If at any point in the technical analyses development it becomes clear that there are substantial new impacts or information that requires reconsideration of this approach, we will alert the City immediately and discuss potential options.

Scope of Work
PlaceWorks will prepare the Addendum to the 2023 certified EIR in conformance with CEQA, the CEQA Guidelines, and the City’s CEQA procedures. The Addendum will analyze project‐specific impacts as well as any changes in circumstances since the EIR was certified that could result in new or greater significant impacts than were identified in the certified EIR. The Addendum will discuss the 2023 certified EIR and provide a description of the Proposed Project. We will conduct an environmental analysis to demonstrate that the Proposed Project results in only minor changes that would not trigger the conditions in CEQA Guidelines Section 15162. However, if the requirements outlined in Section 15162 are met (i.e., new impacts, substantial changes) during preparation of the Addendum and accompanying technical analyses/studies, we will inform the City immediately, and a separate scope of work will be prepared as needed.

The following scope includes completion of each step of CEQA processing, including document preparation and technical studies, to ensure compliance with CEQA and legal defensibility.

Page 48 ends

February 29, 2024 | Page 4
TASK 1. PROJECT INITIATION AND PROJECT DESCRIPTION
PlaceWorks’ Senior Advisor, PIC, and project manager will participate in a project initiation/kick‐off meeting with the City and the applicant, as deemed appropriate by the City, to discuss the Proposed Project. The kick‐off meeting is assumed to be virtual. Following the project initiation/kick‐off meeting, PlaceWorks will provide a detailed CEQA schedule and a detailed data needs list for preparing the project description and conducting the analyses.

After receipt of critical data needs, we will prepare a comprehensive project description. The project description will describe the Approved Project (as described and analyzed in the certified EIR) and the Proposed Project. PlaceWorks will submit the draft project description to the City for review. After receipt of comments, we will revise the project description, as needed, for inclusion in the Addendum.

Deliverable(s):
» Kick-off Meeting Attendance
» Project Schedule and Data Needs
» Draft Project Description (electronic copy)
TASK 2. TECHNICAL ANALYSIS
PlaceWorks has received the technical studies that were part of the Request for Proposals (RFP) and assumes these documents are complete. It is our understanding/assumption that the following documents will be provided by the City. PlaceWorks will review these reports and incorporate them into the environmental analysis.
• Copies of any additional technical analysis already conducted and completed by the applicant and their consultants
• A completed data needs memo and spreadsheet
• Conceptual site plan, supporting graphical renderings, and any additional information needed to prepare a project description
For purposes of this proposal, these documents are assumed to be complete and contain the information necessary to adequately evaluate the environmental impacts associated with the project for an Addendum approach. We will review the documents for CEQA adequacy and incorporate them into the appropriate topical sections of the Addendum as part of the basis for analysis of the topical sections.

PlaceWorks will prepare the following technical reports to support the Addendum and demonstrate that further CEQA review is not necessary. The technical analyses/studies will be prepared in accordance with all applicable and professionally accepted federal, state, and local guidelines, procedures, and requirements—including the City’s established significance thresholds.

Task 2.1 Air Quality/GHG Analysis
PlaceWorks will prepare an air quality and GHG emissions analysis to evaluate potential impacts from construction and operation of the Proposed Project compared to that of the Approved Project and impacts identified in the 2023 Certified EIR. We will work closely with the project team to develop appropriate construction and operational assumptions, a defensible threshold for determining GHG impacts, and practical mitigation measures as needed to reduce potentially significant effects. The analysis will be consistent with the current methodology of the South Coast Air Quality Management

Page 49 ends

February 29, 2024 | Page 5
District (South Coast AQMD). Modeling of criteria air pollutant emissions and GHG emissions will be conducted using the latest California Emissions Estimator Model (CalEEMod).

Operational Phase. PlaceWorks will quantify the criteria air pollutant and GHG emissions from mobile source emissions (i.e., vehicle trips), water demand/wastewater generation, solid waste generation (e.g., trash), refrigerants, area source, and energy sources associated with operation of the Approved Project and Proposed Project at full buildout. Modeling for the Proposed Project will be based on the proposed commercial building square footage and residential units. Mobile source emissions for the Proposed Project and Approved Project will be based on vehicle miles traveled (VMT) and/or weekday and weekend daily vehicle trip generation provided by the traffic engineer. Where information is unavailable, PlaceWorks will use CalEEMod defaults, as appropriate, and work with the project proponent to develop reasonable operational assumptions based on our experience with other similar projects. Total emissions from construction activities will be amortized into the GHG emissions inventory. PlaceWorks will evaluate the Proposed Project compared to the Approved Project. Overall, net criteria pollutant emissions will be compared to South Coast AQMD’s significance thresholds.

Construction Phase. PlaceWorks will quantify short-term emissions generated from construction of the Proposed Project. The construction-phase regional emissions forecast will be based on the construction schedule, including duration for each construction activity type (e.g., demolition, grading), anticipated equipment for each activity, and estimated demolition volumes and earthwork (if applicable), as provided by the project applicant. Where information is unavailable, PlaceWorks will use CalEEMod defaults, as appropriate, and work with the project proponent to develop the construction assumptions. For purposes of this scope and cost estimate, it is assumed that the project would be developed in up to two development phases. Maximum daily construction emissions will be compared to the South Coast AQMD regional significance thresholds for construction. Localized air pollution impacts from construction equipment exhaust and fugitive dust will be compared to South Coast AQMD’s screening-level localized significance thresholds (LST) for their potential to elevate concentrations of air pollutants at the sensitive and non-sensitive uses proximate to the project site. PlaceWorks will identify mitigation measures to reduce potentially significant project-related construction impacts if necessary. PlaceWorks will evaluate the Proposed Project to the Approved Project.

Construction Health Risk Assessment. In 2015, the Office of Environmental Health Hazard Assessment (OEHHA) released updated guidance that recommended an HRA for construction projects that are longer than two months. As a result, comment letters on the need to prepare a construction HRA are common during the CEQA process. Given the potential for use of large off-road equipment during project construction and the proximity of the sensitive receptors, PlaceWorks recommends preparation of a construction-related health risk assessment (HRA) to analyze community health risks from project-related construction activities to nearby receptors (i.e., surrounding residents adjacent to the project site.

Construction-related diesel particulate matter concentrations from off-road equipment and truck hauling impacts will be identified at the nearest sensitive receptors (e.g., off-site residences) based on specific construction-related characteristics provided by the applicant (e.g., construction duration, equipment use, construction phasing). Construction emissions would be based on the regional construction emissions inventory. Dispersion modeling would be performed using a South Coast AQMD-accepted computer-based model (e.g., AERMOD). The construction HRA analysis would be incorporated into the CEQA document and modeling datasheets will be included as an appendix. The analysis would include proposed mitigation measures to reduce the potentially significant impacts of the project if necessary.

Page 50 ends

February 29, 2024 | Page 6
Other Air Quality Impacts. The South Coast Air Basin (SoCAB) is currently designated nonattainment under the National and/or California ambient air quality standards (AAQS) for ozone (O3), fine inhalable particulate matter (PM2.5), coarse inhalable particulate matter (PM10), and lead (Los Angeles County only).

South Coast AQMD has adopted air quality management plans (AQMPs) to ensure the SoCAB can attain the long-term National and California AAQS. The analysis will include a consistency evaluation of the project’s regional emissions to South Coast AQMD’s AQMP. Furthermore, the SoCAB has been designated in attainment for carbon monoxide (CO) under both the California and National AAQS; therefore, the air quality analysis will include only a qualitative assessment of CO hotspots. PlaceWorks will also describe potential odor impacts qualitatively.

Project Consistency with Plans Adopted to Reduce GHG Emissions. PlaceWorks will provide a discussion on the GHG reduction goals of Senate Bill 32 (SB 32), AB 1279, and SB 375. To achieve the GHG reduction targets of SB 32 and AB 1279, the California Air Resources Board (CARB) adopted the 2022 Scoping Plan Update. In addition, the Southern California Association of Governments (SCAG) has adopted a regional transportation plan/sustainable communities strategy (RTP/SCS) to ensure that the Southern California region can attain the regional transportation-related GHG reduction goals of SB 375. PlaceWorks will provide a consistency analysis with these statewide and regional GHG emissions-reduction strategies.

Furthermore, project consistency with the adopted City of Ontario Community Climate Action Plan (CCAP) will also be evaluated.

Deliverable(s):
» Air Quality and GHG Emissions sections of the CEQA document and modeling data as an appendix to the CEQA document.

Task 2.2 Energy
PlaceWorks will prepare an energy analysis to identify whether the Proposed Project would result in wasteful or inefficient use of energy in accordance with Appendix F of the CEQA Guidelines. As part of this analysis, PlaceWorks will identify the project’s net increase in energy consumption (i.e., natural gas and electricity) based on the CalEEMod outputs conducted for the air quality and GHG analysis. Electricity and natural gas use associated with operation of the proposed buildings will be based on the size and type of land use(s) proposed and on default CalEEMod energy rates. PlaceWorks will also provide an overview and review of the project’s consistency with the California Renewables Portfolio Standard Program and energy-related strategies of the City of Ontario CCAP. The results of the energy analysis will be summarized in the CEQA document and modeling included as an appendix. If proceeding with a subsequent EIR, PlaceWorks will evaluate the Proposed Project compared to the Approved Project.

Deliverable(s):
» Energy section of the CEQA document and modeling data as an appendix to the CEQA document.

Task 2.3 Noise and Vibration Analysis
PlaceWorks will prepare the noise and vibration technical analyses for the Proposed Project. The technical noise impact analysis will discuss relevant standards and criteria for noise exposure, including those in the City of Fountain Valley General Plan Noise Element and Municipal Code. The results of this analysis will be summarized in the environmental document prepared for the Proposed Project, and modeling will be provided in an appendix.

Page 51 ends

February 29, 2024 | Page 7
Existing Conditions. To characterize the existing conditions, PlaceWorks will conduct a noise measurement survey to acquire ambient noise level data. The survey will consist of up to four short-term (15-minute) locations. These measurement locations will be selected by PlaceWorks and will consider the location of existing roadways and noise-sensitive receivers in the project vicinity. The results of the noise measurement survey will be incorporated into the environmental document prepared for the Proposed Project.

Transportation Noise. PlaceWorks will assess the potential in traffic noise levels along access roads (such as Euclid Street and Heil Avenue) and identify areas along roadway segments that would either be exposed to noise levels above established criteria or result in an increase more than 3 A-weighted decibels (dBA) over the baseline levels. In addition, PlaceWorks will assess if any of the proposed residential units would be exposed to traffic noise levels exceeding the City’s exterior noise standard for residential uses.

Stationary Noise. Noise impacts from non-transportation sources will be evaluated due to the newly constructed residential buildings and assessed based on local noise standards. PlaceWorks will analyze noise impacts from non-transportation sources in terms of potential impacts to noise-sensitive receptors in the immediate vicinity and the noise limitations identified in the City’s Municipal Code.

Construction Noise and Vibration. PlaceWorks will provide a quantitative analysis for potential construction impacts associated with implementation of the Proposed Project. Noise and vibration effects from construction activities will be estimated based on available construction information provided by the Applicant, and the results will be discussed in terms of accepted local noise standards and the Federal Transit Administration guidance manual on vibration impacts. Feasible mitigation measures, if required, will be identified to minimize noise and vibration impacts associated with implementation of the Proposed Project.

Deliverable(s):
» The noise and vibration analysis will be summarized in the environmental document with technical modeling included as an appendix.

Task 2.4 Water Supply Assessment
California SB 610 requires that the water purveyor of the public water system prepare a Water Supply Assessment (WSA) to be included in CEQA documentation of certain projects. The Proposed Project is subject to CEQA. It also meets the definition of a project in Water Code Section 10912 as a mixed-use project that includes more than 500 residential units. The Proposed Project therefore requires the preparation of a WSA pursuant to SB 610.

Additionally, SB 221 mandates affirmative written verification (WV) from the water purveyor of the public water system that sufficient water supplies are available for certain residential subdivisions of property prior to approval of a tentative map. Since the Proposed Project requires the approval of a development agreement and includes more than 500 residential units, it meets the definition of a subdivision in Government Code Section 66473.7(a)(1) and therefore triggers the need for a Written Verification of Sufficient Water Supply pursuant to SB 221.

PlaceWorks is proposing the preparation of a WSA/WV to cover the Proposed Project and will analyze the buildout of 626 residential units. The WSA/WV will be prepared in accordance with the requirements of SB 610 and SB 221. PlaceWorks will prepare a WSA/WV for review by the City of Fountain Valley Public

• A detailed description and analysis of the amount and location of groundwater that is projected to be pumped by the City.

4. A quantification of the City’s past, current, and projected water demands.

5. A quantification of the water demands for the Proposed Project and an assessment of the water demand for Proposed Project as accounted for in the 2020 UWMP and the General Plan.

6. A discussion as to whether the public water system’s total projected water supplies available during normal, single dry, and multiple dry water years during a 20-year projection will meet the projected water demand of the Proposed Project in addition to the public water system’s existing and planned future uses. This will include the evaluation of drought impacts and consideration of variability in demand and supply based on hydrologic conditions.

7. The applicability of the City’s water shortage contingency analysis prepared pursuant to Section 10632 of the Water Code that includes actions to be undertaken by the public water system in response to water supply shortages.

The Draft WSA/WV will be submitted to the City within 10 weeks of the Notice to Proceed for review and comment. Within two weeks of receiving the City’s comments and revisions, the final WSA/WV will be prepared incorporating the City’s comments and revisions and an electronic copy of the document will be provided to the City.

Deliverable(s):
» Draft WSA/WV for City review and comment
» Final WSA/WV
Task 2.5 Visual Simulations Analysis (Optional)
Task 2.5.1 View Simulations
PlaceWorks will use the model and information of the proposed development provided by the Applicant.

Deliverable(s):
» Technical Memorandum of Peer Review Comments for Transportation Impact Analysis (TIA) and Vehicle Miles Traveled (VMT) Analysis
For purposes of this proposal, we have provided the following cost options in Table 2 – Cost Estimate:
• Task 2.6 (Option 1) - Peer review of VMT Analysis only • Task 2.7 (Option 2) - Peer review of VMT Analysis and LOS Study combined TASK 3. ADMINISTRATIVE DRAFT ADDENDUM
The Addendum will contain a detailed description of the Proposed Project, a description of the Approved Project, and a discussion providing substantial evidence to support the environmental determination. The Addendum will summarize the impacts and mitigation measures of the Approved Project that would be applicable for the Proposed Project and compare the Proposed Project’s substantiated impacts to those of the Approved Project. The certified EIR will serve as the baseline for the Proposed Project in the Addendum. To adequately assess the “net” change in impacts relative to the Approved Project, we will quantify impacts associated with development of the Proposed Project to the extent possible, including air quality, energy, GHG emissions, noise, and transportation impacts, as described in previous tasks, with a visual simulations analysis being an optional task (see Task 2.5). The net impacts (decrease or increase in comparison to Approved Project) will be compared to significance thresholds for each topical area to determine whether any refinement to mitigation is necessary. The Administrative Draft Addendum will be submitted to the City for review.

As previously stated, if our analysis reveals a new significant impact for which mitigation is not currently provided, the project will not be eligible for an Addendum, and a subsequent EIR will be required. If this occurs, PlaceWorks will provide a revised proposal.

For the purposes of this proposal, we incorporated one round of review of the administrative draft Addendum and assume that comments will be provided electronically in tracked changes in the Word document. Modification to the scope of work, budget, and time frame may be necessary if additional reviews are required.

Deliverable(s):
» Administrative draft Addendum (electronic copy)

Page 56 ends

February 29, 2024 | Page 12
TASK 4. PUBLIC DRAFT AND FINAL ADDENDUM
Task 4.1 Public Draft Addendum (Optional)
PlaceWorks will review and revise the administrative draft Addendum per the City’s comments, verifying that all comments have been adequately addressed and there are no areas of controversy or outstanding issues remaining in the draft Addendum. Once the necessary revisions have been made to the administrative draft Addendum, the City will review the revised version in preparation to release the revised version to the public as a Public Draft.

It should be noted that noticing and public circulation are not required for an Addendum; however, because the Proposed Project has the potential to become highly controversial, we have included an optional task for a public scoping meeting (see Task 7.3) and public circulation (see Task 7.4).

Task 4.2 Final Addendum
PlaceWorks will revise the addendum based on comments from the City (and/or public, if pursuing optional Task 4.1) and will produce the final Addendum and related appendices to the City for use in the staff report and on the City’s website. Additionally, PlaceWorks can assist in providing a brief write‐up for the staff report that explains the results of the environmental analysis.

Modification to the scope of work, budget, and time frame may be necessary if additional reviews are required.

Deliverable(s):
» Public Draft Addendum (Optional)
» Final Addendum (digital)
» Environmental Analysis Summary for Staff Report (optional)(digital) TASK 5. MITIGATION MONITORING AND REPORTING PROGRAM
PlaceWorks will prepare an updated Mitigation Monitoring and Reporting Program (MMRP) based on mitigation measures identified in the certified EIR, if needed. The MMRP will reflect any updates incorporated into the mitigation measures, as shown in the Addendum. The MMRP will be defined through working with City staff to identify appropriate monitoring steps/procedures. It will identify the significant impacts that would result from the Proposed Project, proposed mitigation measures for each impact, the timing at which the measures will need to be conducted, the entity responsible for implementing the mitigation measure, and the City department responsible for monitoring compliance.

The completed MMRP will be submitted to City staff for review.

For the purposes of this proposal, we incorporated one round of review of the MMRP. Modification to the scope of work, budget, and time frame may be necessary if additional reviews are required.

Deliverable(s):
» MMRP (digital)

Page 57 ends

February 29, 2024 | Page 13
TASK 6. NOTICE OF DETERMINATION
PlaceWorks will prepare the required Notice of Determination (NOD) for the City. For purposes of this proposal, PlaceWorks assumes that the City will file the NOD with the Orange County Registrar‐ Recorder/County Clerk and with the State Clearinghouse.

Deliverable(s):
» Notice of Determination (digital)
TASK 7. MEETINGS AND HEARING PARTICIPATION
Task 7.1 Meetings
Given the potentially controversial nature of the Proposed Project, PlaceWorks will meet monthly with the City and the Applicant and/or the Applicant’s consultants to discuss concerns and needed steps to bring the Addendum to completion. The meeting personnel will include City staff, the PIC, PM from PlaceWorks, and the Applicant’s representative(s).

Task 7.2 Hearings
The PIC and/or PM will attend one public hearing. It is assumed that the PIC/PM will attend in person.

Task 7.3 Public Meeting (Optional)
While not required for Addendums by the CEQA Guidelines, given that the Proposed Project has the potential to be highly controversial, PlaceWorks suggests that the City hold a public meeting to explain the Proposed Project, differences between the Approved and Proposed Project, and CEQA requirements.

Additionally, the public would be able to ask questions they have related to the project; environmentalrelated comments would be included in the Public Draft Addendum, as applicable (see Task 4.1).

PlaceWorks would help accommodate this meeting and answer questions the public may have about the CEQA process. It also suggested that the Applicant and/or the Applicant’s representative(s) attend to answer questions about the Proposed Project.

Task 7.4 Public Circulation (Optional)
Although public distribution and circulation of an addendum is not required by CEQA, if the City pursues optional Task 4.1, the Public Draft Addendum would be circulated for a 30-day public review period. At the end of the public review period, the addendum may be revised to include applicable comments in the Final Addendum.

TASK 8. PROJECT MANAGEMENT
Project management time would occur throughout the CEQA process, including internal team and subconsultant coordination, and other project administrative needs to ensure high-quality and efficient project processing and client reporting. We will coordinate closely with City staff to ensure that the EIR Addendum and associated documents delivered to the City are legally defensible, accurate, and useful to decision makers considering the approval of the proposed project. The project manager will also coordinate with the City throughout the process, not only to streamline the CEQA process but to avoid or anticipate any changes that could result in delays. The Project Management task is based on the estimated schedule for the project. If the schedule of the project is extended for reasons beyond PlaceWorks’ control, a contract amendment may be required for additional fees for project management

Page 58 ends

and coordination efforts. This task is based on four hours per month of the project manager’s time and two hours of the PIC’s time for the duration of the project. PlaceWorks has assumed that approval of the EIR Addendum can be completed within the proposed schedule detailed in Table 1, Proposed CEQA Schedule.

Proposed Schedule
Table 1, Proposed CEQA Schedule, provides a breakdown of the CEQA schedule. Note that this timeline assumes two‐week reviews of Addendum drafts by City staff. The CEQA schedule would begin once PlaceWorks receives the notice to proceed and receives all critical data needs to prepare the project description. The preparation of an EIR Addendum is anticipated to take approximately six months, or seven months if the Addendum is circulated and public meeting is held.
