CITY OF FOUNTAIN VALLEY

CITY COUNCIL

COUNCIL ACTION REQUEST
To: Honorable Mayor and Agenda Date: October 15, 2024
Members of the City Council
SUBJECT: (1) Motion to Renew Prior Failed Motion to Approve Second Reading and Adoption of an Ordinance Increasing Council Member Compensation (2) Approve Second Reading and Adoption of an Ordinance Increasing Council Member Compensation

EXECUTIVE SUMMARY
This item is an opportunity for the City Council to move to renew the prior failed motion to approve a second reading and adoption of an ordinance increasing Council Member compensation and, if the motion to renew passes, to then consider and approve the second reading and adoption of an ordinance increasing Council Member compensation.

ANALYSIS
At its meeting on September 3, 2024, the City Council introduced for first reading an Ordinance Increasing Council Member Compensation. As proposed on September 3, 2024, the Ordinance increased compensation to $1,600 per month, per state law. The City Council amended the Ordinance by reducing compensation to $1,200 per month and approved a first read of the amended ordinance.

The amended ordinance was presented to City Council for second reading and adoption on September 17, 2024 and continued to October 1, 2024. On October 1, 2024, the City Council voted 2-3 against adoption.

Thereafter, the Attorney for the City received independent inquiries from Council Members regarding reconsidering the ordinance. Given the timing issues involved (discussed below), the Attorney for the City determined to agendize both an action to “renew the motion” and, in the event the motion to renew passes, also agendize a separate action to vote on the second reading and adoption of the ordinance increasing Council Member compensation. These actions must be taken separately, first the motion to renew is made and then, if that motion passes, then second the Council can vote on the renewed second reading and adoption of the Council Compensation ordinance.

Council Compensation Ordinance
A City Council may enact an ordinance providing that each member of the City Council shall receive a salary based on the population of the city. (§ 36516(a)(1)1.) In cities over 50,000 up to and including 75,000 in population, the salary shall be up to and including $1,600 per month. (§ 36516(a)(2)(C).) Population is determined by the last preceding federal census, or a subsequent census, or estimate validated by the Department of Finance. (§ 36516(a)(3).) Here, the last preceding federal census, dated April 1, 2020, found that Fountain Valley’s population was 57,047.

To enact the compensation ordinance, a City Council shall consider the adoption of an ordinance to increase compensation in open session during at least two regular2 meetings of the City Council. (§ 36516(g)(1).) At the first meeting, the City Council shall present the proposed ordinance, which shall include findings demonstrating the need for the increased compensation. The ordinance shall not be adopted at the first meeting. (§ 36516(g)(2).) Here, the first meeting (first read) of the proposed compensation ordinance occurred at the regular City Council meeting held on September 3, 2024. During that meeting, the City Council amended the Ordinance by reducing compensation to $1,200 per month and approved the first read. By statute, the second read must be held at least seven days after the first read, again at a regular meeting, during which time the Council may consider whether to adopt the ordinance. (§ 36516(g)(2).) Here, the second reading was originally scheduled for September 17, 2024, and was continued to the October 1, 2024 regular City Council meeting, where it was defeated 2-3.

Rules of parliamentary procedure typically provide for reconsideration or renewal of prior motions and generally allow such renewed motions assuming events have not occurred in the meantime that cannot be taken back (i.e., the issuance of a payment). Thus, we look to Fountain Valley’s codes and rules regarding parliamentary procedure. Pursuant to Fountain Valley Municipal Code § 2.04.090(d), “The latest edition of Robert's Rules of Order shall be used as a nonbinding guide to the conduct of meetings.” Pursuant to Robert’s Rules of Order, a Council Member may reintroduce a defeated motion at a future meeting. This is called “renewing the motion.” All a Council Member must do is request that the motion be placed on the agenda or bring it up at the right time during a future meeting (provided notice requirements have been met). This concept is explained in the attached article “Changing Course: Using Robert’s Rules to Alter a Prior Action.”
1 All statutory references are the Government Code unless otherwise noted. 2 Regular meetings are held at least once a month at times fixed by ordinance or resolution. (§ 36805.) In Fountain Valley, by ordinance, regular meetings of the City Council are held on the first and third Tuesday of each month. (FVMC § 2.04.170.)

Page 28 ends

City Council Action Request
Renewed Second Reading of Ordinance Increasing Council Member Compensation October 15, 2024

Page 3 ends

While Robert’s Rules permits a renewed motion, it must be noted that, “[b]ecause Robert's Rules of Order does not directly apply to City Council meetings, Robert's will not be strictly followed.” (FVMC § 2.04.090(d).) Instead, “[t]he presiding officer shall decide all questions of order unless an appeal to the City Council as a whole is made, in which case the majority vote shall govern and conclusively determine the matter.” (FVMC

2.04.090(d).)
In sum, the City’s “nonbinding guide” to the conduct of meetings allows for a motion to renew a previously defeated motion. As a motion, it requires an affirmative vote of a majority of the quorum. (FVMC 2.04.065.) If the motion to renew passes, Council can proceed to consider and vote on the renewed motion, here the second reading of the Council Compensation ordinance that was defeated on October 1, 2024. As an ordinance, it requires an affirmative vote of the entire Council. (§ 36936.) Timing of the Motion and Ordinance
The Attorney for the City adendized both the motion for renewal and, assuming the motion for renewal passes, the Second Reading on the Council Compensation ordinance for the October 15, 2024 regular Council Meeting. This is due to time constraints. If Council approves the motion to renew and then the Second Reading, the ordinance would be considered adopted on October 15, 2024. The ordinance becomes effective 30 days after its adoption. (§ 36937.) That would mean the ordinance becomes effective November 14, 2024.

Pursuant to the Government Code, a “change in compensation does not apply to a council member during the council member’s term of office.” However, the adjustment of the compensation of all members of a council serving staggered terms is permitted “whenever one or more members of the City Council becomes eligible for a salary increase by virtue of the council member beginning a new term of office.” (§ 36516.5.) For consolidated elections (which is the procedure used in Fountain Valley), the City Council must meet “no later than the next regularly scheduled City Council meeting following presentation of the [Registrar of Voters’] 28–day canvass of the returns, or at a special meeting called for this purpose, to declare the results and to install the newly elected officers.” (Elec. Code § 10262(b).) Until newly elected officers are “installed,” the previously elected officers continue to hold the office. (§ 57377.) The first regular Council Meeting in November is on the same day as the national election (November 5, 2024). The Council Compensation ordinance, if passed, would become effective on November 14, 2024, which is before the second regular Council Meeting of November 19, 2024. Therefore, the Ordinance will become effective before the Council could be required to install newly elected officers on November 19, 2024 (in the unlikely event the Registrar concludes the canvass early) or the first regular Council Meeting in December.

CITY OF FOUNTAIN VALLEY

CITY COUNCIL

COUNCIL ACTION REQUEST
To: Honorable Mayor and Agenda Date: September 3, 2024
Members of the City Council
SUBJECT: An Ordinance of the City Council of the City of Fountain Valley Increasing Council Member Compensation
Three-Year Strategic Goals
☐ Enhance the culture and environment of “A Nice Place to Live” ☐ Attract and retain revenue producing businesses
☐ Achieve fiscal stability in accordance with the 20-Year Financial Plan ☐ Attract and retain quality staff
☒ Not applicable
EXECUTIVE SUMMARY:

Enact an Ordinance increasing Council Member Compensation.

DISCUSSION:

A city council may enact an ordinance providing that each member of the city council shall receive a salary based on the population of the city. (Gov Code 36516(a)(1).) 1 In cities over 50,000 to 75,000 in population, compensation is up to and including one thousand six hundred dollars ($1,600.00) per month. (Gov Code 36516(a)(2)(C).)2 The City of Fountain Valley has a population of approximately 54,893 people.

Once adopted, the salary of council members may be increased beyond the $1,600.00 provided in Government Code section 36516, subdvs. (a)(2)(C) by ordinance, but the amount of the increase shall not exceed the greater of either an amount equal to 5% for each calendar year from the operative date of the last adjustment of the salary or an amount equal to inflation since January 1, 2024, based upon the California Consumer Price index, which shall not 1 The rules are different for Charter Cities as Council compensation is considered a matter of local concern. (57 Ops. Cal. Atty. Gen. 11 (1974).)
2 Amounts paid by a city for retirement, health and welfare, and federal social security benefits are not included for purposes of determining salary, provided that the same benefits are available and paid by the city for its employees. (Gov Code 36516(d).) Nor are amounts paid by a city to reimburse a council member for actual and necessary expenses. (Gov Code 36516(e).)

exceed 10 percent for each calendar year.3 The 5-percent increase is not compounded; it is 5- percent times the number of years since the last adjustment. (89 Ops. Cal. Atty. Gen. 159 (2006).)
At some point before 1997, the City Council set its compensation at $500 per month. Using 1997 (when Title 2 was repealed and re-enacted) as the benchmark, at least 27 years have passed since the last adjustment, which would allow an adjustment in compensation of up to 135-percent (5% x 27 years = 135%) or $1,175 per month.

A survey of Orange County cities in 2023 revealed the following City Council compensation amounts:

The average monthly compensation, including those benefits reported above, calculated in 2023, is $1,453.86. However, this amount is substantially lower than actual amounts paid because numerous cities responded that they provide benefits but did not identify the cost of the benefits in the survey. Those cities’ benefits are reflected as a $0 cost in the above analysis.

Further, these numbers were derived prior to the changes to state law authorizing an increase in council compensation.

Page 39 ends

Council Compensation

Page 4 ends

Fountain Valley’s closest neighbors provide compensation, including benefits, in 2023, of:

Huntington Beach ($2,297), and Garden Grove, Santa Ana, and Costa Mesa are, with benefits, all over $3,000.

Based on the maximum compensation of up to $1,600.00 and survey of other cities, and considering that many cities did not report the value of benefits provided, staff recommends the City Council increase its compensation to the maximum amount of $1,600.00 per month.

Fountain Valley provides no benefits to Council Members and, therefore, even at $1,600, Fountain Valley Council Member compensation will be lower than the Orange County average.

Per state law, any change to Council Member compensation does not take effect until after the next Council election. (Gov. Code 36516.5)
FISCAL REVIEW:

The increase in council compensation would be an additional cost of $1,100.00 per council member per month or a total of $66,000.00 on an annual basis. These costs are not included in the proposed FY 2023-24 annual budget and would require a budget amendment. The Budget Amendment appropriates a total of $66,000.00 in increased expenditures from the General Fund unappropriated fund balance into the City Council salary and benefit expenditure accounts 100.10.10100.50000 and 100.10.10100.50400.

Three-Year Strategic Goals
☒ Enhance the culture and environment of “A Nice Place to Live” ☐ Achieve fiscal stability by evaluating processes, and attract and retain revenue producing businesses/opportunities
☐ Attract and retain quality staff through best practices and trends ☒ Maintain, build, and modernize infrastructure to support growth and future needs of the City
☐ Not applicable
EXECUTIVE SUMMARY:

Staff recommends that the City Council accept the proposals and award a professional services contract to MKN & Associates for the Water Master Plan and Water Rate Study, Project No. 24038, in an amount not exceeding $577,304.

The 2026 Water Master Plan will evaluate the City of Fountain Valley’s existing water system and identify necessary system improvements to meet future build-out water demands while also addressing the rehabilitation and replacement of aging infrastructure. The goals of this project are:

1. Update the comprehensive Water Master Plan;

2. Update the water facility Capital Improvement Program (CIP) and provide a cost-ofservice analysis; and,

3. Recommend a new water rate schedule that accounts for the present.

City staff anticipates that the Water Master Plan and Water Rate Study will begin in fall 2024 and be completed by spring 2026. The project is funded by the Water Enterprise Fund. There is adequate funding within the FY2024/2025 Adopted Budget to facilitate this project.

DISCUSSION:

The City of Fountain Valley Public Works Department is responsible for providing clean and safe water to the City of Fountain Valley community. The City’s potable water supply consists of groundwater produced by six (6) City wells. If needed, water can be imported from Northern California and the Colorado River by the Metropolitan Water District (MWD). Groundwater is managed by the Orange County Water District (OCWD) and MWD where water supplies are delivered to the City through the Municipal Water District of Orange County (MWDOC), the local wholesale water provider.

The 2026 Water Master Plan will be evaluating the City of Fountain Valley’s existing water system and identifying necessary system improvements to meet future build out water demands and will focus on rehabilitation and replacement of aging water infrastructure. The goals of this project are to update the Water Master Plan, update the water facility CIP and provide a cost-of-service analysis, and to recommend a new water rate schedule that accounts for the present cost of providing water to the Fountain Valley community.

In 2012-2013, the City provided water to approximately 56,100 people through 17,000 service connections, with a total service area that covers approximately 9.87 square miles. The 2013 Water System Master Plan evaluated the existing water system and identified necessary system improvements to meet the build out demands of the service area and its customers, where it focused on the rehabilitation and replacement of the aging water infrastructure. In FY2023-2024, the City distributed approximately 85% groundwater, 15% recycled water for irrigation purposes, and 0% imported water due to incentivized programs through OCWD to pump more water to make up for under producing pumping agencies affected by Per- and polyfluoroalkyl substances (PFAS).

Previously, the Water Master Plan was completed in 2013 with the most recent financial plan and capacity fee report update completed in 2017. The 2026 Water Master Plan Update scope includes:
 The development of an updated CIP;
 A comprehensive financial modeling component that considers the City’s existing rate structure versus upcoming State Water Conservation Regulations;  Organizational and operational analysis;
 Hydraulic modeling of the water systems capabilities; and,  GIS updates to the City’s water infrastructure.

The 2026 Water Master Plan Update is critical for the City of Fountain Valley not only to ensure that the City programs a responsible CIP, but it is equally important to ensure water system capacity meets future development buildout demands and firefighting needs. The Water Master Plan will also help to maintain legislative compliance and identify opportunities for future efficiencies. The financial planning aspect of the Water Master Plan will ensure continued compliance with GASB 34, which requires agencies to identify and adequately fund costs for future infrastructure and maintenance.

City staff anticipates that the Water Master Plan and Water Rate Study will begin in the fall of 2024 and be completed by the spring of 2026.

PROCUREMENT:

On May 6, 2024, the City publicly advertised Request for Proposal (RFP) 23-013, Water Master Plan and Water Rate Study, Project No. 24038. On June 6, 2024, the City received the following two (2) proposals in accordance with the City's requirements and purchasing policies.

A panel of City staff members independently reviewed each proposal on PlanetBids and ranked the two (2) firms based on the following evaluation criteria:
 General approach & work plans;
 Qualifications;
 Past performance/references; and,
 Cost scores.

After careful consideration and evaluation of proposals, City staff recommends that the City Council award the contract to MKN & Associates based on evaluation scores. While the firms who submitted proposals had varying degrees of qualifications, MKN possesses a team of experienced consultants who have prepared water master plans for various agencies throughout Southern California. MKN also provided work plans and an approach on past projects that have proven to be successful due to a great internal Quality Assurance and Quality Control (QA/QC) Plan and public notice/education approach.

FISCAL REVIEW:

The total projected costs for the 2026 Water Master Plan and Water Rate Study is $577,304.

This total amount includes the MKN deliverables for Tasks 1 through 10, in the amount of $458,926, Optional Tasks Item in the amount of $68,378, and an additional $50,000 for contract contingency to cover any unforeseen circumstances that may require additional work.

The current adopted FY2024/2025 budget includes sufficient funding for this multi-year project and is funded entirely from the Water Enterprise Fund. The budget allocation, project costs, and financial details are as follows:

ATTORNEY REVIEW:

The Attorney for the City has reviewed and approved the MKN & Associates professional service contract for Project No. 24038.

ALTERNATIVES:

Alternative No. 1: Accept the proposals and award a professional service contract to MKN & Associates for the Water Master Plan and Water Rate Study, Project No. 24038, in the amount not-to-exceed $577,304. This is the recommended action as it will provide the long-term planning, development of a refined Water System Capital Improvement Program, and updated financial and GIS tools to properly manage and fund the City’s Water Enterprise Fund.

Alternative No. 2: Reject the proposals and direct staff to re-issue the Request for Proposal.

This is not recommended as the proposed scope of work is greatly needed to maintain the City’s compliance with regulatory requirements. MKN & Associates is a highly qualified firm with particular knowledge and expertise in water systems both locally and around the world. In addition, the MKN & Associates proposal is comprehensive, competitively priced and provides a good value.

CITY COUNCIL

COUNCIL ACTION REQUEST
To: Honorable Mayor and Agenda Date: October 15, 2024
Members of the City Council
SUBJECT: Approval of an agreement with Brightly, a Siemens company, in a total amount of $188,610.41 for a Facility Condition Assessment, Americans with Disabilities Act Accessibility Study, and a 21-month subscription for software products and implementation.

Three-Year Strategic Goals
☐ Enhance the culture and environment of “A Nice Place to Live” ☐ Achieve fiscal stability by evaluating processes, and attract and retain revenue producing businesses/opportunities
☐ Attract and retain quality staff through best practices and trends ☒ Maintain, build, and modernize infrastructure to support growth and future needs of the City
☐ Not applicable
EXECUTIVE SUMMARY:

Staff recommends software and professional services from Brightly, a Siemens company, (Brightly) as a turn-key solution to address the City’s strategic objective of identifying a process or system to better account for long-range capital financial planning; more accurately quantify annual maintenance expenses; and determine the amount needed in the City’s Government Buildings reserve fund to support proper maintenance of City-owned buildings/facilities.

The Brightly solution will assess the current condition of City buildings/facilities through data collection and reports; input the newly collected facility assessment data into Brightly Asset Essentials and Predictor software products; utilize the new software for long-term financial planning; ensure operational efficiency through prioritizing capital investments; track maintenance activities through new computerized maintenance management system (CMMS) software; and optimize lifecycles of key assets. The anticipated time to complete the project is six to nine months. Funding for this project is included within the approved Fiscal Year 2024-25 Capital Improvement Plan budget. The project budget of $200,000 (General Fund) is sufficient to complete the project.

DISCUSSION:

In 2023, City strategic planning discussions generated an objective for staff to identify a process or system to better account for long-range capital financial planning, annual maintenance expenses, and create a building maintenance reserve fund for City-owned buildings/facilities. At the February 20, 2024, City Council Study Session, staff recommended that the City complete a Facility Condition Assessment (FCA) for all City-owned buildings to properly assess deferred maintenance and renovation needs, purchase Asset Management System (AMS) software, and load the FCA data into the AMS software. Staff received approval to include $200,000 within the 2024-2025 fiscal year budget to implement a solution.

After evaluating several AMS solutions, staff recommends Brightly as the turn-key solution provider for software and services to meet the City’s strategic objective. Solutions from other vendors did not appear to contain the same expertise concerning vertical (building) infrastructure, were priced higher, required significant customization, and/or seemed too reliant on Geographic Information System (GIS) for functionality. Brightly is a user-friendly, intuitive, and cost-effective option that meets the City’s operational demands without overcomplicating the process. The balance of functionality and simplicity of the Brightly platform (Asset Essentials and Predictor software products) aligns well with staff’s work process and typical computer skill level. Feedback from other public agencies (Irvine, Laguna Niguel, Placentia, Newport Beach, and Ontario) that use Brightly has been positive.

Additionally, Brightly provides professional services for both the FCA report and the Americans with Disabilities Act (ADA) Accessible Survey. Using Brightly to collect facility information, electronically enter the data, and prepare the reports will maximize the staff’s ability to utilize the predefined software functions when evaluating and modeling data. Brightly's asset management software enhances decision-making by turning assessment data into actionable insights for asset maintenance, planning, and budgeting. Additionally, the Brightly team will use the new FCA data and software to create a planned maintenance program that is specifically tailored to Fountain Valley. This new program will help ensure assets are efficiently managed and scheduled for maintenance with minimal effort by City staff. Based on industry standards, the city can expect to reduce reactive work by up to 65%, extend asset lifecycles, and increase the return on investment by over 545% over 25 years by optimizing the FCA data and using a software-driven planned maintenance program.

The Brightly platform, combined with FCA and ADA Accessible Survey data, enables the City to:
 Enable a proactive maintenance and capital planning program rather than being reactive.
 Provide data-driven insights to inform budgeting and resource allocation through executive dashboards and robust analytics.
 Design a 20+ year facility and parks financial lifecycle model to better prioritize annual budgets.
 Identify deferred maintenance and backlog with an effective planned maintenance program.

 Provide an easy-to-use mobile work order system, allowing maintenance staff to track tasks efficiently, prioritize work orders, and keep asset records centralized and organized.
 Transition from manual tracking and institutional memory to a centralized digital database, ensuring continuity of operations and knowledge.  Track and manage the condition of all assets, from facilities to park equipment, and provide insights into the optimal time for repairs or replacements.

The City of Fountain Valley maintains 31 facilities, which amounts to approximately 226,000 square feet. The age range for the facilities is 4 to 60 years, with an average of 35 years. The agreement provides for a FCA of all City Buildings, including park buildings and playground equipment, and an ADA Accessible Survey. The assessment will inventory and barcode fixed assets within buildings and in parks. The data from the assessment will be entered into the Brightly platform and used for long-range capital planning, as well as full asset lifecycle prediction.

The Brightly software platform can integrate with GIS. The Information Technology Department has requested that a small portion of the project budget be allocated toward hiring a consultant to assist with the integration. Therefore, $10,000 of the project budget is reserved for GIS integration consultant services.

Staff anticipates receiving the FCA report in early 2025, in time to provide valuable insights into budgeting for the 2025-2026 fiscal year. Once the software is fully launched, the City will be able to create asset models and provide future capital budgeting for facility and park assets.

The modeling scenarios can be projected out over 20 years if needed. The anticipated time to complete the total project is approximately six to nine months, taking into consideration potential delays due to the upcoming holidays and/or weather.

Staff proposes to utilize Sourcewell, a public agency with legal authority, to serve as a contracting agency for other public agencies for this agreement. Joint Powers Agency Government Code §6500 authorizes public agencies, such as the City of Fountain Valley, to participate through purchasing agreements like those established by Sourcewell. Since the City of Fountain Valley is a Sourcewell member, it can utilize and benefit from its streamlined national and regional cooperative purchasing networks to bring speed and efficiency to the procurement process. The Sourcewell contract number for Brightly is 090320-SDI.

FISCAL REVIEW:

The current adopted FY 2024/25 budget includes sufficient funding for this project. This project is funded by the General Fund in the Capital Improvement Fund (Fund 300).  Facility Condition Assessment (Project No. 25002) total budget = $200,000  Total cost of the Brightly agreement = $188,610.41.
o Brightly software (21-month subscription, ending June 30, 2026) and software implementation = $107,996.62*.
o Professional services (Facility Condition Assessment and ADA Accessible Survey) = $80,613.79.

* Please note that within the Brightly software (21-month subscription) quote, a square footage of 399,999 is used for pricing purposes as the sum value for park fixtures, playground equipment, and actual square footage of City buildings (226,093 square feet). It is common practice to assign a square foot value to account for outdoor maintenance items.

Anticipated future GIS integration consultant services = $10,000 (not part of the Brightly agreement).

ATTORNEY REVIEW:

The Attorney(s) for the City has reviewed this item.

ALTERNATIVES:

Alternative No. 1: Approval of an agreement with Brightly, a Siemens company, in a total amount of $188,610.41 for a Facility Condition Assessment, Americans with Disabilities Act Accessibility Study, and a 21-month subscription for software products and implementation. This is the recommended action.

Alternative No. 2: Do not approve the Brightly agreement and direct staff to solicit proposals.

This is not recommended because the proposed turnkey solution is efficient, effective, and provided at a competitive cost. Soliciting proposals will significantly delay progress on this City's strategic objective and hinder critical discussions about setting City government buildings fund reserve amounts and conversations about present-day deferred maintenance costs for key City facilities.

RECOMMENDATION:

Staff is requesting City Council approval of Alternative No. 1 to approve an agreement with Brightly, a Siemens company, in a total amount of $188,610.41 for a Facility Condition Assessment, Americans with Disabilities Act Accessibility Study, and a 21-month subscription for software products and implementation.

Predictor Enterprise Implementation and
Training - Statement of Work
Package 2
Purpose
The purpose of the Predictor Enterprise Implementation and Training Services, as scoped herein, is to deliver the model development, training, and support required to realize the value that a Predictor Enterprise subscription has to offer for building asset lifecycle models in support of the Client's infrastructure investment planning processes. To facilitate this outcome, a Brightly's (Company) Selected Consultant (Consultant) will conduct workshops with Client staff members (workshop participants) focused on developing a first-generation lifecycle model* using the Client's data.

Through the workshop experience, follow-up meetings, and post-implementation support, Client staff will be provided the opportunity to learn the essentials of building asset lifecycle models with Predictor Enterprise.

With this background and understanding, Client staff will be able to assume ownership of the first-generation lifecycle models and continue to build out "what-if" scenarios after training is complete with support from the Company Selected Consultant.

Value
By partnering with Brightly, you are provided expert guidance in the best practice configuration and usage of Predictor Enterprise. In summary, the scope of the proposed Predictor Enterprise Implementation and Training Services includes:
• Workshop training sessions led by the Consultant focused on building lifecycle model(s) for the asset class(es) identified in this SOW and using the Client's data; • Client data loaded into the lifecycle model(s) in Predictor using the asset class(es) identified in this SOW and using the Client's data and input;
• One (1) month of online support provided directly by the Consultant. This service is designed to provide Client staff with assistance in matters related to reporting; troubleshooting, and refining the previously delivered lifecycle model(s);
• Support and guidance for installing Predictor Enterprise on the Windows operating system; • Guidance on how to structure data for effective lifecycle modeling; *A "first-generation lifecycle model" is a fully functional Predictor Enterprise lifecycle model that can be used to present reports and explore the functional aspects of Predictor Enterprise software.

However, the term ‘first-generation' is used to qualify that the model may not yet be mature or accurate enough for actual decision- making purposes. Also note that a single model applies to a single asset class. For example, a model built for pavement would not include information about signage or street markings.

Per this scope of services, a first-generation lifecycle model will be developed for the asset class identified below (select one):

CITY OF FOUNTAIN VALLEY

CITY COUNCIL

COUNCIL ACTION REQUEST
To: Honorable Mayor and Agenda Date: October 15, 2024
Members of the City Council
SUBJECT: Approval of the Second Amendment to Site Lease with Option for the SBA Monarch Towers III, LLC cell tower at Harper Park to amend the rental terms and add DISH as a subtenant
Three-Year Strategic Goals
☐ Enhance the culture and environment of “A Nice Place to Live” ☐ Achieve fiscal stability by evaluating processes, and attract and retain revenue producing businesses/opportunities
☐ Attract and retain quality staff through best practices and trends ☐ Maintain, build, and modernize infrastructure to support growth and future needs of the City
☒ Not applicable
EXECUTIVE SUMMARY:

SBA Monarch Towers III, LLC (SBA) requests that the City Council approve a second amendment to the site lease for the existing monopine cell tower at Harper Park, which adds DISH as a subtenant and amends the rental terms.

Due to a tenant termination, SBA does not presently have any sublessees on the cell tower.

SBA has requested to add DISH as a subtenant and to reset the monthly rent of the lease agreement to $2,500, with an annual increase of 2%. The amendment also offers the City an additional 50% revenue sharing beginning with the second paying sublessee.

SBA stated that relocating DISH from the adjacent Southern California Edison (SCE) transmission tower to the existing monopine is dependent on the ability to secure reduced rent from the City.

DISCUSSION:

In December 2009, the City Council approved a lease agreement (CON-09-34A) with T-Mobile West Corporation (T-Mobile) for a cellular site at Harper Park, 8675 Bluebird Avenue, a cityowned property. The agreed-upon rent of $2,500 per month commenced on April 21, 2010, and included an annual increase of 3.5%.

Page 144 ends

Second Amendment to Cell Tower Site Lease – Harper Park October 15, 2024

Page 2 ends

Mobilitie Investments II, LLC (Mobilitie) acquired T-Mobile’s ownership interest in the cell site at Harper Park in 2010. City Council approved the City cell site lease assignment from T-Mobile to Mobilitie on November 16, 2010. Upon and from the date of assignment, Mobilitie assumed all obligations and responsibilities of the lease.

On April 2, 2012, Mobilitie was acquired by an affiliate of SBA Communications Corporation, which subsequently changed the entity's name to SBA Monarch Towers II, LLC, which was later changed to SBA Monarch Towers III, LLC (SBA). SBA is currently paying the City $4,046.74 monthly per the lease agreement terms.

Due to tenant termination, SBA has requested that the monthly rent for the lease agreement be reset to $2,500, with an annual increase of 2%. In addition to the monthly rent, SBA is offering the City a revenue share of 50%, beginning with the second paying sublessee. The City will not be paid any revenue share if there are fewer than two (2) sublessees.

SBA does not presently have any sublessees on the existing cell tower in Harper Park. They are requesting approval of DISH as a subtenant per the Second Amendment. Approval of the Second Amendment will enable DISH to relocate from the adjacent SCE transmission tower to the existing Harper Park monopine wireless telecommunications facility located at 8675 Bluebird Avenue. SBA stated that relocating DISH is dependent on the ability to secure reduced rent from the City.

FISCAL REVIEW:

Per the terms of the current lease agreement, the City receives $4,046.74 monthly in rent. This amount automatically increases by 3.5% annually in April.

The proposed Second Amendment to the Site Lease will reset the monthly rent to $2,500, which is a decrease of $1,546.74 per month. It also reduces the automatic annual increase from 3.5% to 2%. In addition to the monthly rent, the Second Amendment provides the City with a revenue share of 50% when SBA has at least two sublessees at the site.

The Second Amendment accommodates the relocation of the DISH facility from the SCE transmission tower site but results in an immediate loss of revenue until future revenue sharing from additional sublessees is obtained.
