RESOLUTION NO. 2023-XX
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF FREMONT ADOPTING THE CITY’S MUNICIPAL SOLID WASTE, RECYCLING AND ORGANIC WASTE RATES COMMENCING JANUARY 1, 2024
WHEREAS, the City of Fremont (“City”) entered into a contract with Republic Services Inc. (formerly Allied Waste/BFI) (“Contractor”), for collection, disposal, and processing of solid waste, recyclables, and yard waste in the City commencing January 1, 2003; and
WHEREAS, the City and Contractor entered into the Amended and Restated Agreement dated April 12, 2017, and the First Amendment dated November 21, 2017; and
WHEREAS, incorporated into this contract are Exhibits A and B establishing the negotiated rates between the City and the Contractor for collection, disposal, and processing services, and such rates are to be adjusted on a biennial basis based on the Consumer Price Index or “CPI” of the All Urban Consumers Index and the OPIS fuel index as specified in Article 12 of the Agreement; and
WHEREAS, the single family and multi-family dwelling rates include $2.40/per unit per month, excluding franchise fees, for a Recycling Processing Charge that Contractor will remit to the City as part of the monthly reconciliation; and
WHEREAS, the single family dwelling rates include $1.50/per unit per month for yardwaste transfer costs that Contractor will remit to the City as part of the monthly reconciliation; and
WHEREAS, the City established an Overflow Surcharge Fee to address the impacts and costs of overloaded commercial containers, which causes extreme difficulties in servicing the containers, creates litter and cause storm water discharges; and
WHEREAS, the Overflow Surcharge fee is incorporated into Exhibit A and shall be administered consistent with those procedures outlined in the Overload Surcharge Fee notes in Exhibit A; and
WHEREAS, Liquidated Damage fees in Exhibit H are also adjusted biennially over the Base Term to reflect change in the CPI of the All Urban Consumers Index; and
WHEREAS, included in the Solid Waste Collection rates is a Disposal Differential Fee, which reflects the difference between the $107.13 per ton disposal rate incorporated into the Solid Waste Collection rates and the Fremont Transfer Station Mixed Municipal Waste Service Fees set by the City Council; and
WHEREAS, the City Council has approved a Fremont Transfer Station Mixed Municipal Waste Service Fee of $91.83 per ton resulting in a Disposal Differential Fee of $15.30 per ton which Contractor shall remit to the City on a monthly basis; and

WHEREAS, the City has established a Disposal Differential Reserve Fund balance to fund waste diversion and disposal related items; and
WHEREAS, the excess per ton disposal charge shall be equivalent to the disposal rate used for solid waste rate setting for refuse or the applicable rate for recyclable loads plus any applicable regulatory fees; and
WHEREAS, the excess per ton disposal charge for refuse, including regulatory fees, shall be $143.80 per ton; and
WHEREAS, the City intends to continue the subsidy to commercial organics customers at 35%, as reflected in Exhibit A Solid Waste Collection Rates.
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF FREMONT RESOLVES AS FOLLOWS:
SECTION 1. The City Council adopts the attached revised Exhibits A and B of the Amended and Restated Agreement for Collection, Processing and Disposal of Municipal Solid Waste, Recyclables, and Organic Waste between the City and Contractor.
SECTION 2. The City Council adopts the attached revised Exhibit H of the Amended and Restated Agreement for Collection, Processing and Disposal of Municipal Solid Waste, Recyclable, and Organic Waste between the City and Contractor.

Overflow Surcharge Rate Notes:
1. Any overflow collected and charged shall be adequately documented, and such documentation shall be made available to customer and City, upon request, to substantiate any additional charge related to overflowing containers.
2. No overflow charges may be assessed unless there is significant overflow from a container, the container lids are open 30 degrees or more and the overflow has actually been collected by the franchised hauler.
3. No overflow charge may be assessed for overflow that is caused by a prior collection being missed or by containers being repositioned by the franchised hauler after collection.

SCHEDULE OF LIQUIDATED DAMAGES
January 1, 2024 – December 31, 2025
The City Manager or designee, may impose the following liquidated damages upon Company, in addition to any other available remedies City may have.
Occurrence Payment per Occurrence
a. For each failure to collect MSW, Recyclables, or
Organic Waste which has been properly delivered
for Collection on the scheduled Collection day: $87.05
b. For each occurrence of excessive noise in violation
of Section C.9.2 of Exhibit C: $87.05
c. For each occurrence of discourteous behavior: $174.09 d. For each occurrence of collecting MSW,
Recyclables or Organic Waste during unauthorized
hours: $348.18
e. For each failure to respond to a Customer complaint
in a timely manner: $87.05
f. For each failure to have Collection workers dressed
in suitable and acceptable uniform clothing and
badge (per employee per day): $87.05
g. For each failure to notify the City Manager of
material operation changes (each day): $348.18
h. Failure to submit timely reports. Any report shall
be considered late until such time City receives a
materially correct and complete report. For each
business day a report is late: $174.09
i. Late Franchise Fee $1,000.00/day
j. Failure to Compost (fee per ton) $15.74
