1 AMENDMENT TO AGREEMENT
THIS FIRST AMENDMENT TO AGREEMENT made and entered into as of this _____ day of ________, 2022, amends the Agreement entered into between the City of Fresno, a California municipal corporation (City), and Fresno Economic Opportunities Commission (FEOC), a California non-profit benefit corporation (Contractor).
RECITALS
WHEREAS, City and Contractor entered into an Agreement dated July 1, 2021, for social service transportation services (Agreement);
WHEREAS, Fresno County Rural Transit Agency (FCRTA) and City have prepared the Urban & Rural Social Service Transportation Proposed Operations Program & Budget FY 2022-2023 (OPB);
WHEREAS, the Agreement permit s an extension upon a mutually written agreement by both parties; and
WHEREAS, the parties seek an amendment to the Agreement to extend the term for one year (Amendment).
AGREEMENT
NOW, THEREFORE, in consideration of the above recitals, are contr actual in nature, the mutual promises herein contained, and for other good and valuable consideration hereby acknowledged, the parties agree that the Agreement be amended as follows:
1. The City and Contractor mutually agree to a one- year extension of the Agreement with a termination date of June 30, 2023, unless sooner terminated or unless its term is extended.
2. The City shall pay to Contractor an amount not to exceed $1, 485,700 for the urban social service transportation services detailed in the OPB FY 2022-2023.
3. In the event of any conflict between the body of this Amendment and any exhibit or attachment hereto, the terms and conditions of the body of this Amendment shall control and take precedence over the attachment.
4. Except as otherwise provide herein, the Agreement remains in full force and effect.
