The undersigned, being the sole member of MILLROSE PROPERTIES CALIFORNIA, LLC, a California limited liability company (the “Company”), pursuant to the provisions of the California Limited Liability Comp any Act and the Operating Agreement of the Company, does hereby unanimously agree and consent to the a doption of, and does hereby adopt, the following resolutions:
RESOLVED, that that the individuals listed on Exhibit “A”, attached hereto, be, and each hereby is, elected to the office of the Company set forth opposite his or her name, to serve the Co mpany in such capacity until the next annual meeting of the Member of the Company, until a successor is duly elected and qualified, or until his or her earlier resignation or removal from office;
AND, RESOLVED, that the authorities hereby conferred shall be deemed retroactive, and any and all acts taken by the individuals listed on Exhibit “A” in their respective capacities in the name or on behalf of the Company that were performed prior to the passage of thes e resolutions be, and they hereby are, approved, ratified and confirmed.
A facsimile or PDF of a signature, or an electronic signature, to this Written Consent shall be deemed as valid as an original signature thereto.
