A RESOLUTION OF THE COUNCIL OF THE CITY OF
FRESNO, CALIFORNIA, DECLARING CERTAIN CITY -
OWNED MATERIALS AND EQUIPMENT AS SURPLUS
PERSONAL PROPERTY AND AUTHORIZING THEIR SALE
AT PUBLIC AUCTION TO THE HIGHEST BIDDER
WHEREAS, the City of Fresno is constructing the Blackstone McKinley BNSF Grade Separation Project to eliminate two existing at -grade railroad crossings at North Blackstone Avenue and East McKinley Avenue by creating an underpass below the BNSF mainline track (the Project); and
WHEREAS, the City Council approved an Agreement for Purchase and Sale of Real Property and Escrow Instructions to acquire fee title interest of seven improved parcels, collectively 3.0 -acres (130,716 square feet), identified as Assessor’s Parcel Numbers 451071 -07, 451 -071-08, 451 -071-09, 451 -071-10, 451 -071-23, 451 -071-25, and 451-071-38, owned by Rocking Rail LLC, a California limited liability company for an amount of $4,500,000, for the construction of the Blackstone McKinley BNSF Grade Separation Project; and
WHEREAS, the City Council approved Purchase and Sale of Real Property included Improvements pertaining to the Realty and Business Furniture, Fixtures, and Rolling Stock (collectively, Business Assets) and Escrow Instructions to acquire Business Assets as identified in the associated Bill of Sale, owned by Jet Black Logistics, Inc., a California corporation, doing business as E-Z Haul Ready Mix and Star Building Supplies for an amount of $2,872,250 for the construction of the Blackstone McKinley BNSF Grade Separation Project; and

WHEREAS, the City of Fresno received full possession of Business Assets upon the close of escrow; and
WHEREAS, the Business Assets , described in Exhibit “A” and appraised at fair market value for $2,474,250 were purchased using Measure C and California Local Partnership Program Formulaic grant funds, which are restricted to Project -related purposes and cannot be used for general municipal purposes; and WHEREAS, the Business Assets can only provide beneficial use to the Project when liquidated; and
WHEREAS, Section 4 -202 of the Fresno Municipal Code authorizes the City Council to declare City -owned personal property as surplus and to direct its disposition by sale, auction, or other means in the City’s best interest; and WHEREAS, selling the surplus personal property at public auction to the highest bidder is deemed to be in the best interest of the City of Fresno; and WHEREAS, the proceeds from the sale of surplus personal property shall be deposited back into the Capital Improvement Project account in compliance with Measure C and California Local Partnership Program Formulaic grant requirements , and any remaining funds at the conclusion of the project shall be returned to the granting agency.
NOW, THEREFORE, BE IT RESOLVED by the Council of the City of Fresno as follows:
1. The Business Assets identified by City departments and described in Exhibit “A”, attached hereto and incorporated herein, are not permitted for municipal use and are hereby declared to be personal property surplus.

2. The City Manager, or their designee, is authorized and directed to dispose of the City-owned personal property surplus through sale at public auction to the highest bidder, in accordance with the procedures set forth in Section 4 -202 of the Fresno Municipal Code.
3. The City Manager, or their designee, is further authorized to execute any and all documents necessary to carry out the purposes of this resolution.
4. Proceeds from the sale of the City-owned personal property surplus shall be deposited into the Capital Improvement Project account in compliance with Measure C and California Local Partnership Program Formulaic grant requirements and any remaining funds at the conclusion of the project shall be returned to the granting agency, in accordance with applicable grant restrictions and accounting practices.
5. The Business Assets that cannot be sold at auction shall be disposed of through other appropriate means, including sale as scrap material, donation to eligible organizations, or other lawful disposal methods, as determined to be in the City’s best interest.
