Attention: Cristal De La Torre
Subject: Proposal for ARFF Vehicle Treatment
Fresno Yosemite International Airport
Fresno, California
Dear Ms. De La Torre,
Group Delta Consultants, Inc. ( Group Delta) is very pleased to provide this proposal for on-call environmental consulting services to provide aircraft rescue and firefighting (ARFF) vehicle treatment services to remove aqueous film forming foam (AFFF) containing per- and Polyfluoroalkyl Substances (PFAS) at the Fresno Yosemite International Airport (FAT) for the City of Fresno, Airports Department (Client) . Based on information presented in FAT’s AFFF to fluorine-free firefighting foam (F3) Transition Plan dated December 4, 2024, and Ms. De La Torre’s request for proposal received by email on December 13, 2024, to implement ARFF vehicle treatment, Group Delta has prepared the following scope of work, cost estimate and schedule.
This proposal presents the level of effort and our estimated costs to the On- Call Services Agreement between City of Fresno and Group Delta dated September 30, 2024.
PROJECT DESCRIPTION
The project description is provided in the AFFF to F3 Transition Plan. A summary of the scope of work to implement the ARFF vehicle treatment is described below:
SCOPE OF WORK
Group Delta will conduct project oversight and management services throughout the duration of the ARFF Vehicle Treatment which will include the following tasks:
Task 0 – Project Initiation and Scheduling Deposit
A deposit is required to schedule our subcontractor, TRS Group, Inc. (TRS). Following execution of a contract and receipt of the deposit, Group Delta will verify the project schedule, implement project planning and coordination, and schedule the project kickoff meeting.
Task 1 – Project Preparation, Mobilization and Setup
City of Fresno, Airports Department February 3, 2025
Proposal for ARFF Vehicle Treatment Page 2
Group Delta will support Client during project planning and preparation activities, assist with site layout, and coordinate with the City of Fresno’s Sanitary Sewer and Wastewater Division to gain approval for sanitary sewer batch discharge of the treated rinsate . It is our understanding the Wastewater Division will allow rinsate to be discharged if the results are below the drinking water standard, however this concentration will require additional rounds of treatment and may not be achievable . Group Delta recommends additional communication and negotiation with the Wastewater Division to identify acceptable concentrations above the drinking water standard, such as 1,000 parts per trillion (ppt), in case 4 ppt is not achievable by the treatment system.
Group Delta will coordinate with Eurofins Laboratory in Sacramento, California to obtain sample containers for collection of PFAS samples. Group Delta will provide s ix (6) 55 -gallon drums for waste storage of PFAS sludge and spent liquid granular activated carbon (LGAC) and twelve (12) 275-gallon IBC totes for AFFF concentrate and the initial water rinse (~2,780 gallons) for temporary onsite storage.
The ARFF vehicles and tank volumes provided by Client are listed below. This proposal provides a cost for treatment of three ARFF vehicles to be completed in one mobilization:
1. 2016 Oshkosh Striker (AR1) – 420-gallon AFFF tank
2. 2016 Rosenbauer Panther (AR2) – 400-gallon AFFF tank
3. AFFF Trailer – 570-gallon AFFF tank
Once a mutually agreed upon start date has been determined, TRS will mobilize its treatment system via semi-truck and trailer to the Client’s designated location. TRS will provide two 21,000- gallon water storage tanks with secondary containment. TRS will start the clean-out on AR1 and estimates approximately five to seven business days per vehicle , plus additional time for mobilization and set-up prior to treatment of AR1 (see Attachment) Client shall provide the following items during this task as stated in TRS’s revised proposal dated December 31, 2024 (see attachment):
• Flow diagrams and equipment schematics of the systems and any modifications made to the systems.
• A person knowledgeable with the operation of the vehicles. • Transport and staging of the firefighting vehicle to the clean- out location on the designated, agreed upon start date.
• Assistance acquiring any security clearances, badges, or training to access the work area, if applicable. We have assumed the process will not require more than four hours per person to complete.
• Required permits (e.g., sanitary sewer batch discharge).
City of Fresno, Airports Department February 3, 2025
Proposal for ARFF Vehicle Treatment Page 3
• 8,500 lb. capacity forklift to off- load and set equipment upon arrival and loading for departure. TRS field personnel are forklift -certified, if a City of Fresno, designated operator is not available. Upon request, TRS can add forklift rental to its price. • Operating resources, including electricity, water, restroom facilities, and sanitary sewer discharge, if applicable.
• Water source from a hydrant connection, including backflow protection. • A 240-volt or 480-volt electrical service, with a minimum of 60 amps, within 50 feet of the clean-out operation.
Task 2 – ARFF Vehicle Treatment
Group Delta will make two (2) separate site visits to confirm 1) project set up has been properly completed the day before treatment is scheduled to begin and be onsite the following day during the first day of treatment to make sure all processes are properly executed ; and 2) treatment was completed in accordance with design, ensure all required sampling was conducted, collect additional samples of the waste streams, and confirm the treated rinsate is ready for disposal.
Group Delta/TRS will collect and ship nine (9) water samples for laboratory analysis of PFAS for:
• Potable water supply
• Three initial freshwater rinse (baseline)
• Three final freshwater rinse (reductions achieved)
• Two rinsate composites, one from each frac tank for sanitary sewer discharge. Group Delta’s cost includes expedited analysis for these samples only and is subject to laboratory capacity.
An additional three (3) samples will be collected from the waste stream and analyzed to obtain a final cost estimate from the Republic facility in Beatty, Nevada.
The AFFF concentrate is first removed from the vehicle followed by the first potable water rinse.
TRS will fill the AFFF tank with freshwater, allow the water to sit for a minimum of 30 minutes, and then collect a sample for laboratory analysis (baseline). The AFFF concentrate and the first freshwater rinse will be placed in storage containers provided by Group Delta and require off- site disposal, as the PFAS concentrations are too high for PerfluorAd treatment. To start treatment, TRS will apply PerfluorAd using warm, potable water, heated to about 100 to 120 degrees Fahrenheit (°F) (solution) and perform the first solution flush followed by a water rinse.
TRS will be perform three to five cycles of PerfluorAd/potable water flushes depending on the visual observation of foam in the rinsate (see Attachment).
Next, TRS will treat the rinsate with PerfluorAd concentrate and a neutral flocculant aid. TRS will filter the settled solids (PFAS sludge) from the bottom of the sedimentation tank and pump the remaining rinsate through a bag filter to separate any remaining turbidity and flocs.
To polish the
City of Fresno, Airports Department February 3, 2025
Proposal for ARFF Vehicle Treatment Page 4
rinsate, TRS will pump it through two liquid- phase granular activated carbon (LGAC) vessels in series. TRS will store the treated rinsate temporarily in frac tanks, which must be stationed close to the clean-out area. Once all rinsate has been collected in the tanks, the results from rinsate samples (collected after all three ARFF vehicles are treated) will be submitted to the Fresno Wastewater Division for approval to discharge to their system.
While TRS does not provide performance guarantees, the ir process should reduce PF AS in the vehicles by greater than 98 percent and reduce concentrations in the rinsate to less than 1,000 parts per trillion (ppt) of total PFAS. While approximately 70% of past project have reached rinsate concentrations of 100 ppt and some occasionally are below 4 ppt, TRS cannot predict the final rinsate concentrations. For an additional charge, TRS can process the rinsate through another pass of fresh LGAC, further reducing PFAS concentrations. We have included one additional round of rinsate treatment in the cost summary table (see below).
Client shall provide the following items during this task:
• By awarding a contract based on this proposal, the Client acknowledges that the components inside the vehicle are suitable for potable water, heated to about 100 to 120F.
• The Client will also inform TRS of any sections of the vehicle that have not been exposed to AFFF (e.g., bumper turret has never applied foam in training or event responses).
Task 3 – Demobilization and Reporting
TRS will demobilize equipment from the site following completion of the treatment. Once the frac tanks have been emptied, TRS will clean and remove the tanks. The remaining waste will be stored onsite and disposed under separate contract.
Client will receive a Final Completion R eport summarizing the entire ARFF treatment process approximately one month after demobilization. The report will include the laboratory analytical reports and quantities of waste generated, including AFFF, AFFF rinse water, treated rinsate, spent LGAC, sludge, PPE, and miscellaneous non-hazardous trash.
Client shall provide the following items during this task:
• Once the laboratory analytical results for the rinsate have been received, Group Delta will confirm they are less than TRS’s target of 1,000 ppt of total PFAS. Running one additional round of rinsate treatment should reduce concentrations below their target, with the goal of being as low as possible. Once the sample results are shared with the Wastewater Division and discharge criteria has been met, Group Delta will notify Client to discharge the rinsate from the frac tanks . Once the tanks are empty, TRS will power wash or hose rinse the interior of the tanks and prepare the tanks for demobilization from the site. We anticipate the tanks will be picked up by the vendor within one week of cleaning.
City of Fresno, Airports Department February 3, 2025
Proposal for ARFF Vehicle Treatment Page 5
Task 4 – Contingency
A contingency in amount of 15% has been added to the proposed cost. The contingency will only be utilized if we encounter significant unexpected problems or changes to scope. In that event, we will discuss the changes with Client before incurring any additional cost. Supplemental services will be provided, as needed, on a time-and-materials basis per the attached fee schedule.
Once the additional scope and cost are agreed upon, Group Delta will implement the work within the not to exceed budget provided in Table 1.
ASSUMPTIONS
• Group Delta will be onsite:
1) For two consecutive half days at the end of project startup to observe, document and confirm the treatment system is set up as designed. The next day , Group Delta will oversee the first day of treatment processes, collect the initial round of samples, and ship to the laboratory.
2) For two consecutive half days at the end of treatment to observe, document and confirm treatment was completed as designed. The next day Group Delta will collect the final round of samples and assist with other demobilization activities. Additional sampling of the waste stream will be collected and shipped to the laboratory. The waste stream sample results are required by Republic for profiling and approval at their facility in Beatty, Nevada.
3) Additional visits may be performed on an as needed basis, if requested by Client for an additional cost.
• Group Delta will provide weekly updates to Client once mobilization has been initiated. • Group Delta has assumed one kickoff meeting and up to three meetings during the project to discuss questions, progress and upcoming tasks.
• Standby beyond 16 cumulative hours will be charged at a rate of $451 per hour (not to exceed eight hours per day), which is defined as TRS equipment and personnel sitting idle at the clean-out location for reasons outside of TRS’s control. • TRS has observed that fiberglass and stainless steel can break down over time, becoming porous, making it difficult to remove PFAS, and resulting in unsatisfactory outcomes. • Applying the PerfluorAd process to some cannons and turrets on ARFF -type vehicles can be problematic and difficult to perform safely. Whenever possible, TRS will remove the nozzle to the top cannons and/ or bumper turrets and attach a fire hose in its place, TRS can pump the PerfluorAd solution through the network using an external pump at approximately 25 to 50 gallons per minute (gpm). In some instances, the ARFF maintenance team may need to remove these nozzles for TRS to complete their work. • TRS estimates four to five consecutive weeks for mobilization, system set- up, vehicle cleaning, and system decontamination, break -down, and demobilization. TRS estimates City of Fresno, Airports Department February 3, 2025

approximately five to seven business days per vehicle to perform the clean-outs and each vehicle will be cleaned out individually, so only one vehicle will be out of service at a time. • TRS assumes the second ARFF vehicle will be ready for treatment immediately after the trailer has been treated.
• TRS assumes it will complete the work in an indoor location, protected from the elements. • All activities not included in this proposal will not be included in the project. • Discharge of the treated rinseate will occur within 30 days following completion of the project, otherwise additional rental fees for the frac tanks may apply. • Group Delta will not be providing a Bond for the project.
SCHEDULE
We are prepared to schedule the work immediately following receipt of your written authorization and payment of Task 0. We anticipate work will be conducted in spring 2025.
FEES
The fee for the above scope of work will be completed on a lump sum basis in accordance with the schedule of values provided in Table 1 below . Invoice No. 1 will be submitted for the full amount of Task 0 once the Contract is signed by both parties. Following receipt of payment, TRS will schedule and implement the project. Group Delta will invoice monthly on a percent complete basis during implementation of Tasks 1 through 3.

Subject: Revised Proposal for PerfluorAd™ Mobile, Batch Treatment System Clean-Out of Aqueous Film-Forming Foam (AFFF) from Firefighting Vehicles and Treatment of PFAS in Rinsate
Freno Yosemite International Airport
Dear Ryan,
Thank you for the opportunity for TRS Group (TRS) to provide a proposal to apply the PerfluorAd™ process, of which TRS is the exclusive licensee in North America, to remove per- and polyfluoroalkyl substances (PFAS) from two air and rescue firefighting (ARFF) vehicles and one trailer, impacted from the use of aqueous film-forming foam (AFFF), and to treat the generated rinsate on-site.
Background
The PerfluorAd™ process removes PFAS from AFFF firefighting systems and is appropriate for varying water chemistries and contaminant content. PerfluorAd is a biodegradable, plant-based liquid. A difference in electrical charge is the main force that generates a connection, or ionic bond, between PerfluorAd and PFAS, forming a micro-floc large enough to be removed by sedimentation and filtration.
In typical AFFF tank clean-outs, the primary constituents of concern include a mixture of PFAS, predominantly Perfluorooctanoic acid (PFOA), Perfluorooctanesulfonic acid (PFOS), and fluorotelomer sulfonates (FTS); however, other fluoro-organic compounds could be present.
The PerfluorAd™ process is unique in its ability not only to remove PFAS from the wetted surfaces of tanks, pumps, valves, pipes, etc., but also to remove PFAS from the generated rinsate, resulting in a significant reduction of waste volumes and costs. Further, TRS has achieved PFOA/PFOS concentrations of less than two parts per trillion (ppt), allowing for the on-site sanitary sewer discharge of the rinsate, if approved by the relevant stakeholders.
Description of the Firefighting Vehicles
Based on the information you and the airport (Client) provided to us, TRS hereby provides a proposal that meets or exceeds the requested scope of work. TRS will use the PerfluorAd™ process to clean out the AFFF tanks and associated discharge piping in each vehicle and trailer. TRS assumes that the Client will use EPA Method 537 and/or 1633 to analyze total PFAS in the potable water supply, initial (baseline)
2 P2764.PT.Fresno.20241231.docx
and final rinses for each AFFF tank in the vehicles, and in the combined, polished rinsate sample from each temporary rinsate storage tank. TRS understands the objective is to remove as much PFAS from the AFFF concentrate tanks and reduce total PFAS concentrations in the rinsate to the extent practicable.
Note that as firefighting systems are complex, it is the Client’s responsibility to provide TRS with flow diagrams and equipment schematics of the systems and any modifications made to the systems.
Step 1: System and Project Preparation
The firefighting vehicles and tank volumes follow:
• 2016 Oshkosh Striker (AR1) – 420-gallon AFFF tank
• 2016 Rosenbauer Panther (AR2) – 400-gallon AFFF tank
• AFFF Trailer - 570-gallon AFFF tank
TRS and the Clients will schedule a mutually agreed upon date to complete the clean-outs. TRS will mobilize its treatment system via semi-truck and trailer to the Client’s designated location. TRS will require the use of a forklift, provided by the Client, to off-load and set the equipment upon arrival and reload for departure. TRS will clean the vehicles one at a time and estimates the clean-out will take approximately five to seven business days per vehicle. Additionally, there is time required for mobilization and set-up, rinsate treatment, system decontamination and breakdown, and demobilization. Thus, the total estimated time to complete the project is four to five weeks.
While PerfluorAd is a plant-based, biodegradable, oleic acid that will not damage the rubber or plastic seals in firefighting systems, TRS recommends replacing them as they may retain PFAS. TRS also recommends the disposal of any fire hose exposed to AFFF, as they also will retain PFAS.
Step 2: Rinsing and Cleaning of a Firefighting Vehicle
TRS applies PerfluorAd using warm, potable water, heated to about 100 to 120 degrees Fahrenheit (°F).
By awarding a contract based on this proposal, the Client acknowledges that the components inside the vehicle are suitable for this temperature. TRS will sample and analyze the potable water supply for PFAS prior to starting the clean-out. The Client will also inform TRS of any sections of the vehicle that have not been exposed to AFFF (e.g., bumper turret has never applied foam in training or event responses). TRS typically does not attempt to clean-out these portions of vehicles. As mentioned earlier, it is the Client’s responsibility to provide TRS with flow diagrams and equipment schematics of the systems and any modifications made to the systems.
TRS pricing assumes the Client will drain and store the existing AFFF concentrate from the vehicles. TRS can provide revised pricing at the Client’s request to include removal of the AFFF concentrate.
TRS will perform a single potable water rinse of the AFFF tank. The AFFF concentrate and the first freshwater rinse will require off-site disposal, as the PFAS concentrations are too high for PerfluorAd™ treatment. TRS will containerize the first water rinse in storage containers provided by the Client.
TRS will collect samples of the first potable water rinse as the baseline concentrations for each vehicle, the final rinse and polished rinsate during the cleaning process. The baseline sample will be collected one or two days into operations. TRS’s price includes labor for sample collection and shipment to the Eurofins Laboratory in Sacramento, California. The client will manage and pay for laboratory analyses.
3 P2764.PT.Fresno.20241231.docx
After completion and sampling of the first water rinse, TRS will begin rinsing the system using heated water enriched with the PerfluorAd™ concentrate. TRS generates the solution in a mixing tank and recirculates it for a minimum of 90 minutes through the vehicle by pumping it from the mixing tank into the vehicle’s AFFF tank, through its AFFF distribution network, and back to the mixing tank. Thereafter, TRS rinses the vehicle again with potable water. TRS may rinse larger firefighting vehicles in different sections, increasing the clean-out completion time. This results in hundreds of cycles of PerfluorAd™ solution followed by potable water rinse cycles inside the vehicle.
TRS will rinse the vehicle a minimum of three cycles, which consists of a PerfluorAd™ solution rinse followed by a potable water rinse, to a maximum of five cycles with varying PerfluorAd™ dosage concentrations, depending on the amount of AFFF remaining in the system. TRS uses foam development as a visual measure of rinse effectiveness. If TRS observes foaming, we re-apply the solution. The AFFF concentrate tanks may require manual cleaning with brushes, steam jet, or rotating nozzle, depending on the amount of PFAS in the AFFF tank. Note that TRS has included this manual cleaning in the price.
After each PerfluorAd™ cleaning cycle, TRS will pump the rinsate into a sedimentation tank for temporary storage. TRS will collect a water sample from the last potable water rinse of the vehicle and submit it to the Eurofins laboratory for PFAS analysis. TRS will pump a final freshwater rinse into the stirring and sedimentation tank, thereby completing the vehicle clean-out process.
After the third or fourth flush, TRS will perform a visual inspection to ascertain if any deposits of dried AFFF remain in the tank. TRS may elect to perform an additional PerfluorAd™ cleaning cycle if inspection results reveal any remaining AFFF residue. As PFAS are extremely tacky and will adhere to internal surfaces of firefighting systems, TRS does not expect 100 percent removal.
Step 3: Treating the Rinsate Water
The next step is the treatment of the clean-out rinsate applying the PerfluorAd™ process. Concurrent with the PerfluorAd™ rinse of the vehicles, TRS will mix PerfluorAd and a neutral flocculant aid with the collected rinsate in the sedimentation tanks. After a short mixing period, TRS will turn off the mixer and allow the solution to settle for a minimum of four hours. Then TRS will filter the settled solids (PFAS sludge) from the bottom of the sedimentation tank and pump the remaining rinsate through a bag filter to separate any remaining turbidity and flocs.
To polish the rinsate, TRS then will pump it through two liquid-phase granular activated carbon (LGAC) vessels in series. TRS will store the treated rinsate temporarily in frac tanks provided by the Client, which must be stationed close to the clean-out area. The Client will place the frac tanks in rented secondary containment. Once TRS has completed the clean-outs and decontamination of its equipment, TRS will collect a composite sample from each frac tank as it reaches capacity and submit it to the laboratory for expedited analysis, which will minimize the Client’s tank rental periods. Please note that laboratory turnaround times are not guaranteed. TRS will consolidate the recovered PFAS sludge into a container, dewater it to the extent practicable, and containerize it for off-site disposal. Once the analytical results confirm the rinsate meets the discharge criteria, the Client can discharge the rinsate from the frac tanks, power wash or hose rinse the interior of the tanks and prepare the tanks for demobilization.
W
hile TRS does not provide performance guarantees, our experience is the process should reduce PFOA and PFOS in the vehicles by greater than 98 percent and reduce concentrations in the rinsate to less than 1,000 nanograms per liter of total PFAS. For an additional charge, TRS can process the rinsate through another pass of fresh LGAC, further reducing PFAS concentrations.
4 P2764.PT.Fresno.20241231.docx
While TRS does not include pricing for waste disposal, we can work with the Client to develop the appropriate waste disposal options and costs.
PerfluorAd™ Mobile, Batch Treatment Assumptions
TRS will complete the PerfluorAd™ clean-out using our mobile batch treatment system. The lump-sum pricing assumes clean-out of three vehicles, a mobilization and demobilization of the TRS system, Client- provided security, and that cumulative standby does not exceed two working days (16 hours). Standby beyond 16 cumulative hours will be charged at a rate of $451 per hour (not to exceed eight hours per day). Standby is defined as TRS equipment and personnel sitting idle at the clean-out location for reasons outside of TRS’s control.
The Client wants to treat one ARFF vehicle, then the AFFF trailer, then the second ARFF vehicle. They plan to have the cleaned ARFF filled with new fluorine free foam and ready to go by the time the second ARFF is ready for treatment.
Note that TRS has observed that fiberglass and stainless steel can break down over time, becoming porous, making it difficult to remove PFAS, and resulting in unsatisfactory outcomes.
Applying the PerfluorAd™ process to some cannons and turrets on ARFF-type vehicles can be problematic and difficult to perform safely. If the Client can remove the nozzle to the top cannons or bumper turrets and attach a fire hose in its place, TRS can pump the PerfluorAd™ solution through the network using an external pump at approximately 25 to 50 gallons per minute (gpm).
TRS estimates we will be on-site for four to five consecutive weeks, for mobilization, system set-up, vehicle cleaning, and system decontamination, break-down, and demobilization. TRS estimates approximately five to seven business days per vehicle to perform the clean-outs and each vehicle will be cleaned out individually, so only one vehicle will be out of service at a time.
The Client will provide a person knowledgeable with the operation of the vehicles. TRS assumes it will complete the work in an indoor location, protected from the elements.

TERMS & CONDITIONS
RECOGNITION OF RISK
Client recognizes that the interpretations and recommendations of Group Delta Consultants, Inc. (GDC) are based solely on the information available to GDC. Client further recognizes that surface and subsurface conditions can vary from those encountered at the times and locations where data are obtained by GDC, and that the limitation on available data results in some level of uncertainty with respect to the interpretation of these conditions despite the use of due professional care.
GDC will not be responsible for and Client shall hold GDC harmless for the effect on any opinion rendered hereunder of unknown circumstances or conditions such as acts of others on adjacent properties and variables of nature including but not limited to earthquakes, masking of rocks by heavy ground cover or the works of man, acts of God, or other variables beyond the control of GDC.
GDC shall write reports to meet the administrative requirements of local governmental agencies; however, as the decisions of such agencies are discretionary, GDC does not guarantee the approval of its reports or of Client's project by any governmental agency.
PROFESSIONAL RESPONSIBILITY
GDC represents that the Services, as described in GDC’s Proposal, shall be performed, within the limits prescribed by Client, in a manner consistent with that level of care and skill ordinarily exercised by other professional consultants under similar circumstances. No other representations to Client, express or implied, and no warranty or guarantee is included or intended in this Agreement (as defined below), or in any report, opinion, document or otherwise.
AGREEMENT
This “Agreement” consists of GDC’s Proposal, Fee Schedule, these Terms & Conditions, and all documents referenced therein as specifically being incorporated into the Agreement, if any.
PROFESSIONAL SERVICES INDEMNITY
GDC agrees to indemnify and hold Client harmless (but not defend) from any damages, liability, or costs arising out of or resulting from performance of the Services solely to the extent any such damages, liability, or costs are determined to be caused by GDC’s established and adjudicated negligence and only in direct proportion thereto. In no event shall the cost to hold harmless or indemnify charged to GDC exceed GDC’s established and adjudicated proportionate percentage of fault. GDC is not obligated to indemnify Client in any manner whatsoever for Client’s negligence, whether active or passive, or for Client’s reckless or willful misconduct. GDC shall defend itself from any actual or alleged claims arising from GDC’s services under this Agreement. If any part of this provision shall be declared by any court of competent jurisdiction to be illegal, void, or unenforceable, the remainder of the provision shall remain in effect to the fullest and maximum extent allowable by law.
Client agrees to indemnify, hold harmless, and defend GDC from and against any and all loss, including reasonable attorneys’ fees, injury, damage to property or person, liability, costs, and/or claims caused by the action or inaction of Client, its agents, employees, officers, directors, shareholders, or anyone for whom Client is legally responsible. In no event shall Client defend or indemnify GDC for GDC’s sole negligence or reckless or willful misconduct. GDC shall defend itself from any actual or alleged claims arising from GDC’s services under this Agreement.
LIMITATION OF LIABILITY
Client and GDC have discussed the risks and rewards associated with the Project, as well as GDC’s fee for its Services on the Project. Client and GDC agree to allocate risks so that, to the fullest extent permitted by law and notwithstanding any other provision of this Agreement, the total liability, in the aggregate, of GDC and its officers, directors, members, partners, agents, employees, and consultants to Client and anyone claiming by, through, or under Client for any and all claims, losses, costs, or damages whatsoever arising out of, resulting from, or in any way related to the Project, the Services, or the Agreement from any cause or causes, including but not limited to professional negligence, professional errors or omissions, strict liability, breach of contract, indemnity obligations, or warranty (express or implied) shall be limited to an amount not to exceed $50,000 or the fee of GDC, whichever sum is greater; provided, however, that for projects on which GDC’s fee is higher than the limits of its professional liability insurance policy, GDC’s liability is limited to its available insurance coverage.
For any damage arising out of the Project, the Services, or the Agreement caused by negligence other than professional negligence, GDC's liability, including that of its employees, agents, and subcontractors, in the aggregate under this Agreement, shall not exceed the available limits of GDC's comprehensive general and automobile liability, as applicable, insurance coverage.
Page | 2 of 4
In no event shall either GDC or Client be liable for punitive damages or consequential, incidental, or indirect damages, including, without limitation, loss of use, loss of profits, delays, diminution of value, fines, penalties, or the additional costs of completing the development of the property, which directly or indirectly arise out of the Project, the Services, and/or this Agreement, regardless of whether such claim is based upon alleged breach of contract, willful misconduct, or negligent act or omission, whether professional or non-professional, of GDC or Client or their agents, employees, subcontractors, officers, directors, or shareholders, except to the extent that such damages are actually paid through insurance procured by the parties that applies to this Agreement.
METHOD OF CHARGING AND PAYMENT CONDITIONS
GDC will submit the invoices to Client as stated in the Proposal or periodically and a final invoice will be submitted upon completion of the Services. GDC may require retainer on selected projects. Payment is due upon presentation of invoice and is past due thirty (30) days from the invoice date. Client agrees to pay a finance charge of one and one-half percent (1-1/2%) per month, or the maximum rate allowed by law, on past due accounts. Payments shall first be applied to accrued interest and then to the principal unpaid amount. Client specifically agrees further to pay all expenses and costs, including, but not limited to, GDC's staff time in accordance with GDC's current Fee Schedule, attorneys' fees, and court and other costs associated with collection of past due accounts.
If any invoice for work performed by GDC is outstanding and unpaid for a period in excess of ninety (90) days, Client agrees that, in addition to any other remedy which may be available to it, GDC may stop its performance of Services and withhold reports/plans, without liability whatsoever.
Payment to GDC shall not be withheld, postponed, or made contingent on the construction, completion, or success of the Project or upon receipt by Client of offsetting reimbursement or credit from other parties. No withholding, deductions, or offsets shall be made from payments due to GDC for any reason unless GDC has been found to be legally liable for such amounts.
ESTIMATED CHARGES AND PAYMENT CONDITIONS
GDC’s fees set forth in the Proposal are only estimates and shall not be regarded as "lump sum”, "fixed price”, or "guaranteed maximum" compensation unless expressly stated in writing. Additional Services and out-of-scope work will be invoiced based on GDC’s Fee Schedule.
ESTIMATED TIME SCHEDULE
Because of the uncertainties inherent in the Services contemplated hereunder, time schedules are only estimates, which are subject to revision from time to time, unless the parties specifically agree in writing to a firm or date-certain schedule.
CHANGED CONDITIONS AND ADDITIONAL SERVICES
Client shall rely on GDC’s judgment as to the continued adequacy of this Agreement in light of occurrences or discoveries that were not originally contemplated by or known to GDC. Should GDC call for contract renegotiation, GDC shall identify the changed condition necessitating renegotiation and GDC and Client shall promptly and in good faith enter into renegotiation of this Agreement. If terms cannot be agreed to, the parties agree that either party has the absolute right to terminate this Agreement.
Additional Services may be provided after execution of this Agreement without invalidating the Agreement. Client may request Additional Services be performed by GDC. GDC shall promptly notify Client upon recognizing the need to perform Additional Services. In either event, however, GDC shall not proceed to provide such Additional Services, requested by Client, until GDC receives Client’s authorization. Additional Services will be invoiced based on GDC’s Fee Schedule (see Attachment A).
RIGHT OF ENTRY
Client will provide for right of entry for GDC’s employees, agents, subconsultants, and for any other personnel and all equipment necessary in order to complete the Services. While GDC will take all reasonable precautions to minimize any damage to property, it is understood by Client that in the normal course of performance of Services some damage may occur, the correction of which is not part of this Agreement. Client agrees to indemnify and hold GDC harmless from any liability for any damage so caused by the performance of such Services, unless caused by the gross negligence or willful misconduct of GDC or its employees, agents, subcontractors, or other personnel.
SUBTERRANEAN STRUCTURES OR UTILITIES
Client shall indemnify and hold GDC harmless for damages, liability, costs, or injury arising from damage to subterranean structures or utilities (pipes, tanks, telephone cables, etc.) that are not called to the attention of GDC or are not correctly shown on the plans furnished to GDC, in connection with Services performed by GDC.

CONSTRUCTION PROCEDURES
GDC shall not specify construction procedures, manage or supervise construction, or implement or be responsible for health and safety procedures; shall not be responsible for the acts or omissions of contractors or other parties on the Project; and shall not have control or charge of and shall not be responsible for construction means, methods, techniques, sequences, or procedures, or for safety precautions and programs. GDC’s testing or inspection of portions of the work of other parties on the Project shall not relieve such other parties from their responsibility for performing their work in accordance with applicable plans and specifications.
SAMPLES
GDC will retain all soil and rock samples for thirty (30) days following exploration. Further storage or transfer of samples can be arranged at an agreed expense upon Client's written request.
HAZARDOUS SUBSTANCES
Unless specifically included in the Scope of Services in the Proposal, this Agreement does not include any services (including detection or identification) related to any substances which might be considered hazardous by an applicable regulation.
OWNERSHIP OF DOCUMENTS
All reports, boring logs, field data and notes, laboratory test data, calculations, estimates, and other documents prepared by GDC under this Agreement shall be deemed “Instruments of Service” and shall remain the property of GDC. GDC grants to Client a nonexclusive license to use GDC’s Instruments of Service solely and exclusively for purposes of designing, constructing, using, maintaining, altering, and adding to the Project, provided that Client substantially performs its obligations, including prompt payment of all sums when due, under this Agreement. The license granted under this section permits Client to authorize Client’s consultants and contractors to reproduce applicable portions of the Instruments of Service solely and exclusively for the purposes of designing, constructing, using, maintaining, altering, and adding to the Project. Client agrees that all reports and other work furnished to Client or its agents, which are not paid for, will be returned upon demand and will not be used by Client for any purpose whatsoever.
REPLACEMENT OF CONSULTANT
If GDC for any reason does not complete all the Services contemplated by this Agreement, GDC cannot be responsible for the accuracy, completeness, or workability of the Instruments of Service prepared by GDC if used, modified, or completed by another party or Client. Accordingly, Client agrees, to the fullest extent permitted by law, to indemnify, defend, and hold GDC harmless from any claim, liability, or cost (including reasonable attorneys’ fees and defense costs) for injury or loss arising or allegedly arising from such reuse, modification, or completion made by any party to any Instruments of Service prepared by GDC.
NO THIRD-PARTY RIGHTS
This Agreement shall not create any rights or benefits to parties other than Client and GDC.
TIME BAR TO LEGAL ACTION
All legal actions by either party against the other for breach of this Agreement, or for failure to perform in accordance with the applicable standard of care, however denominated, that are essentially based on such breach or failure, shall be barred in two (2) years from the time claimant knew or should have known of its claim, but, in any event, not later than four (4) years from the substantial completion of GDC's services.
CONSTRUED AND GOVERNED BY THE LAWS OF THE STATE OF CALIFORNIA Any claims, disputes, or other matter in question arising out of or related to this Agreement shall be subject to mediation as a condition precedent to the institution of legal or equitable proceedings by either party. If such matter relates to or is the subject of a lien arising out of GDC’s services, GDC may proceed in accordance with applicable law to comply with the lien notice and filing deadlines prior to the initiation of mediation. The Parties agree that mediation shall be held in Orange County, California and shall be administered by either JAMS or the American Arbitration Association, unless the parties mutually agree otherwise.
If the parties do not resolve the matter pursuant to mediation, the method of binding dispute resolution shall be litigation in the state courts of California in the county in which the Project is located. The Parties hereby consent to the jurisdiction of such and expressly waive all rights they may have to a change of venue.
In the event of litigation arising out of or relating to this Agreement, the prevailing party shall be entitled to recover all reasonable costs incurred in connection with such dispute, including court costs, attorneys’ fees, expert fees, and all other claim-related expenses.

PREVAILING WAGE, UNION, AND CERTIFIED PAYROLL
Client has the responsibility to notify GDC in writing, prior to GDC’s commencement of Services, of any Project requirements related to prevailing wages and/or union requirements.
SURVIVAL
The rights and obligations of the Parties shall survive the expiration or termination of this Agreement.
TERMINATION
If Client fails to make payments to GDC within sixty (60) days after the date of GDC’s invoice, and such failure continues for seven (7) days after written notice to Client, such failure shall be considered substantial nonperformance and cause for termination or, at GDC’s option, cause for suspension of performance of Services under this Agreement. If GDC elects to suspend performance of Services, GDC shall give an additional seven days’ written notice to Client before suspending Services. In the event of termination or suspension of Services, GDC shall have no liability to Client for delay or damage caused Client as a result of such termination or suspension. Before resuming Services after a suspension, GDC shall be paid all sums due prior to suspension and any expenses incurred in the interruption and resumption of GDC’s Services. GDC’s fees for the remaining Services and the time schedules shall be equitably adjusted.
If Client suspends the Project or GDC’s Services for more than ninety (90) cumulative days for reasons other than the fault of GDC, GDC may terminate this Agreement by giving not less than seven (7) days’ written notice.
Either party may terminate this Agreement upon not less than seven (7) days’ written notice should the other party fail substantially to perform in accordance with the terms of this Agreement through no fault of the party initiating the termination.
Either party may terminate this Agreement for convenience and without cause upon not less than thirty (30) days’ written notice to the other party.
In the event of termination that is not the fault of GDC, GDC shall be compensated for Services performed prior to termination, together with reimbursable expenses then due, if any, and all “Termination Expenses.” Termination Expenses are in addition to compensation for GDC’s Services and include expenses directly attributable to termination for which GDC is not otherwise compensated.
INTEGRATION
This Agreement constitutes the entire agreement between the parties and supersedes all previous agreements as to this Project.
There are no other written or oral agreements, representations, or understandings with respect to the subject matter of this Agreement. This Agreement may be amended, modified, or waived only by written agreement signed by both parties.
SEVERABILITY
If any part, term, or provision of this Agreement is held by final judgment of any mediator, arbitrator, or court of competent jurisdiction to be illegal, invalid, or unenforceable, the validity of the remaining portions or provisions shall not be impaired or affected, and the rights and obligations of the Parties shall be construed and enforced as if this Agreement did not contain the particular part, term or provision held to be illegal, invalid or unenforceable.
ASSIGNMENT
Client and GDC, respectively, bind themselves, their agents, successors, assigns, and legal representatives to this Agreement.
Neither Client nor GDC shall assign this Agreement without the written consent of the other.
EXCLUSIONS
Refer to GDC’s Proposal for any exclusions to the Scope of Services.
HAZARDOUS MATERIALS
Unless otherwise required in this Agreement, GDC shall have no responsibility for the discovery, presence, handling, removal, or disposal of, or exposure of persons to, hazardous materials or toxic substances in any form at the Project site.
