1. AMENDMENT NO. 3 TO COOPERATT\æ PROJECT AGREEMENT

hoject N-l Urban, Veterans Blvd/SR99 Interchang. *d Grade Separation PARTIES. The Authority and the City of Fresno are collectively referred to herein as "theparties".
RECITALS.
2'l WHEREAS, the Parties entered into the Cooperative Project Agreement for projectN- I Urban, Veterans Blvd/SRgg Interchange and Grade Separation ("Agreemenf,j, dated June ls, 2009, for funding of a tansportation improvement project ('?rojecf') inFresno County pursuant to the Measure "C" Short-Term Regional Transportation Program Handbook ("Handbook'), and the Fresno County Measure .'C,, Exfenditure Plan ("Expenditure Plan'), which was approved by the voters of Fresno County in Novernber, 2006; and
WHEREAS, Authority is authorized to approve and revise Project funding for payment to Responsible Agency in accordance with the Agreement, the Measure -*C,' Strategic
Implementation Plan ("SfP') and the Expenditue Plan regarding the project Ñ-l urban, veterans Blvd/sRgg Interchange and Grade separation; and WHEREAS, the Parties previously modified the tenns of the original Agreement by approval and execution of Amendment No. I to the Agreemenltated òecember i, 2011, and Amendment No. 2 to the Agrsement, dated Olotober lô, 2012, respectiveþ (hereinafter referenced as "the Prior An endments'), providing funding for specifieâ components of Phase 1 ("Preliminary Engineering") and Phase 2 (.Right ãf Wuy Acquisition') of the project; and
WHEREAS, Authority shall provide additional firnding to Responsible Agency for eligible Right of Way Project costs in the anrount of 13,421,00b, tringing the total cumulative"not to exceed" amount of allocated Prgject frrnding to $Z-9,S56,000 of Measure "C" funds (Original and Extension) and Regional Tranlsportation Mitigation Fee ("RTMF') finds and that will remain unchanged ry tnis Amendment.
The Parties now desire to amend the statements defining and delineating the project scope, Project schedule and project Funding program, as set forth in ae originar
