FIRST AMENDMENT TO CONSULTANT SERVICES AGREEMENT
FOR FRESNO YOSEMITE INTERNATIONAL AIRPORT FAR PART 150 NOISE
COMPATIBILITY PROGRAM
THIS FIRST AMENDMENT TO CONSULTANT SERVICES AGREEMENT (Amendment) is effective as of June 30, 2025, amends the Agreement entered into between the CITY OF FRESNO, a California municipal corporation (City), and CSDA Design Group, a California Corporation (Consultant). The City and the Consultant are collectively referred as the “parties” in this Amendment.
RECITALS
WHEREAS, City and Consultant entered into a Consultant Services Agreement, dated July 13, 2022, (Agreement) for professional Architectural and Acoustical Engineering services for Fresno Yosemite International Airport FAR Part 150 Noise Compatibility Program (Project); and
WHEREAS, the Consultant has not completed the Project and requires additional time to deliver with an increase in total compensation to reflect the cost escalation of 9.25% for the Project, AIP 3-06-0087-0095 Phase 19 BG 27; and
WHEREAS, City and Consultant desire to amend the Agreement to extend the term through December 31, 2026; and
WHEREAS, with the entry into this Amendment, the Consultant agrees it has no claim, demand, or dispute against the City and affirms that it will abide by all obligations contained in the Agreement entered into on July 13, 2022.
AGREEMENT
NOW, THEREFORE, in consideration of the above recitals, which recitals are contractual in nature, the mutual promises herein contained, and for other good and valuable consideration hereby acknowledged, the parties agree that the Agreement shall be amended as follows:
1. The term of the Agreement shall be extended to December 31, 2026.
2. Consultant’s sole compensation for satisfactory performance of all services required or rendered pursuant to the Agreement shall be increased to a total fee of $968,451.52, as set forth in Exhibit A, revised schedule of fees attached hereto and incorporated herein by reference.
3. In the event of any conflict between the body of this Amendment and any Exhibit or Agreement hereto, the terms and conditions of the body of this Amendment shall control and take precedence over the terms and conditions expressed within the Exhibit or Attachment. Furthermore, any terms or conditions contained within any Exhibit or Attachment hereto that purport to modify the allocation of risk between the Parties, provided for within the body of this Amendment, shall be null and void.
4. Except as otherwise provided herein, the Agreement entered into by the City and the Consultant on July 13, 2022, remains in full force and effect. [Signatures follow on the next page.]
