SECOND AMENDMENT TO
EXCLUSIVE NEGOTIATING AGREEMENT
THIS SECOND AMENDMENT TO THE EXCLUSIVE NEGOTIATING AGREEMENT (Amendment) is made and entered into effective _____, 2026, (Effective Date) and amends the Exclusive Negotiating Agreement entered into by the CITY OF FRESNO, a California municipal corporation (City), and Fresno’s Chaffee Zoo Corporation (Zoo). The City and Zoo are sometimes referred herein collectively as the “Parties,” and either individually as a “Party.”
RECITALS
WHEREAS, the Parties entered into an Exclusive Negotiating Agreement (ENA) for the purpose of negotiating acceptable terms and conditions regarding parking facility improvements in Roeding Park in the general vicinity of the current employee and overflow parking lot and maintenance yard to the north of the Fresno Chaffee Zoo boundary (Parking Facilities Project); and
WHEREAS, the ENA is effective in full force through August 30, 2025; and WHEREAS, the initial term was extended to February 28, 2026, through a First Amendment to the ENA; and
WHEREAS, the City and Zoo have made meaningful progress during the current negotiating period and desire to continue negotiations.
AGREEMENT
NOW, THEREFORE, the Parties agree that the aforementioned ENA be amended as follows:
1. The Term of the ENA shall be extended to May 1, 2026.
2. Except as otherwise provided herein, the ENA entered into by the City and Zoo on August 30, 2024, remains in full force and effect. [Signatures appear on the next page.]
