into betweenthe Cityof Fresno, a Californiamunicipal corporation (City), and Pavletic ConsultingLLC, a TexasDomesticLimited Liability Company, (Consultant). RECITALS
WHEREAS,
the City and Consultant, previously Municipal Financial Services, entered into an agreementon February1, 2022, (Agreement) to provideconsultingservices for professionalutility rate planconsultingservices for Five -YearRate Plan — Water and Wastewater (Project); and WHEREAS,
the City and Consultantentered into the FirstAmendmentto Agreement on December16, 2024, to extendthe termof theAgreementto June30, 2025, to allowthe Consultantto completethe scopeof work; and WHEREAS, the Cityand Consultantdesire to extendthe termof theAgreementto June30, 2026, and to increasethe compensationby $ 75, 000 to completethe scopeof work, for a totalcontractamount of $ 219,000; and WHEREAS, since executionof the Agreement, Consultant has changedits business organization. Consultant previously operated as MunicipalFinancial Services, a soleproprietorshipbut hassinceformedPavleticConsultingLLC, a TexasDomesticLimited Liability Company; and WHEREAS,
with entryinto this Agreement, the Consultantagrees it hasno claim, demand, or disputeagainst the City. AGREEMENT
NOW,
THEREFORE, the partiesagree that the aforesaidAgreementbe amendedas follows: Agreement.
2. The
recitalsto thisAmendmentare incorporatedand madea partof theSection 2 of theAgreementis amendedto readas follows: Term
of Agreementand Timefor Performance. This Agreementshall be effective from the date first set forth above (Effective Date) and shall continue in fullforceandeffect throughJune 30, 2027, subjectto anyearliertermination in accordancewith this Agreement. The servicesof the Consultant as describedin ExhibitA areto commenceupon the EffectiveDate and shall be completedin a sequenceassuring expeditious completion, but in anyevent, all suchservicesshall be completedprior to expiration of thisAgreement." 440360v2

3. Section 3(a) of the Agreement is amended in its entirety to read as follows:
a) The Consultant' s compensation for satisfactory performance of all services required or rendered pursuant to this Agreement shall be a total fee not exceed Two Hundred Thousand Three Hundred Twenty dollars 219, 000), paidon the basisof the ratesset forth in the scheduleof fees and expenses contained in Exhibit A and Exhibit Al."
4. Except as otherwise provided herein, the Agreement entered into by the City and the Consultant on February 1, 2022, remains in full force and effect.
