A RESOLUTION OF THE COUNCIL OF THE CITY OF
FRESNO, CALIFORNIA, AUTHORIZING AN EXCEPTION
TO FORMAL BIDDING PROCEDURES AND AWARD A
SOLE SOURCE REQUIREMENTS CONTRACT WITH
BADGER METER INCORPORATED IN AN AMOUNT NOT
TO EXCEED $5,235,863.45
WHEREAS, the City of Fresno Charter Section 1208(a) requires advertised bidding for materials, supplies and equipment involving the expenditure of City monies in excess of $177,000; and
WHEREAS, City Charter Section 1208(a)(5)(iv) states Section 1208(a) shall not apply when Council determines whether a good or product can only be provided by one source, and the purchase is authorized by resolution of Council containing a declaration of the facts constituting the sole source; and
WHEREAS, Badger Meter Incorporated (Badger) is the sole supplier of Badger residential meters, parts, and related replacement components; and WHEREAS, the Sole Source Requirements Contract with Badger is in an amount not to exceed $1,047,172.69 per year for two years with up to three optional one- year extensions, for a total contract amount not to exceed $5,235,863.45, plus annual Producer Price Index (PPI) adjustments; and
WHEREAS, the Director of Public Utilities has approved the proposed purchase and recommends Council to approve.
NOW, THEREFORE, BE RESOLVED by the Council of the City of Fresno as follows:
Council has received and considered the report and recommendations of City staff.

1. The Council finds it is proper to dispense with the competitive bidding requirements and approves Badger Meter Incorporated as the sole source vendor for meters, parts, and related replacement components as the foundation of the Advanced Metering Infrastructure.
2. Staff propose to award a sole source purchase requirements contract to Badger in an amount not to exceed $1,047,172.69 per year for two years with up to three optional one-year extensions, for a total contract amount not to exceed $5,235,863.45, plus annual Producer Price Index adjustments.
3. The Director of Public Utilities is authorized to execute all documents necessary to complete the purchase and enter into a sole source requirements contract with Badger Meter Incorporated.
4. This resolution shall be effective upon final approval.
