CITY OF FULLERTON
AMENDMENT NUMBER ONE
TO PROFESSIONAL SERVICES AGREEMENT
WITH
THE ILLUMINATION FOUNDATION
THIS AMENDMENT NUMBER ONE ("Amendment") is made and entered into this 15th day of February, 2022 ("Effective Date"), by and between the CITY OF FULLERTON, a California municipal corporation ("City"), and THE ILLUMINATION FOUNDATION, a California non-profit WHEREAS, City and Consultant entered into an agreement dated December 15, 2021 for Consultant to provide certain homeless shelter services, including case management services (the "Agreement"); and
WHEREAS, Consultant commenced providing homeless shelter services as of September 2, 2021; and
WHEREAS, City and Consultant desire to amend the Agreement to reflect such commencement date and to make other clarifying changes; and WHEREAS, City desires to reimburse Consultant for the costs incurred by Consultant between September 2, 2021 and December 15, 2021.
NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
Section 4.1 of the Agreement shall be amended to read as follows:
4.1. Term. The parties acknowledge and agree that Consultant commenced providing services as of September 2, 2021 ("Service Commencement Date"). The term of this Agreement shall commence on the Service Commencement Date and continue through June 30, 2022, unless terminated as provided herein.
Section 2.1 of the Agreement shall be amended to read as follows:
Compensation. Consultant shall be paid in accordance with the fee schedule set forth in Exhibit A. Consultant's total compensation shall not exceed One Million Two Hundred Seventy-Two Thousand Dollars ($1,272,000.00).
3. City agrees to reimburse Consultant in the amount of One Hundred Forty-Nine Thousand Five Hundred Dollars ($149,500.00) for costs incurred between September 2, 2021 and December 15, 2021. Consultant shall be entitled to no other compensation for such period.
All terms not defined herein shall have the same meaning and use as set forth in the Agreement.
All other terms, conditions, and provisions of the Agreement not in conflict with this Amendment shall remain in full force and effect.
