THIS AMENDMENT NUMBER ONE (" Amendment") to the Professional Services Agreement is made and entered on this ; I day of y-. 2020, by and between the CITYOFFULLERTON (° City"). and EXECUTIVE EVENTSERVICESOREES ("Consultant").
RECITALS
A. OnNovember 20. 2018. the CityandConsultantenteredintoa ProfessionalServices Agreement ("Agreement") forConsultanttoprovidesecurityservicesatcertainfacilities.
B. DuetotheneedtorespondtotheCOVID-19stateofemergency. theCityandConsultantdesiretoamendcertaintermsandprovisionsoftheAgreementasset forthinthisAmendment.
NOW. THEREFORE. forandinconsiderationofthemutualcovenants andconditions containedherein. the partiesherebyagreeas follows:
1. Section1.1 of theAgreement. Scopeof Services. is amendedto includethe AdditionalServicesset forthinExhibit "A" attachedto thisAmendment.
2. Section 2. 1 of the Agreement. Compensation, is amended to include compensationfortheAdditional Servicesinaccordancewith thefeeschedule set forthinExhibitA"
3. Theeffectivedateof thisAmendmentis March1. 2020.
4. Exceptas setforthinthisAmendment. alltermsandprovisionsofthe Agreement shall remain in full force and effect.

TERMS
The ConsultantisqualifiedunderOIG -CA -20-025Category (n) PublicHealthExpenses Thetermofservicesprovidedby theConsultantarefrom March1. 2020andshallcontinue throughDecember30. 2020or throughanyadditionaltimeframeifadditionalfederalguidance andfundingisprovided. Thisservice timeframeistoensurecompliancewith OMB -CA -20-025 andUSTreasuryguidanceforuseofCoronavirusReliefFundorotherFederalsupportand allocations.
Theservices conductedwithin Amendment1shallcomplywith UniformGuidance2C.F. R. Part 200. 2 C. F. R. § 200.303 regarding internal controls. and 2 C.F.R. §§ 200.300 through 200. 332 regarding subrecipfentmonitoringandmanagement. aswellassubpartFregarding audit requirements.
COMPENSATION
Consultantshallbecompensatedunderthe termsoftheSecurity ServicesAgreement.
