AMENDMENT NUMBER ONE
TO PROFESSIONAL SERVICES AGREEMENT

This Amendment Number One (" Amendment") to the Professional Services Agreement ( the Agreement") is entered into by and between the CITY OF FULLERTON, a municipal corporation ( the City") and LANCE, SOLL, & LUNGHARD LLP, a California corporation ( hereinafter referred to Consultant'). The City and Consultant are sometimes referred to collectively as the "Parties."
RECITALS
WHEREAS, City and Consultant entered into the Agreement on September 15, 2021, to provide certain Lease Management Solutions, Software and Services; and WHEREAS, the Parties desire to amend the Agreement to include certain exhibits as set forth below relating to the services to be provided by Consultant.
NOW, THEREFORE, the Parties hereto agree as follows:
Section 1. The Parties hereby amend the Agreement to add to Section 1.1 of the Agreement the documents attached hereto as Exhibit D (LeaseQuery End User Terms) and Exhibit E Addendum to End User Terms for Governmental Entities).
Section 2. Except as provided in this Amendment, all provisions of the Agreement remain the same and in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment to be executed by and through their respective authorized officers.

LEASEQUERY END USER TERMS
THESEEND USERTERMS, by andbetweenLeaseQueryandCity of Fullerton, California ("End User'), are effective as of the Effective Date. In considerationfor the mutual covenantsand agreementscontainedin theseEnd User Terms, the partiesagreeas follows:
1. DEFINITIONS.
1. 1 " Accounting, Standards" meansFASB ASC Topic 840, FASB ASC Topic 842, andeither (as electedby End User during implementation) ( i) IFRS 16 or ( ii) GASB No. 13 and GASB No. 87.
1. 2 " AeereeatedData" meansanonymizedandaggregateddataderivedfrom the operationof the Solution, including, without limitation, aggregatedinformation about leasesor Records, reportsgeneratedby the Solution and performanceresults for the Solution and any derivative works of any of the foregoing.
1. 3 " BusinessDay" meansany day on which theNew York StockExchangeis openfor unrestrictedtrading.
1.4 " ConfidentialInformation" means (i) informationthat is markedby thedisclosingpartyas "confidential," (ii) whether or not marked as "confidential," information of a party of a specialandunique natureand value relating to suchmattersastrade secrets, know- how, systems, programs, developments, designs, procedures, manuals, products, financial statementsor forecasts, confidential reports and communications, in eachcasewhether such information is sharedprior to or during the term of theseEnd User Terms, (iii) with respectto LeaseQuery's Confidential Information, the termsand conditions of theseEnd User Terms. "Confidential Information" shall not include AggregatedData, and (iv) any information that is deemedconfidential asa matter of law.
1. 5 " Dispute" meansany controversyor claim betweenthe parties arising out of or relating to theseEnd User Terms or the breach, termination, enforcement, interpretationor validity thereof, or any servicesprovided or to be provided under theseEnd User Terms, whether in contract, tort or otherwise.
1.6 " Documentation" meanstheuserinstructionsandspecificationsfor the Solutiondescribedin theSolution, asmaybeupdated by LeaseQueryfrom time to time.
1. 7 " Effective Date" meansthe datethat the initial SalesOrder is last signedby the partiesthereto.
1. 8 " End User" has the meaning set forth in the preamble.
1.9 " End UserData" meansEnd User's leasedataenteredinto the Solution, including, without limitation, the type and location of leased assets, rent schedules, critical lease dates and certain other lease terms and conditions.
1. 10 " EndUserFeedback" meanssuggestions, enhancementrequests, recommendationsor otherfeedbackprovidedby End User or its personnelrelating to the operation or functionality of the Solution or the content of the Documentation.
1. 11 " End User Subsidiary" meansany entity which is directly or indirectly ownedby End User. For purposesof the preceding sentence, "directly or indirectly owned" means direct or indirect ownership of more than 50% of the voting interests of the subject entity.
1. 12 " EndUser Terms" meanstheseenduserterms, including any schedules, addendaand/or exhibits hereto.
1. 13 " FASB ASC Topic 840" meansAccounting StandardsCodification® Topic 840, Leases, as promulgated by the Financial Accounting StandardsBoard.
1. 14 " FASB ASC ToAc 842" meansAccounting StandardsCodification® Topic 842, Leases, aspromulgatedby the Financial AccountingStandardsBoard (or anysuccessorstandard), asmaybemodified by theFinancialAccountingStandardsBoardfrom time to time.
1. 15 " ForceMaieureEvent" meansany eventthat is reasonablybeyondthe control of eitherparty, including, without limitation, acts of God, strikes, lockouts, riots, acts of war, epidemics, governmentalaction after the Effective Date, fire, communication line failures, power failures, earthquakes, or other disasters. 1-

1. 16 " GASBNo. 13" meansStatementNo. 13of theGovernmentalAccountingStandardsBoard®, Accountingfor OperatingLeases with Scheduled Rent Increases.
1. 17 " GASBNo. 87" means, commencingwithEndUser'sfiscalyear-endfinancialstatementsforfiscalyearsbeginningafter December15, 2019, StatementNo. ' 87 of the GovernmentalAccountingStandardsBoard®, Leases, as may be modified by the GovernmentalAccounting StandardsBoard® from time to time.
1. 18 " IFRS16" meansInternationalFinancialReportingStandards (IFRS) 16, Leases, aspromulgatedbytheInternational AccountingStandardsBoard (oranysuccessorstandard), asmaybemodifiedbytheInternationalAccountingStandardsBoardfromtime to time.
1. 19 " IntellectualPrgRertvRights" meansanyandallcommonlaw, statutoryandotherintellectualpropertyrights, including, withoutlimitation, copyrights, trademarks, tradesecrets, patentsandotherproprietaryrightsissued, honoredorenforceableunderanyapplicable laws anywhere in the world, and all moral rights related thereto.
1.20 " LeaseQuery" meansLeaseQuery, LLC, aDelawarelimitedliability company.
1. 21 " NDA" meansanyconfidentialityornondisclosureagreement (orotheragreementwithasimilarpurpose) enteredintoby i) thepartiesheretoortheirrespectiveaffiliatesinconsiderationofpotentiallyenteringintothebusinessrelationshipgovernedbythese EndUserTermsor (ii) solelywithrespecttoEndUser'sConfidentialInformationsharedwithLeaseQuery, LeaseQueryandReseller or theirrespectiveaffiliatesin connectionwith Reseller'sresaleof LeaseQuery'sservices.
1. 22 " ProfessionalServices" meansanyprofessionalorconsultingservicesprovidedbyLeaseQueryandresoldbyResellertoEnd User.
1.23 " Record" meansanyindividualrecordwithauniqueidentifierthatisenteredintoandstoredintheSolution. A singleleased assetmaybecomprisedofmultipleRecords (suchasforlandandimprovements), andasinglecontractmayprovideformultipleleasedassets.
1.24 " Reseller" meanstheLeaseQuery-certifiedresellerofLeaseQuery'sservicespurchasedbyResellerfromLeaseQueryandresoldto End Userpursuantto a SalesOrder.
1.25 " SalesOrder" shallmeananysalesorderorotherorderingdocumentbyandbetweenEndUserandResellerthat (i) describes LeaseQuery'sservicesbeingresoldbyResellertoEndUserandthefeesrelatedthereto, (ii) specificallyincorporatesbyreferencethe termsandconditionsoftheseEndUserTerms (withoutanypurportedmodificationtotheseEndUserTerms), and (iii) issignedbyReseller and End User.
1. 26 " SensitivePersonalInformation" meansanindividual's (i) government -issuedidentificationnumber, includingwithoutlimitationa SocialSecuritynumber, driver'slicensenumber, orstate -issuedidentificationnumber, (ii) financialaccountnumber, credit reportinginformation, orcredit, debitorotherpaymentcardholderinformation, withorwithoutanyrequiredsecurityoraccesscode, personalidentificationnumber, orpasswordthatpermitsaccesstotheindividual'sfinancialaccount, or (iii) biometric, genetic, healthor health insurance data.
1.27 " Solution" meansthespecificsoftware -as -a -serviceapplicationto whichEndUsersubscribespursuantto theapplicableSales Order.
1.28 " Third -PartyLinks" meansany links containedin the Solutionto, or integrations, connectionsor interactions (whether throughanapplicationprograminterface (API) orotherwisewith, softwareorwebsitesofthirdparties.
1. 29 " Update" meansamodificationto theSolutionorworkaroundto fix bugs, correcterrors, maintainmaterialcompliancewith theAccountingStandardsor improvetheperformanceorefficiencyof the Solution.
1. 30 " Upgrade" meansa new version or releaseof the Solutionthat addsnew features, functionalcapabilitiesor other improvements to the Solution, other than Updates.
2. SCOPE OF THE SERVICES.
2.1 ProvisionofAccesstotheSolution. FollowingLeaseQuery'sreceiptfromResellerofaproperlyexecutedSalesOrder, during thetermthereofforwhichEndUsersubscribesforaccesstotheSolution, LeaseQueryshallenableEndUserto accesstheSolutionvia awebsitehostedbyLeaseQueryor itsthird -partydesigneein accordancewith andsubjectto thetermsandconditionsof theseEndUser Terms. LeaseQuerywill makecommerciallyreasonableeffortstomaintainavailabilityof theSolutioninaccordancewiththeSLAsset 2-
forthinExhibitA hereto, butEndUseracknowledgesandagreesthatLeaseQueryshallnotberesponsibleforanydowntimeoftheSolution other than as set forth in Exhibit A.
2.2 Updates. LeaseQuerywillmakecommerciallyreasonableeffortstoreleaseUpdatestotheSolutionasnecessarytoensurethat throughoutthetermoftheseEndUserTerms, theSolutionoperatesinmaterialcompliancewiththeAccountingStandards. EndUser acknowledgesthatLeaseQueryis notrequiredor obligatedto provideanyUpdatesoranyUpgradestotheSolutionotherthanthose whicharenecessaryfortheSolutiontocontinuetooperateinmaterialcompliancewiththeAccountingStandards. AnyUpgradesthat arenotnecessaryfortheSolutiontocontinuetooperateinmaterialcompliancewiththeAccountingStandardsmaybeofferedseparatelywith differentpricing. EndUseragreesthatitspurchaseof thesubscriptionandanyProfessionalServicesis notcontingentonthe deliveryofanyfuturefunctionalityorfeaturesordependentonanyoralorwrittenpubliccommentsmadebyLeaseQueryregardingfuture functionalityor features.
2.3 ProfessionalServices. EndUseracknowledgesandagreesthatallofLeaseQuery'soritssubcontractors' ProfessionalServices willbeprovided (i) remotelyand (ii) toResellerforresaletoCustomer. LeaseQuery'sProfessionalServicesshallbeprovidedin accordancewiththetermsoftheseEndUserTermsandsolelytotheextentsuchProfessionalServicesarepurchasedpursuanttotheapplicable Sales Order:
a) OrganizationalDatabaseStructureSetup. LeaseQuerywill coordinatewith EndUserandReseller (asneeded) to structureEndUser's databasein theSolutionin amannerthatis consistentwith EndUser's uniqueorganizational structureasitrelatestoconsolidatedfinancialreporting. Inordertocompletethisimplementationstepandanyofthe stepsinthefollowingsubparagraphs, LeaseQuerymusthavereceivedfromResellerorEndUseranaccurate, complete anddetailedexplanationofEndUser'scostcenters, profitcenters, businessunits, divisions, regionsandlocations (asapplicable), ( ii) EndUser'saccurateandcompleteorganizationalstructurechartshowingwhichleasesroll -upinto whichentities, andif andhowthoseentitiesroll -upintoaparententityforfinancialreportingpurposes, and (iii) any otherinformationrequestedbyLeaseQueryinordertocompletethisimplementationstep. b)
BulkRecordTemlateConfigurationandUpload. SolelytotheextentincludedintheSalesOrder, afterLeaseQuery hasbeenprovidedwithaproperlypopulatedtemplateforthebulkuploadofRecords, LeaseQuerywillusesuch populatedtemplatetoperformabulkuploadofRecordsintotheSolution; provided, however, thatanytimedevoted by LeaseQueryto correctingerrorsin theEndUser -populatedtemplatein excessof eight (8) hoursshallnotbe includedinthefeeforthisserviceandwillbeinvoicedseparatelyatLeaseQuery'sthen -currentstandardhourlyrates, whichshallnotexceed $150/hour. EndUseracknowledgesthatit maybenecessaryormoreefficienttomanuallyenterleaseswithcomplexornonstandardterms (suchasrealestateleaseswithescalationclauses, for example). For theavoidanceof doubt, thisimplementationserviceis limitedto thebulkuploadof leasedatain orderto create RecordsintheSolution, andit doesnotincludetheuploadof anysourcedocuments, suchasleaseagreements, which may be uploadedby End User or Reseller.
2.4 LimitationsofServices. EndUseracknowledgesthatLeaseQueryisnotaregisteredpublicaccountingfirm, andsomeorall oftheProfessionalServicesmaybeperformedbyindividualswhoarenotcertifiedpublicaccountants. LeaseQuery'sperformanceofservices, includingtheprovisionofaccesstotheSolutionandtheperformanceofanyProfessionalServices, doesnotconstituteanaudit in accordancewithgenerallyacceptedauditingstandards, anexaminationof oranyotherformof assurancewithrespectto internal controls, orotherattestation, revieworcompilationservicesinaccordancewithstandardsorrulesestablishedbytheAmericanInstitute ofCertifiedPublicAccountants, thePublicCompanyAccountingOversightBoardoranyotherregulatorybody. LeaseQuerywillnot express, andwillnotbedeemedtohaveexpressed, anopinionoranyotherformofassurancewithrespecttoanymattersasaresultof theperformanceofanysuchservices, includingwithrespectto EndUser's financialstatementsor EndUser's operatingor internalcontrols.
LeaseQuerywill not perform, and will not be deemedto haveperformed, any evaluationof EndUser's internalcontrolsand procedures for financialreportingupon whichEnd User's managementcan baseits assertionsin connectionwith the Sarbanes-Oxley Actof 2002, as amended, or anyrelatedrules or regulations. LeaseQuerywill not makeany representationsor warrantiesand willnot provide any assurancesthat EndUser's disclosurecontrols and proceduresare compliantwith the certificationrequirementsof, or thatEnd User's internalcontrolsand proceduresfor financialreportingare effectiveas requiredby, anyapplicablelaw. Neitherthe Solutionnor anyProfessionalServices may be relieduponto identifyerrors or fraudshouldthey exist. End Useracknowledgesand agreesthat LeaseQuery is not, andwillnotagreeto benamedas, anexpertunderthe SecuritiesAct of 1933, as amended, or anyotherstateor federalsecuritieslaws. 2. 5 EndUserSubsidiaries. End Usermay permitits EndUserSubsidiariesto accessEnd User's instanceof theSolution (in accordance with the termsof theseEndUserTerms, includingwithoutlimitationSection3. 2oftheseEndUserTerms) and to useanyoutputstherefromand the resultsof anyProfessionalServices providedby LeaseQueryto EndUser (in accordancewith the termsof these End UserTerms, includingwithout limitationSection 3. 1 oftheseEnd UserTerms), providedthat EndUsershallbe responsiblefor eachEndUserSubsidiaryand ensurethat eachsuchEndUserSubsidiarycomplieswith all of thetermsand conditionsof theseEnd User Termsto thesameextentthat suchtermsand conditionsapply to EndUser (whetheror notsuchtermor conditionexpressly3- referencessuchEnd UserSubsidiary). For the avoidanceof doubt, (i) no suchEnd User Subsidiaryshall be deemedincludedin the definitionofEndUserorotherwisedeemedto beacustomerof LeaseQuery, (ii) nothingin theseEndUserTermscreatesanyprivity of contractbetweenanyEndUserSubsidiaryandLeaseQuery, and (iii) noEndUserSubsidiaryshallhaveanylegalor equitableright, benefit or remedyof any naturewhatsoeverunder or by reasonof theseEnd UserTerms.
2.6 Disclaimer of Warranties. LeaseQuerywarrantsthatthe Solutionshalloperatemateriallyin accordancewith theseEndUser Terms. To the maximumextentpermittedby applicablelaw, LeaseQuerymakesnoadditional warranties of anykind, whether express, implied, statutoryor otherwise, and specificallydisclaimsall impliedwarranties, including, without limitation, any warranties of merchantability or fitness for a particular purpose with respect to the Solution, Professional Servicesand/or relateddocumentation. LeaseQuerydoesnot warrant that the Solutionwill bebugfreeor uninterrupted or that anyintegration with a third -party software provider will remain available for the duration of End User' s subscription. Loss of internet access or failure of anythird -party software, hardwareor otherinterfacingor communicatingdeviceisEndUser'sresponsibilityand is not warranted by LeaseQuery.
3. END USER DUTIES AND RESPONSIBILITIES.
3.1 Useof OutputandProfessionalServices. EndUser'saccessto the SolutionandEndUser's useof anyoutputstherefrom, all ProfessionalServicesandall otherdeliverablesby LeaseQuery, shallbesolely for EndUser's benefit andarenot intendedto be relied upon, andshallnotbereliedupon, by anyotherparty. EndUsershallnotdisclosetheoutputs, ProfessionalServicesorotherdeliverables, or referto theSolution, outputstherefrom, ProfessionalServicesor otherdeliverables, in anycommunicationto anythirdpartyother than (i) Reseller, (ii) End User'sindependentauditorssolely in connectionwith their audit or review of End User's financial statements, iii) EndUser'sotherprofessionaladvisorssolelyin connectionwith theirprovisionof professionalservicesto assistEndUserwith the preparationof EndUser's financialstatementsor theadministrationof EndUser's leases, providedthatsuchprofessionaladvisors complywith therestrictionssetforth in this sentence, (iv) regulatoryauthoritieswith jurisdiction overEndUserto theextentrequired by such authority in connection with their routine examinations of End User, and (v) subject to the last sentencein Section 2.4 of these EndUserTerms, to theextentrequiredby law, providedthat, in thecaseof thissubclause (v), EndUserprovidesLeaseQuerywith promptwrittennoticeof anysuchrequirementandreasonablycooperates, atLeaseQuery'sexpense, with LeaseQuery'seffortsto obtain a protective order or otherwise limit such disclosure. In the event End User createsits own materials basedon the content of the outputs, ProfessionalServicesorotherdeliverablesfor disclosuretoathirdparty, EndUsershallnotin anyway, expresslyorby implication, attribute suchmaterials to LeaseQueryor identify LeaseQueryasthe sourceof the content reflected in suchEnd User -createdmaterials.
3.2 RestrictionsonUseoftheSolution. EndUsershallnot (i) usetheSolutionin anywaythatviolatesthetermsof theseEndUser Terms, the Documentation, or applicable law; ( ii) modify, copy or createany derivative works basedon, or reverseengineeror decompile, theSolution, Documentationor anyportionthereof, (iii) attemptto license, sell, resell, rent, lease, transfer, assign, distribute, timeshare, offerin aservicebureau, orotherwiseshareEndUser'saccessto theSolutionwith anythirdparty, exceptthatsuchaccess may be shared as permitted under these End User Terms with End User Subsidiaries and End User' s and End User Subsidiaries' employees (providedthat separatelogin credentialsarecreatedfor andusedby eachauthorizeduser); (iv) use End User' s access to the Solutionor Documentationfor anycompetitivepurposeortobuildordesignanycommerciallyavailableproductorservice; (v) interfere withor disruptperformanceof theSolutionorthedatacontainedtherein; (vi) attemptto gainaccesstotheSolutionorLeaseQuery's related systemsor networks in a manner not set forth in these End User Terms; (vii) use End User' s accessto the Solution to sendor storeinfringing, obscene, threatening, or otherwiseunlawful or tortiousmaterial, including, without limitation, materialthatviolates privacy, confidentiality, IntellectualPropertyRightsor otherrightsof third parties; or (viii) shareany SensitivePersonalInformation with LeaseQueryor enter, or causeor requestto beentered, any suchinformationinto the Solution; or (ix) accesstheSolutionfor the benefitof, or for anypurposeif EndUseris, a competitorof LeaseQuery. EndUsershallbeliablefor theactsandomissionsof all End User -authorizedusersrelatingto theseEndUserTerms. LeaseQuerymaysuspendor discontinueall ora portionof EndUser's access to theSolutionif LeaseQuery (a) reasonablysuspectsthat (1) EndUser'saccesstotheSolutionmaybecausingharmto LeaseQueryor otherusers, (2) suchsuspensionisnecessaryto complywith law or arequestfroma lawenforcementagencyorto prevent, remediate or mitigate anactualor potentialsecurityincident, or (3) End User hasbreachedany of the termsof theseEnd UserTerms, or (b) has notreceivedpaymentin full fromResellerforLeaseQuery'sserviceswithin45daysaftertheexecutionoftheSalesOrder. LeaseQuery will use commercially reasonableefforts to resolvethe issuescausingthe suspensionof Solution. End User agreesthat no information obtainedthroughtheSolutionortheProfessionalServiceswill beacquiredfor, shipped, transferred, orre-exported, directlyorindirectly, to proscribed or embargoedcountries or their nationals, nor be used for nuclear activities, chemical biological weapons, or missile projectsunlessauthorizedby theU.S. government. Proscribedcountriesaresetforth in the U.S. Export Administration Regulationsand are subject to changewithout notice, and End User must comply with the list as it exists in fact. End User certifies that neither it nor anyof itsusersareontheU.S. Departmentof Commerce'sDeniedPersonsListoraffiliatedlistsorontheU.S. DepartmentofTreasury's SpeciallyDesignatedNationalsList. EndUsershallreimburseLeaseQueryfor all costsincurredin enforcingtheuserestrictionsinthis Section, including, without limitation, attorneys' fees, legal costs, andcourt costs.
3.3 ResponsibilityforEndUserData. EndUserisexclusivelyresponsibleforitsfinancialstatementsandtheaccuracy, qualityand legalityof allEndUserData, including, withoutlimitation, obtainingallrequiredauthorizations, permissionsandconsentsnecessary 4-
for LeaseQueryand its contractorsand subcontractorsto accessand usethe End UserData in accordancewith theseEnd User Terms.
Although copiesof End User's leasedocumentationmay bestoredin the Solution, End User shall retain the original documentationor copies thereof.
3.4 Responsibilityfor UsersandAuthenticationCredentials. EndUsershall (i) beresponsiblefor safeguardingits passwords, (ii) beresponsiblefor theidentificationandauthenticationof its usersandanyaccess, whetheror notauthorizedby EndUser, tothe Solution thatresultsfrom the actionsor omissionsof EndUseror anyof its personnel, and (iii) notify LeaseQuerypromptly of anyunauthorized access or use.
3.5 Reseller's Services. EndUser (i) acknowledgesandagreesthatanyservicesprovidedby Resellershallbeprovideddirectlyto End User and subjectto any terms or conditionsthat may be enteredinto directly betweenEnd User and Reseller; (ii) acknowledges andagreesthatResellershallnotbedeemeda subcontractorof LeaseQuery, andLeaseQueryshallhavenoresponsibilityfor, andshall havenoobligationto review, anyservicesprovidedby Reseller; and (iii) herebyreleasesLeaseQueryfrom anyclaimsarisingoutof or relating to any servicesprovided by Reseller for End User.
3.6 Not a Competitor: Authorizations. EndUserrepresentsandwarrantsthat it (a) is not a competitorof LeaseQueryand (b) has obtainedall requiredauthorizations, permissionsandconsentsnecessaryfor LeaseQueryandits contractorsandsubcontractorsto access anduse the End User Data for the purposesdescribedin theseEnd User Terms.
4. INTELLECTUAL PROPERTY RIGHTS.
4.1 Ownership: Reservationof Rights. LeaseQueryowns and reservesall right, title and interest in and to the Solution, Documentation and other LeaseQueryIntellectual Property Rights. No rights are grantedto End User under theseEnd User Terms or any SalesOrder other than asexpressly setforth in theseEnd User Terms. Under no circumstancewill End User have the right to access the objectcodeor sourcecodefor the Solution. By submittingEnd UserFeedback, EndUserherebyassignsto LeaseQueryall right, title andinterestin andto suchEndUserFeedbackto LeaseQuery. LeaseQueryshallhaveno obligationto acceptor incorporateEnd User Feedback, and End User shall haveno obligation to provide End User Feedback.
4. 2 End UserData. EndUseragreesto allow LeaseQueryto collectEnd UserDataanduseEnd UserDatafor thepurposesof providingthe SolutionandperformingtheProfessionalServicesandto createAggregatedData. As betweenEndUserandLeaseQuery, EndUserownsall EndUserData, andLeaseQueryownsall AggregatedData. Nothingin theseEndUserTermsshallbeconstruedas prohibitingLeaseQueryfrom utilizingtheAggregatedDatafor purposesof LeaseQuery'sbusiness, providedthatLeaseQuery'suseof AggregatedDatawill not revealthe identity, whetherdirectlyor indirectlyby a reasonablyforeseeablemethod, of EndUser, any individual or any specific dataenteredby End User (or by LeaseQueryon behalf of End User) into the Solution.
5. TERM AND TERMINATION.
5.1 Term. TheseEndUserTermsshallbeco -terminuswith thetermof theSalesOrderandshallautomaticallyterminateuponthe expiration or termination of such Sales Order.
5.2 Terminationfor Breach. LeaseQuerymayterminatetheseEndUserTermsif EndUserbreachesanyof thetermsorconditions of these End User Terms and, if such breach is curable, fails to cure such breach within 30 days of the date that written notice of the breachis given to End User.
5.3 Effectof Termination. EndUsermayexportitsEndUserDataatanypointduringthetermof theseEndUserTerms, provided suchaccesshasnotbeensuspendedin accordancewith thetermsof theseEndUserTerms. LeaseQuerywill retaintheEndUserData storedin theSolutionfor at least90daysfollowing theeffectivedateof theterminationof theseEndUserTerms. UponLeaseQuery's receiptduring such90-day periodof End User's written request, LeaseQuerywill makeall suchEnd User Dataavailableto End User in a .csvor othermutuallyagreeableformat. Followingthis 90-dayperiod, EndUsermaypermanentlyloseits data.
6. LIMITATION OF LIABILITY.
6.1 LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law, in no event shall the aggregate liability of LeaseQuery or any of its affiliates or subcontractors, regardlessof the causeand regardless of any other failure of any provision or undertaking in theseEnd User Terms, under contract, tort or any other theory of liability ( including claims alleging negligence), exceed the annualized subscription fee (to the extent paid by End User) as of the date such causeof action arises, exceptto the extent resulting from LeaseQuery'swillful misconductor bad faith. In circumstanceswhere anylimitation of liability or indemnification provision in theseEnd User Terms is unavailable, the aggregateliability of LeaseQueryand its affiliates and subcontractors for any claim shall not exceed an amount that is proportional to the relative fault that the conduct of LeaseQuery and its affiliates and subcontractors bears to all other conduct giving rise to such claim. 5-
7. CONFIDENTIALITY.
Eachparty acknowledgesthat in the courseof theseEnd UserTerms, it may haveaccessto andmay bemaking useof, acquiringor addingto Confidential Information of the otherparty. Eachparty herebyconfines that it will not, using at leastthe samedegreeof care as it employs in maintaining in confidence its own Confidential Information of a similar nature (but in no event lessthan a reasonable degreeof care), discloseany suchConfidential Information to a third party exceptwith theprior written consentof the otherparty or as specifically provided in theseEnd User Terms. TheseEnd User Termsimposeno confidentiality obligation upon the receivingparty with respectto informationthat (i) wasin thereceivingparty'spossessionbeforereceiptfrom the disclosingparty without anobligation to keep such information confidential; (ii) is or becomesavailable to the public through no fault of the receiving party; (iii) is received in goodfaith by the receivingpartyfrom a third party not subjectto an obligationof confidentiality owedto the disclosingparty and who disclosesthe Confidential Information without an obligation of confidentiality; or (iv) is disclosedasrequired by law or regulation, to respondto governmentalinquiries, orin connectionwith litigationpertaininghereto, providedin eachcasethatthepartysocompelled promptly provides the otherparty with prior notice of suchcompelled disclosure (to the extentlegally permitted) and providesreasonable assistance, atthe other party' scost, if the other party wishesto contestor otherwiselimit the disclosure. If a party discloses (or threatens to disclose) any Confidential Information of theother party in breachof confidentiality protectionsin this Section, the otherparty shall havethe right, in additionto any otherremediesavailable, to seekinjunctive relief to enjoin suchacts, it being acknowledgedby the parties that any other available remedies may be inadequate. End User hereby consents to LeaseQuery disclosing End User's Confidential Information to contractorsproviding administrative, infrastructure and other support services to LeaseQuery, and subcontractorsproviding servicesin connectionwith theseEnd User Terms. With respectto any NDA, notwithstanding anythingto the contrary in suchNDA, the obligationsof the partiesundersuchNDA shall be supersededin their entirety by the observanceby the partiesof the confidentiality obligations in theseEnd User Teens, and any Confidential Information sharedunder suchNDA shall be treated as Confidential Information under these End User Terms.
8. MISCELLANEOUS.
8. 1 Notices. All notices, requests, consents, claims, demands, waivers and other legal communications related to these End User Termsshallbe deemedto havebeendelivered (i) if deliveredpersonallyto the recipientor to an officer of the party, whenreceivedby suchparty, (ii) if deliveredvia certified mail, on the third BusinessDay following dispatch, (iii) if delivered by nationally recognized overnight courier (with all fees prepaid), on the first BusinessDay following dispatch, or (iv) if to End User, via email to the email addressin LeaseQuery's records for the End User' s administrative user for the Solution; provided, however, that ( in the case of subclauses (i) through (iv) of this sentence) such notice shall be deemedeffective only if delivered in accordancewith this sentence; andprovidedfurther, that anynoticeto LeaseQueryshallbedeliveredwith amandatorycopyvia emailto [email protected].
Each party may modify its recipient of notices or the addressfor notices by providing notice pursuantto theseEnd User Terms.
8. 2 Force Maieure. The parties shall not be liable for any act, omission, or failure to fulfill its obligations under theseEnd User Terms if suchact, omission, or failure arisesfrom any Force Majeure Event. If is the partiesareunable to fulfill their obligations dueto theForceMajeureEvent, it will assoonaspracticablenotify theotherparty in writing of the reasonsfor its failure to fulfill its obligations andthe effect of suchfailure andusereasonablemeansto avoid or removethe causeandperformits obligations. Notwithstandingthe forgoing, End User's payment obligations shall not be affected by any Force Majeure Event.
8. 3 Marketing. End User acknowledgesand agreesthat LeaseQuerymay usethe only the name of End User andits affiliates in a representativeEnd User list or other marketingmaterial. End User may revokethe rights grantedin this paragraphat anytime by providing at leastthirty ( 30) days' written notice (which may bevia emailto [email protected]) to LeaseQuery.
8. 4 Third -Party Links. The Solution may contain Third -Party Links. Anything accessedthrough Third -Party Links from the Solution areindependentfrom LeaseQuery, andLeaseQueryhasno control overthe software, website, securityor information accessed throughtheThird -PartyLinks. Any Third -PartyLinks areprovidedto End Userasaconvenience, andLeaseQueryis not responsible for any Third -Party Links or any contentthereof. In addition, provision of the Third -Party Links doesnot imply that LeaseQuery endorsesor acceptsany responsibility for the content or use of such Third -Party Links or the content thereof. End User acknowledges integratedthird -party softwareprovidersmay discontinuethe integrationwith the Solutionwith or without notice, andLeaseQueryshall not be responsiblefor any discontinuedintegration. For each Third -Party Link, the user will first be directed to a splashpageon LeaseQuery'swebsiteinforming theuserthat, if heor sheproceeds, heor shewill betransferredto athird -partywebsitethatLeaseQuery doesnot control and for which LeaseQueryis not responsible.
8. 5 Entire Agreement: AmendmentandModification. TheseEnd User Termscontainthe entire agreementandunderstanding amongthe partieswith respectto the subjectmatterhereof, andsupersedesall prior andcontemporaneousagreements, understandings, inducementsand conditions, expressor implied, oral or written, of any naturewhatsoeverwith respectto the subjectmatter hereof, including, without limitation, anyNDA. The expressterms of theseEnd User Termscontrol and supersedeany courseof performance 6-
or usageof thetradeinconsistentwith anyof the termsof theseEnd UserTerms. No modification, amendment, or waiverof any provision of these End User Terms shall be effective unless in writing and signed by both parties. End User acknowledgesthat LeaseQueryis not a party to any SalesOrder by andbetweenEnd User and Reseller, and, therefore, the terms and conditions of these EndUserTermscannotbemodified, andshallnot bedeemedto bemodified, by anysuchSalesOrder.
8. 6 Interpretation. TheseEndUserTermsaretheresultof negotiationsbetween, andhavebeenreviewedby, thepartiesandtheir respectivelegalcounsel, andshallbeconstruedwithout regardto anypresumptionorrulerequiringconstructionor interpretationagainst thepartydraftingan instrumentor causinganyinstrumentto bedrafted. Headingsin theseEndUserTermsarefor referenceonlyand shallnot affectthe interpretationof theseEndUserTerms. If anydateon whicha partyis requiredto makea paymentor a delivery pursuantto thetermsof theseEnd UserTermsor a SalesOrderis not a BusinessDay, thensuchparty shallmakesuchpaymentor deliveryonthefollowing BusinessDay. Any schedulesandexhibitsreferredto hereinshallbeconstruedwith, andasanintegralpart of, theseEndUser Termsto the sameextentasif they were setforth verbatim herein.
8. 7 Severability. If anyprovisionof theseEndUserTermsis heldto beinvalid, illegal, orunenforceable, suchprovisionwill be deemedrestated, in accordancewith applicablelaw, to reflect as nearly as possiblethe original intentions of the parties, and the remainder of these End User Terms will remain in full force and effect.
8. 8 Waiver. Failureof eitherpartyto seekremedyof anybreachof anyportionof theseEndUserTermsby theotherpartyfrom time to time shall not constitute a waiver of suchrights in respectto the sameor any other breach.
8. 9 Assignment. EndUser shallnot assign, voluntarily or involuntarily, all or anyportion of theseEnd User Termswithout the priorwrittenconsentof LeaseQuery, providedthat, uponadvancewrittennoticeto LeaseQuery, EndUsermayassignall (or aportion) of its rightsandobligationsundertheseEndUserTermswithoutLeaseQuery'sconsentto a successorby mergerora purchaserof all or substantiallyall of End User's assets, but only if, as reasonablydeterminedby LeaseQuery, suchsuccessoror purchaseris not a competitorof LeaseQuery. In theeventof apurportedassignmentor delegationof any of End User's rights or obligationsunderthese End User Termsmade in violation of this section, suchassignmentor delegationshall bevoid, andLeaseQueryshall havethe right to terminatetheseEnd User Terms immediatelyuponwritten notice to End User without limiting any of LeaseQuery's otherrights or remediesherein. Any assignmentor delegationthatis madein accordancewith this sectionshallbebinding uponandshallinureto the benefit of the parties and their respectivepermitted successorsand assigns.
8.10 No Third -Party Beneficiaries. TheseEnd User Terms are for the sole benefit of the parties hereto and their respective permittedsuccessorsandassignsandnothingherein, expressor implied, is intendedto or shallconferuponanyotherpersonorentity including, without limitation, Reselleror any End User Subsidiary) any legal or equitableright, benefit or remedy of any nature whatsoever under or by reason of these End User Terms.
8.11 Limitation on Actions. No action relating to any Dispute (other than with respectto End User's breachof Section3 of these End UserTerms) may be brought morethanfour yearsafterthe causeof action accrued.
8.12 Survival. Notwithstanding anything herein to the contrary, the provisions of Section 1, Section2.5, Section 3, Section4, Section5.3, Section6, Section7 and Section8 hereofshall survive anytermination or expiration of theseEnd User Terms.
8. 13 GoverningLaw. ExclusiveJurisdiction, WAIVER OF JURY TRIAL/ COLLECTIVE ACTION. All mattersarisingout of or relating to theseEnd User Terms shall be governed, construed and enforced in accordancewith the laws of the State of Delaware, without referenceto theconflictsof law principlesthatwould requiretheapplicationof anyotherlaw. Thepartiesherebyirrevocably submit to the exclusive jurisdiction of the courts of the Stateof Georgia and the Federalcourts of the United Statesof America located in theNorthernDistrictof Georgiafor purposesof anysuit, actionor otherproceedingarisingfromtheseEndUserTerms, andhereby waive, and agreenot to assert, asa defensein any action, suit or proceeding for the interpretation or enforcementhereof or thereof, that it is not subjectthereto or that suchaction, suit or proceeding may not bebrought or is not maintainable in such courts or that the venue thereofmaynotbeappropriateorthattheseEndUserTermsor anysuchdocumentmaynot beenforcedin or by suchcourts. Eachof thepartiesherebyconsentsto andgrantsanysuchcourtjurisdiction overthepersonof suchpartiesandoverthe subjectmatterof any such dispute.
8.14 GovernmentalEnd Users. If End User is a U.S. federalgovernmentdepartmentor agencyor contractingon behalfof such departmentor agency, all servicesdescribedherein, including the provision of accessto the Solution and all Professional Services, are Commercial Items" as that term is defined at 48 C.F.R § 2.101, consisting of " Commercial Computer Software" and "Commercial ComputerSoftwareDocumentation", asthosetermsareusedin 48 C.F.R § 12.212or 48C.F.R. §227.7202, andsupportingProfessional Services in accordancewith paragraph (5) of the definition of " Commercial Item" in 48 C.F.R § 2.101. Consistent with 48 C.F.R.
12.212 or 48 C.F.R. §227.7202-1 through 227.7202-4, asapplicable, accessto the Solution and supportingProfessionalServicesare provided to End User with only thoserights asprovided under the terms and conditions of theseEnd User Terms. 7-
8.15 Authority. Eachparty representsthat (i) it hasthe requisitepower, authority andcapacityto enterinto theseEnd User Terms, and (ii) theseEnd UserTermsconstitutea legal, valid andbindingobligation, enforceableagainstsuchparty.

Service Level Agreements ( SLAs)
LeaseQuery's Solution is a software -as -a -service based on a multi -tenanted operating model that applies common, consistent managementpracticesfor all EndUsersusingtheservice. Thiscommonoperatingmodel, whichrequiresLeaseQueryto makeuniform availability commitmentsacrossits End Userbase, allows LeaseQueryto providethe high level of servicereflectedin its agreements with its End Users. Capitalized terms not defined herein shall have the meanings ascribed to such terms in the Agreement.
1. Service Availability. LeaseQuery's serviceavailability commitmentfor a given calendarmonth is 99.9%, excluding Planned Maintenance. For purposesof calculating serviceavailability, (i) "Total" meansthe total minutesin themonth; (ii) " UnplannedOutage" meansthetotalminutesfor whichEndUsernotifiesLeaseQuerywithin 30daysaftertheendof theapplicablemonthandLeaseQuery confirmsthatthe Solutionis unavailabledueto anunplannedoutageduringthe month; and (iii) " PlannedMaintenance" meansthetotal minutesof plannedmaintenanceduring themonth. PlannedMaintenancewill occuronly between12:00 a.m. (midnight) and2:00 a.m.
EasternDaylight Time), MondaythroughFriday, or, onFriday andSaturday, between11:00 p.m. and5:00a.m. the following morning Eastern Daylight Time). All times are subject to change upon reasonable notice. If actual maintenance occurs outside of the times reserved for Planned Maintenance, such time is considered an Unplanned Outage. 2. Noncompliancewith Service Availability Commitment. The consequencesof a failure by LeaseQueryto meetthe service availability commitment setforth above are set forth below:
a) First monthof missedavailability: If requestedby End User, the partiesshallmeettelephonically, at End User's request, to discusspotential corrective actions.
b) Second consecutive month: 10% of the subscription fee for the applicable month. c) Third consecutive month: 20% of the subscription fee for the applicable month. d) Fourth consecutive month: 30% of the subscription fee for the applicable month. e) Fifth consecutive month: 40% of the subscription fee for the applicable month. f) Sixth consecutive month: 50% of the subscription fee for the applicable month. g) More than six consecutivemonths: Within 30 days of suchfailure, either party shall havethe option to terminate the Agreement.
Credits shall be deducted from subsequent invoices for subscription fees or other fees or, upon the expiration or termination of the Agreement, paidto EndUserdirectly or offsetagainstotheramountsdueto LeaseQueryhereunder. FOR GOVERNMENTAL ENTITIES
This addendum ( this " Addendum"), effective as of the date last signed below, supplements and amends the termsof theEndUserTermsenteredintoby andbetweenLeaseQuery, LLC ("LeaseQuery") andthe City of Fullerton End User") on even date herewith ( as amended, the " End User Terms"). Capitalized terms used but not defined herein shall have the meanings set forth in the End User Terms. In the event of a conflict between this Addendum and theEndUserTerms, thisAddendumshallcontrolsolelyto theextentof suchconflict. Thepartiesheretoagreeto amend the End User Terms as set forth below, effective as of the date this Addendum is last signed below.
1. Governing Law. The partiesherebyagreethat all mattersarisingout of or relating to this Addendum, the End UserTermsor any SalesOrdershall be governed, construedandenforcedin accordancewith the laws of the Stateof California, without referenceto the conflictsof law principlesthat would requirethe application of any other law.
2. ExclusiveJurisdiction. Solelyto theextentrequiredbyapplicablelaw, anygoverninglawclauseintheEnd UserTermsis herebyremovedand, in its place, the following shallapply:
Thepartiesherebyirrevocablysubmitto the exclusivejurisdiction of the federalor state courtslocatedin theCity of Fullerton, Californiafor purposesof anysuit, actionor other proceedingarising from this Addendum, the End User Terms or any SalesOrder, and herebywaive, andagreenotto assert, asadefensein anyaction, suitor proceedingforthe interpretation or enforcement hereof or thereof, that it is not subject thereto or that such action, suit or proceeding may not be brought or is not maintainable in such courts or that thevenuethereofmaynotbeappropriateorthatthisAgreementoranysuchdocumentmay notbeenforcedin or bysuchcourts. Eachof thepartiesherebyconsentsto andgrantsany suchcourtjurisdictionoverthepersonof suchpartiesandoverthesubjectmatterof anysuch dispute.
3. Indemnification by End User. Solelyto theextentrequiredby applicablelaw, anyobligationof EndUser to indemnifyLeaseQueryoritsaffiliatesor subcontractorsundertheEndUserTermsisherebydeleted.
Except asexpresslyamendedor supplementedhereby, the End User Terms shall remainin full force andeffect in accordancewith its terms. TheEndUserTerms, asmodifiedandsupplementedby this Addendum, constitutesthe entireagreementbetweenthe partieswith respectto its subjectmatterand supersedesall prior understandings, proposals, negotiationsand communications, oral or written, betweenthe partiesor their representativeswith respect to the subject matter hereof.
