THE CITY OF FULLERTON, a municipal corporation, (hereinafter referred to as “G rantor”), hereby grants to SOUTHERN CALIFORNIA EDISON COMPANY, a corporation, its successors and assigns (hereinafter referred to as “Grantee”), an easement and right of way to construct, use, maintain, operate, alter, add to, repai r, replace, reconstruct, inspect and remove at any time and from time to time underground electrical supply systems and communication systems (hereinafter referre d to as “systems”), consisting of wires, underground conduits, cables, vaults, manholes, handh oles, and including ab ove-ground enclosures, markers and concrete pads and other appurtenant fixtures and equipment necessary or useful for distributing elect rical energy and for transmitting intelligence, data and/or communications (eg. through fiber opti c cable), in, on, over, under, across and along that certain real property in the County of Orange, State of California, described as follows:

Grantor further grants, bargains, sells and conveys unto the Grantee the right of assignment, in whole or in part, to others, without right to apportion or divide in whatever manner Grantee deems desirable, any one or more, or all, of the easements a nd rights, including but not limited to all rights of access and ingress and egress granted to the Grantee by this Grant of Easement , subject to the prior approval, in writing, by Grantor of any proposed assignment, apportionm ent, division or transfer of any right held by Grantee by the conveyance of this easement. Grantor approval shall not be unreasonably withheld.
Grantor agrees for himself, his heirs and assigns, not to erect, place or maintain, nor to permit the erection, placement or maintenance of any building, planter boxes, earth fill or other structures except walls and fences o n the above describ ed real property. The Grantee, and its contractors, agents and employees, shall have the right to trim or cut tree roots as may endanger or interfere with said systems and shall have free access to said systems and ev ery part thereof, at al l times, for t he purpose of exercising the rights herein granted; provided, however, that in making any excavation on said property of the Grantor, the G rantee shall make the same in such a manner as will cause the least injury to t he surface of the ground around such excavation, and shall replace the earth so removed by it and restore the surface of the ground to as near the same condition as it was prior to suc h excavation as is practicable. Any future alteration to city -owned trees/planting material requires City’s wr itten approval and shall be performed under City- supervision. The Grantee shall notify in writing City’s Public Works Department 30 days prior to commencing said work. Grantee shall replace any tree in terminal decline if upon inspection by a certified ar borist, it is determined that condition of said tree was caused by Grantee’s operations.

The Grantee agrees, by the acceptance o f this instrument, that in the event the said systems shall interfere with the development of the above-described property of the Grantor(s), then the Grantee will, at its own expense, within 180 days after the receipt from said Grantor(s) of a written no tice so to do, relocate s aid systems or portion(s) thereof to a feasible location on the property of the Grantor(s), so as to conform to the proposed development of said property, in a manner consistent with the location of said systems on the adjoining la nds, provided said Grantor(s) shall first furnish the Grantee with a good and sufficient permanent Grant of Easement in form sat isfactory to the Grantee, for said systems in such new location, it bein g understood and agreed that the Grantee will, at Gr antor’s election, remove and/or aba ndon in place, in whole or in part, the prior systems or portion(s) thereof creating the interfer ence and that the new ly relocated systems shall not be subject to an additional relocation at Grantee’s expense. Any additional rel ocation shall be performed in the same manner as set forth above but shall be at Grant or’s sole cost and expense.
