1 FIRST AMENDMENT TO TELECOMMUNICATION SITE LEASE AGREEMENT This First Amendment to Telecommunication Site Lease Agreement ("Amendment"), effective as of the last signature date below, is made by and between the City of Fullerton, a municipal corporation ("Lessor"), and Los Angeles SMSA Limited Partnership, a California limited partnership, d/b/a Verizon Wireless (“Lessee”), with reference to the facts set forth in the Recitals below:
RECITALS
A. Lessor owns that certain real property located at 2470 W. Pioneer Avenue, Fullerton, California (the “Property”), as more particularly described in Exhibit "A" to the Agreement (defined below).
B. Lessor and Lessee are parties to that certain Telecommunication Site Lease Agreement dated as of November 23, 2020 (the “Agreement”), pursuant to which Lessee leases certain premises at the Property for the construction, operation, and maintenance of a communications facility, together with the appurtenant rights for ingress and egress, and uti lities (collectively, the "Leased Areas"), as further described and depicted in the Agreement.
C. Pursuant to this Amendment, Lessor and Lessee desire to amend the Agreement to permit Lessee to modify the Leased Areas and modify exhibits to the Agreement as further set forth below.
AGREEMENT
NOW, THEREFORE, in consideration of the facts contained in the Recitals above, the mutual covenants and conditions below, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
1. Exhibit C-1. Lessor hereby consents to the alterations, additions , and improvements described and depicted in Exhibit C-1 attached hereto and made a part hereof (the “Site Plan”). Lessor hereby acknowledges and agrees that Lessee may install any and all conduits, cables, materials, equipment, and hardware over, under, along, and among the Property and the Premises as shown in the Site Plan . As of the date of full execution of this Amendment, all references to the Premises in the Agreement shall be amended to refer to the improvements shown in the Site Plan. Upon the full execution of this Amendment, Exhibit C-1 shall replace Exhibit C to the Agreement in its entirety.
2. Continued Effect. Except as specifically modified by this Amendment, all of the terms and conditions of the Agreement shall remain in full force and effect. In the event of a conflict between any term and provision of the Agreement and this Amendment, the terms and provisions of this Amendment shall control. The parties agree that this Amendment may be electronically signed and the words “executed,” “execution,” “signed,” “signature,” and words of like import in this Amendment shall include images of manually executed signatures transmitted by facsimile or other electronic format (including, without limitation, “pdf”, “tif” or “jpg”) and

2 other electronic signatures (such as through DocuSign and “Adobe Sign”). The parties agree that electronic signatures appearing on this Amendment are the same as handwritten signatures for the purposes of validity, enforceability, and admissibility. In addition, except as otherwise stated in this Amendment, all initially capitalized terms will have the same respective defined meaning stated in the Agreement. All captions are for reference purposes only and shall not be used in the construction or interpretation of this Amendment.
