Dear Ms. Chaudhry,

ACES is pleased to provide the City of Fullerton (Fullerton) this Indicative Proposal for Orange County Power Authority (OCPA) Withdrawal Consulting Services (Services). The fees associated with this Proposal are directly related to the Terms and Conditions of the ACES standard Consulting Agreement, which accompanies this Proposal.

Scope of Services
ACES will provide Fullerton with an independent assessment of energy, capacity, and environmental attribute transaction liquidation costs. This will involve reviewing and analyzing Power Purchase Agreements (PPAs), transaction confirmations, and other documents provided by Fullerton or OCPA. This review will estimate the current market value of energy, capacity, and environmental attribute purchases in comparison to the costs transacted by OCPA. This will provide an independent benchmark of Fullerton’s withdrawal costs related to the cost of energy, capacity, and environmental attributes. Deliverables for this task will include spreadsheet calculations for each transaction, a report documenting ACES’ methodology and findings, and a presentation suitable for delivery to the Fullerton City Council on ACES’ methodology and findings. This task also includes communication with Fullerton regarding ACES methodology regarding the relevant transactions, and responding to any questions that arise.

Fees
Fees for these services will be $12,675, half payable upon contract execution and half payable upon completion of work.

ACES has identified 30 relevant transactions in the set of agreements/confirms it has already received from OCPA. Should the set of relevant transactions expand beyond 35, ACES may need to renegotiate the fees.

Change Management Guidelines
ACES understands there may be unexpected factors that necessitate modifications to the services. If changes to the services are required, ACES and Fullerton will work together and agree to any changes in writing.

We look forward to supporting you in this project. If you have any questions or comments regarding this Proposal, please contact me at (916) 250-9425, or [email protected].

Best regards,

Todd White
Executive Director of Business Development
