Offer-Specific, Third Party and Program Specific Terms : Customer s use of th rd-party software s subject to the cense terms that accompany the software. Certa n Supp er-branded and th rd-party products and serv ces sted on th s Quote are subject to add t ona , spec f c terms stated on www.de .com/offer ngspec f cterms (“Offer Spec f c Terms”).
In case of Resale only: Shou d Customer procure any products or serv ces for resa e, whether on standa one bas s or as part of a so ut on, Customer sha nc ude the app cab e software cense terms, serv ces terms, and/or offer-spec f c terms n a wr tten agreement w th the end- user and prov de wr tten ev dence of do ng so upon rece pt of request from Supp er.
In case of Financing only: If Customer ntends to enter nto a f nanc ng arrangement (“F nanc ng Agreement”) for the products and/or serv ces on th s Quote w th De F nanc a Serv ces LLC or other fund ng source pre-approved by Supp er (“FS”), Customer may ssue ts purchase order to Supp er or to FS. If ssued to FS, Supp er w fu f and nvo ce FS upon conf rmat on that: (a) FS ntends to enter nto a F nanc ng Agreement w th Customer for th s order; and (b) FS agrees to procure these tems from Supp er. Notw thstand ng the F nanc ng Agreement, Customer s use (and Customer s resa e of and the end-user s use) of these tems n the order s subject to the app cab e govern ng agreement between Customer and Supp er, except that t t e sha transfer from Supp er to FS nstead of to Customer. If FS not f es Supp er after sh pment that Customer s no onger pursu ng a F nanc ng Agreement for these tems, or f Customer fa s to enter nto such F nanc ng Agreement w th n 120 days after sh pment by Supp er, Customer sha prompt y pay the Supp er nvo ce amounts d rect y to Supp er.
Customer represents that th s transact on does not nvo ve: (a) use of U.S. Government funds; (b) use by or resa e to the U.S. Government; or (c) ma ntenance and support of the product(s) sted n th s document w th n c ass f ed spaces. Customer further represents that th s transact on does not requ re Supp er s comp ance w th any statute, regu at on or nformat on techno ogy standard app cab e to a U.S.
Government procurement.
