COUNTY OF ORANGE, COUNTY PROCUREMENT OFFICE
AND
CARAHSOFT TECHNOLOGY CORPORATION
FOR
SOFTWARE PRODUCTS
This Amendment One , hereinafter referred to as “Amendment” is made and entered into upon execution of all necessary signatures between the County of Orange, a political subdivision of the State of California, hereinafter referred to as “County” and Carahsoft Technology Corporation with a place of business at 1860 Michael Faraday Drive, Suite 100, Reston, VA 20190; hereinafter referred to as “Contractor”, which are sometimes individually referred to as “Party,” or collectively referred to as “Parties.”
RECITALS
WHEREAS Region 4 Education Service Center and OMNIA Partners have issued Contract #R191902, hereinafter “Region 4/OMNIA Contract” with Carahsoft Technology Corporation for Educational Software and Related Products, effective on May 1, 2020 through and including April 30, 2023; and, WHEREAS Parties executed Subordinate Contract RCA-017-21010004 (“Contract”) with Contractor for Software and Related Products, effective May 1, 2021 through April 30, 2023; and, WHEREAS Region 4 Education Service Center and OMNIA Partners have issued a contract renewal, effective on May 1, 2023 through April 30, 2024.
NOW THEREFORE in consideration of the mutual obligations set forth herein, Parties agree to renew the Contract as follows:
1. Contract is renewed for a period of one (1) year, effective May 1, 2023 through April 30, 2024.
2. All terms and conditions contained in this Amendment are incorporated by this reference into the Contract. This Amendment modifies the Contract only as expressly set forth above. This Amendment does not modify, alter or amend the Contract, including all previous amendments, in any other way whatsoever.

IN WITNESS WHEREOF, the Parties hereto have executed this Contract on the dates shown opposite their respective signatures below.

* If the Contractor is a corporation, signatures of two specific corporate officers are required as further set forth. The first corporate officer signature must be one of the following: 1) the Chairman of the Board, 2) the President or 3) any Vice President. The second corporate officer signature must be one of the following: 1) Secretary, 2) Assistant Secretary, 3) Chief Financial Officer or 4) Assistant Treasurer. The signature of one person alone is sufficient to bind a corporation, as long as he or she holds corporate offices in each of the two categories described above. For County purposes, proof of such dual office holding will be satisfied by having the individual sign the instrument twice, each time indicating his or her office that qualifies under the above described provision. In the alternative, a single corporate signature is acceptable when accompanied by a corporate resolution demonstrating the legal authority of the signator to bind the corporation.
