AMENDMENT NUMBER FIVE TO
AGREEMENT FOR EMS EMERGENCY TRANSPORTATION SERVICES
This AMENDMENT NUMBER FIVE ("Amendment") to the Agreement for EMS Emergency Transportation Services ("Agreement") is entered into by and between the CITY OF FULLERTON ('City") and FALCK MOBILE HEALTH CORP. ("Contractor").
WHEREAS, City and Contractor entered into the Agreement on June 6, 2018 for an initial term of two years beginning July 1, 2018; and
WHEREAS, Section 5(c) of the Agreement provides that the term of the Agreement may be extended for up to three additional one (1) year terms (for a possible total of 5 years); and WHEREAS, City and Contractor previously entered into Amendment Numbers One, Two, Three, and Four to the Agreement exercising all three options to extend the term of the Agreement through June 30, 2023 (collectively the "Initial Term"); and WHEREAS, City intends to issue a Request for Proposals for a new agreement which requires preparation, time to solicit proposals, and time to review and award a new contract; and
WHEREAS, pending City's award of a new agreement for ambulance services, City and Contractor desire to (a) extend the term of the Agreement on a month-month basis, (b) adjust the monthly amount paid to Contractor, and (c) add in a rate to be paid to Contractor for additional ambulances.
NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:
1. Upon expiration of the Initial Term of the Agreement and all subsequent Renewal Terms, the term shall automatically be extended for a one-month period (a "Renewal Term") up to a maximum of four times, unless the Agreement is sooner terminated or notice of intent to not renew is provided to the other party no less than 20 days prior to the then pending expiration date.
2. Section 3 of the Agreement is hereby amended to add the following:
"3. Contract Price and Payment. Commencing on the effective date of this Amendment, City shall pay Contractor the following amounts during the Extended Term:
July 2023 $231,012
August 2023 $231,012
September 2023 $223,560
October 2023 $231,012
Additionally, if the City requests ambulances in excess of three (3) ambulances, the City shall pay Contractor a rate of $63.75 per quarter hour increment for the first hour for each ambulance and a rate of $60.00 per quarter hour increment for all additional hours for each ambulance. For the sake of clarity, sixteen (16) minutes will be rounded up to two (2) quarter hours." 1 Amendment #5 to Falck EMS Agreement
