AMENDMENT NUMBER ONE TO PROFESSIONAL SERVICES AGREEMENT WITH
SYSTEMS INTEGRATED
This AMENDMENT NUMBER ONE ("Amendment") to the Professional Services Agreement ("Agreement") is entered into by and between the CITY OF FULLERTON ("City") and SYTEMS INTEGRATED ("Consultant").
WHEREAS, City and Consultant entered into the Agreement on November 18, 2020 for a term through November 30, 2023; and
WHEREAS, Section 6.22 of the Agreement provides that the Agreement may be amended by the parties; and
WHEREAS, City intends to issue a Request for Qualifications for a new agreements) with consultants or contractors that can perform similar work; and WHEREAS, pending City's award of new agreements), City and Consultant desire to (a) extend the term of the Agreement on a month-by-month basis and pay the Consultant for Main Plant per- and polyfluoroalkyl substances (FAS) water treatment plant support services.
NOW, THEREFORE, THE PARTIES HERETO AGREE AS FOLLOWS:
1. Upon expiration of the Initial Term of the Agreement, the term shall automatically be extended on a month-to-month period not to exceed five months ("Extended Term"). The Extended Term may be terminated at any time upon written notice by the City. Notwithstanding any other provision of the Agreement, the termination date shall be the date set forth in the notice if the notice specifies a termination date. If the notice does not specify a termination date, the date of termination shall be as set forth in Sections 4.2 and 6.4 of the Agreement.
2. Section 2.1 of the Agreement is hereby amended to add the following:
Consultant's compensation for completing the support services for the Main Plant PFAS water treatment plant shall not exceed $146,658.35.
3. Except as provided in this Amendment, all provisions of the Agreement remain the same and in full force and effect.
