In the event that LESSOR serves LESSEE with a Notice to Pay Rent or Quit pursuant to the applicable Unlawful Detainer Statutes, such Notice to Pay Rent or Quit shall also constitute the notice required by this subparagraph.
2. Section 101 or any successor statute thereto ( unless, in the case of a petition filed against LESSEE, the same is dismissed within sixty (60) days); (iii} the appointment of a trustee or receiver to take possession of substantially all of LESSEE's assets located at the Premises or of LESSEE's interest in this Lease, where possession is not restored to LESSEE within sixty (60) days; or ( iv) the attachment, execution or other judicial seizure of substantially all of LESSEE's assets located on the Land or of LESSEE's interest in this Lease where such seizure is not discharged within sixty (60) days. Provided, however, in the event that any provision of this Paragraph 15. a.4. is contrary to any applicable law, such provisions shall be of no force or effect. Notwithstanding the foregoing, any appointment, attachment or other transaction allowed pursuant to the provisions of Paragraphs 9 and 14 shall not constitute default of this Agreement.
b) Remedies. Except as otherwise provided in this Lease, in the event of any such material default or breach by LESSEE, LESSOR may at any time thereafter, with or without notice or demand and without limiting LESSOR in the exercise of any right or remedy which LESSOR may have by reason of such default or breach:

LESSOR shall not be in default unless LESSOR fails to perform obligations required of LESSOR within a reasonable time, but in no event later than thirty (30) days after written notice by LESSEE to LESSOR specifying wherein LESSOR has failed to perform such obligations; provided, however, that if the nature of LESSOR's obligation is such that more than thirty (30) days are required for performance, then LESSOR shall not be in default if LESSOR commences performance within such thirty-day ( 30) period and thereafter diligently prosecutes the same to completion. Such costs include, but are not limited to, processing and accounting charges. Accordingly, if any installment of Rent or any other sum due from LESSEE shall not be received by LESSOR or LESSOR's designee within fifteen ( 15) business days after such amount shall be due, then, not later than five ( 5) business days after LESSEE's receipt of notice from LESSOR, LESSEE shall pay to LESSOR a late charge equal to six percent (6%) of such overdue amount. The parties hereby agree that such late charge represents a fair and reasonable estimate of the costs LESSOR will incur by reason of late payment by LESSEE. Acceptance of such late charge by LESSOR shall in no event constitute a waiver of LESSEE's default with respect to such overdue amount, nor prevent LESSOR from exercising any of the other rights and remedies granted hereunder. In the event that a late charge is payable hereunder, whether or not collected, for three ( 3) consecutive installments of Rent, then upon notice thereof from LESSOR to LESSEE, Rent shall automatically become due and payable quarterly in advance, rather than monthly notwithstanding Paragraph 5 or any other provision of this Lease to the contrary.

CITY COUNCIL AGENDA
TO: CITY MANAGER/CITY COUNCIL
FROM: ENGINEERING DEPARTMENT
DATE: JULY 16, 2002
SUBJECT: LEASE AGREEMENT - MAIN PLANT PARKING
The City of Fullerton's Main Water Pumping Plant ( Main Plant) is located in Anaheim near the corner of Harbor Boulevard and La Palma Avenue. Calvary Chapel Open Door, a church located adjacent to the Main Plant, approached the City about leasing a portion of the City's property for additional parking space ( Exhibit " A"). Staff has reviewed this request and determined that the use of this eastern portion of the Main Plant as a parking lot will not impact City water operations.
The City retained Lidgard and Associates to perform a rental value study for this property. The study was based on the use of this property as a parking lot only and subject to continued water pump station activities. The total lease area is 32, 232 square feet, and the monthly rental value is $.043/ square foot for a total rental of $1400/ month.
The term of this agreement will be five years with the option to renew for an additional two five- year terms. Should the Council determine that this rented space is needed for a public project that benefits the City of Fullerton, the City will retain the right, with 180 days' written notice, to terminate the lease.
The church will make all the necessary improvements to convert the lease area to a parking lot, including grading, paving, and fencing. It will also maintain this area to the satisfaction of the City.
RECOMMENDATION
Authorize the Mayor to execute the Lease Agreement - Main Plant Parking between the City of Fullerton and Calvary Chapel Open Door in a form approved by the City Attorney.
