Development FeasibilityReport
Ourteamwill alsocompilea DevelopmentFeasibilityReportthat will includea residential development feasibility study for each site. Basedon the market analysis, feedback received from stakeholders, anddirectionfrom the City, our teamwill developandtestthe development feasibilityandcapacityfornewhousingoneachof theidentifiedsites. Dependingonthe contextof eachsite, eachfeasibilitystudywill explorevariationsin the following:

New housing and/ or a mix of uses (e.g., retail) on site; Scaleand massing of building typologies;
Capacity of the number and general type of new housing units; Parking facilities;
Public realm and relationship to streetscape.

Eachfeasibility study will be represented as a conceptual level site plan and program matrix listing numberof units, total building squarefootage, retailprogram, andopenspace. To ensure that eachstudyis groundedin true marketconditions, eachstudywill bedevelopedin conjunction with an illustrative pro forma, as part of Task B4, to illustrate a comprehensive picture of each site' s development potential.

Task83 Deliverables: Existingconditionsreportconsistingof siteanalysisanda city-widemarketanalysis; and development feasibility report.

Task 64- Illustrative Pro Forma
Developed in conjunction with Task B3, an illustrative pro forma ( in a format confirmed beforehand by staff) will be prepared for each of the development scenariosfor each site. Led by ProFormaAdvisors, our teamwill conducta financialfeasibilityof eachdevelopment scenario. Revenueassumptionsusedin the financialmodelwill be primarilycollectedinthe market analysis developed from Task B3. Our team will provide hard and soft cost assumptions basedon industryknowledgewith input providedfrom a third -partyindependentcostestimator as needed. With the revenue and cost assumptions in hand, we will create a multi- year financial model that will assessthe supportable developer investment and overall feasibility of each development scenario.

Toassistwith the evaluationof eachsiteandthe overalldecision-makingprocess, ourteamwill presentthe "residuallandvalue" of eachdevelopmentscenario. Thiswill allowthe Cityand ProjectTeamto comparethe developmentalternativeswith oneanotherwith prevailingland valuesto better understand the financial feasibility of the proposed development prototypes in the marketplace. Furthermore, depending on if the land has existing improvements, it will allow for an apples -to -applescomparisonof overalldevelopmentfeasibility (inclusiveof developer

profit) among various land usesas well asa land value "hurdle" rater that can be usedto immediately validate or reject site locations.

Finally, keydevelopmentsensitivitiesspecificto the selectedsiteswill be examined. Whilewe anticipate that these will be minor given that all the development opportunities are in a similar market area, any adjacenciesissues (positive or negative) will be considered. Various levelsof affordablehousingunits, basedon percentageof total units, will alsobetestedto determine their levelof inclusioninto the site-specificdevelopmentopportunities.

Whileeachsitewill be consideredbasedon its uniqueconditions, the broadermarketand financialfeasibilityevaluationwillprovideaframeworkto analyzeandranksiteopportunitiesfor the City.

Task B4 Deliverables: Illustrative pro forma per site.

TASK C. PHASE 2 — CREATION OF FORM -BASED DEVELOPMENT

STANDARDS AND HIOZ REGULATIONS
Task C1- Form - based development standards
Ourteamwillcreateform -baseddevelopmentstandardsthatwillapplyto newresidential developmentstriggeredby the regulationssetforth in the newHIOZ. We understandthatthe Citycurrentlyprovidesform -baseddevelopmentstandardsinitsMunicipalCode (Zoning Code) toregulateresidentialdevelopmentonresidentiallyzonedland, andthatthiseffortmay beusedto updateportionsoftheexistingcodetoensurequalitydesignofthebuilt environmentwhilealsomeetinghousingdevelopmentandaffordabilitygoals.

Basedonourunderstandingof neighborhoodcontextandconstraintstohousingidentifiedin TaskB, we may recommend a context -based approach to tailor standards and ensure compatibleintegrationof housingwithinthe appropriatecontext (i.e., urbaninfill specificto Downtown, infill parcelsalongmajorcommercialcorridors, industrialareas, etc.).

DUDEK HIOZ SCOPE
Dudek'sin-houseDevelopmentServicesgroupwillworkhand-in-handwith ourplanningteam, bridgingthe gap betweenlong-rangeplanninggoalsandactualredevelopmentpotentialto ensurethat rezonedsiteshavea realisticanddemonstratedability (and ownerinterest) to redevelop within the short-term planning horizon.

Theneighborhoodcontextsmaybedistinguishedfrom oneanotherby their physicaland functional characteristics, such as:

Street, alley, and block patterns;
Building placement and height;
Diversity, distribution, and intensity of land uses; and Diversity of mobility options.

Task CI Deliverables: Draft versionof form -baseddevelopmentstandards.

Task C2- HIOZ regulations
In partnership with City staff, we will introduce a range of form -based code regulations and incentivesthatmayaidinthepromotionofalltypesof housingdesiredbythecommunity, as wellasaffordablehousingneeds. Recognizingexistingconstraintsisthefirststepinremoving housingbarriers. Someofthemajorzoningbarriersincludelimitationsondensity, housing types, setbacks, parking requirements, and unit size.

Our team will explore the feasibility and practicality in application of various incentive types while notingoverlapwith the CaliforniaDensityBonusLawandthe City's DensityBonus Ordinance), such as:

Density bonuses;
Increasedallowable building heights;

DUDEK HIOZ SCOPE
TASK D. PHASE 3 — PREPARATION OF ENVIRONMENTAL EVALUATION AND

DOCUMENT
Summary of CEQA Approach
Basedon the City's responsesto prospective consultant's questions on the RFP, it is Dudek's understandingthat 10of the 15sitesidentifiedasopportunity siteshavebeenpreviously analyzedin the EnvironmentalImpactReport (EIR) as "FocusAreas" preparedfor the City's GeneralPlan (i.e., the FullertonPlan). Forthis reason, the Citybelievesthe FullertonPlanEIR provides a good baseline for the analysis for the HIOZ Project and much of the environmental impactevaluationandmitigationmeasuresfromtheFullertonPlanEIRcancarry-overto theEIR prepared for the HIOZ Project.

The EIRprepared for the HIOZ is likely to be a Program EIRthat analyzesbuildout of the feasible opportunity sites on a programmatic level. It is Dudek' s intent that the EIRwill include sufficient levelof detail, analysis, andmitigationoptionsto allowthe Cityandresidentialdevelopersto efficiently tier - off the EIR as redevelopment of each particular site is proposed. The EIR will be draftedwith the mindsetthat the EIRshouldbetool availableto the Cityandprojectapplicants to streamline future environmental clearance processes as development is proposed for the opportunity sites.

Task D1- Initial Study and Notice of Preparation
Consistentwith the City'sadoptedCEQAEnvironmentalChecklist (InitialStudy [IS)) andlocal CEQA implementation guidelines, Dudek will prepare one ( 1) administrative draft ISfor review andcommentby the City. Theadministrativedraft ISwill identifypotentiallysignificant environmentalimpactsassociatedwith buildout of the HIOZProject. Environmentalsetting, impactanalyses, and substantiatingdocumentationwill be providedto supportall responses andconclusionsin the IS, includingconcisetablesand high-quality, full-colorfigures. All environmentalimpactareasoutlinedin County'sadoptedCEQAEnvironmentalChecklistwill be discussedandanalyzed. TheintentoftheAdministrativeDraftISisto scope -outasmany environmental resource topics from the EIR as feasible/ defensible.

Followingone round of reviewof andcommenton the administrativedraft ISby the City, wewill makeone roundof revisions, asrequired. It is our intentthat theserevisionswill satisfactorily address all prior comments on the administrative draft IS, and no substantial review efforts beyond a final " page -turn" review will be required. This revisedversion of the ISwill serveas the final version of the document.

ConsistentwithCEQAGuidelines, Section15082, DudekwillworkwiththeCityto preparea Notice of Preparation ( NOP) of a draft EIR. The NOP will provide the responsible and trustee agenciesand the California Office of Planning and Research/State Clearinghouse (SCH) with sufficient information describing the Project and the potential environmental effects to enable the outside agencies to make a meaningful response. At a minimum, the information will include a description of the Project, location of the Project, and probable environmental impacts of the Project.

DUDEK HIOZ SCOPE
Following one round of review of and comment on the draft version of the NOP, Dudek will make one round of revisions, as required. Following revisions to the NOP, Dudek will coordinate circulation with the City for the combined IS/NOP.

Task D7 Deliverables:

TaskD3 Deliverables: Technicalanalysesincludeddirectlyin individualtechnicalmemorandumsor directly in the applicable EIRsections (electronic copies) Task D4- Administrative Draft EIR
Consistent with CEQAGuidelines, Article 9, Dudek will prepare one administrative draft EIRfor review and comment by the City. As required by CEQAand the CEQAGuidelines, the administrativedraftEIRwillincludethefollowingchapters: Introduction, ExecutiveSummary, EnvironmentalSetting, ProjectDescription, EnvironmentalAnalysis, CumulativeImpacts, Other CEQAConsiderations, and Alternatives to the Project. Eachof the EIR's Environmental Analysis sections will include a discussion of each environmental topic within four main sections: (1)

DUDEK HIOZ SCOPE
ExistingConditions, (2) RegulatoryFramework, (3) Impactsand Mitigation, and (4) References.

Thediscussionof impactsandmitigationwill be dividedinto subsectionsbasedon the recent update to CEQAGuidelines, Appendix G, Environmental Checklist, questions. Eachof these subsections will enable clarity, ease of use, and organization, and each subsection will be headed by asummaryboxor table.

BasedonourunderstandingoftheHIOZProjectandtheCity, weassumethatuptothirteen (13) environmentalanalysisdraftEIRsectionswillneedto beprepared, includingbutnotlimitedto, thefollowingpotentialenvironmentalissuesthatmayneedtobecomprehensivelyaddressedin their ownsections (asopposedto being "focusedout" in the IS/NOP):

1. Aesthetics
