Re: Bid Proposal Submitted by Horizons Construction Company Int'l Inc. for Woodbury Park Revitalization and Expansion Project IFB S-1340
Dear Mr. Kotrash:
The City of Garden Grove City staff have completed their review of the bid proposal received from Horizons Construction Company Int'l Inc. for the above-referenced project, and has identified several irregularities that include the following:
• Page 21 and 22, bid items 86, 86, 87, Alt 1, Alt 2A, and Alt 2B: did not complete the written words for the unit price.
• Page 20, bid item 80: the total amount for the bid item was not calculated correctly. • Page 25, Designation of Subcontractors: did not complete and include page with list of designated subcontractors to be used on the project.
• Page 30, Affidavit to Accompany Proposal: did not complete all sections of this form. • Page 31, Equal Employment Opportunity Certification: did not complete all sections of this form.
• Page 37, Noncollusion Affidavit: the notary's seal was not placed on the notary certificate. • The following items were not provided as outlined in page 3, Instruction to Bidders:
o Proof of current registration with the DIR (Department of Industrial Relations) for the General Contractor and all sub-contractors.
o Proof of a valid Type A-General Engineering Contractor's license and be in good standing with the California State Contractors License Board. o Proof of valid contractor licenses for all sub-contractors whom must also be in good standing with the California State Contractors License Board.
Please explain why City staff should not find this bid package as non-responsive, and recommend that the City Council award the contract to Act 1 Construction, Inc., the second lowest bidder on the project.
Sincerely,
a ^ "

Attn: Ms. Janet Pelayo, or City Attorney
Subject: Response to Bid Irregularity Inquiry and Protest - Woodbury Park Project, City of Garden Grove
Dear Janet or City Representative,
This letter serves as Horizons Construction Company's formal response to the City's inquiry dated May 12, 2025, as well as the protest submitted by Actl Construction. Horizons respectfully submits the following clarifications and requests that the City exercise its discretion to waive minor bid irregularities in accordance with established legal precedent and sound public contracting practices.
Summary of City-Noted Items and Horizons Response:
• Bid Items 86-87, Alt 1, Alt 2A, Alt 2B (Pages 21-22):
Unit prices were entered numerically but not written in words due to last-minute time constraints. The numerical entries are clear, correct, and consistent with the bid totals.
This is anon-material irregularity.
• Bid Item 80 (Page 20):
A minor math error was corrected (see attached). The correction does not change the outcome, Horizons remains the lowest bidder.
• Designation of Subcontractors (Page 25):
All required subcontractors were listed with complete details. However, they were inadvertently entered on a form marked Part II instead od Part I. This clerical error does not affect the integrity of the bid, and Horizons respectfully requests permission to resubmit the same information on the correct form if needed. • Affidavit to Accompany Proposal (Page 30):
While not all fields were completed, this affidavit does not affect bid pricing, qualifications, or subcontractor disclosures and is a common post-bid curable m-egularity. • Equal Employment Opportunity Certification (Page 31):
Fully completed and compliant.
• Non-Collusion Affidavit (Page 37):
The notary seal was inadvertently omitted but was signed by the Notary Public. If the City requires re-notarization, we are happy to comply.
• Proof of License & DIR Registration:
Horizons and its subcontractors possess valid licenses and DIR registrations, all verifiable via the CSLB and DIR websites. Copies can be furnished upon request.
Response to Actl Construction Protest
• Addenda Acknowledgment:
Actl's clam is incorrect. Horizons acknowledged Addenda 1 through 4 (see attached copy of Page 41 of our bid submission).
• Litigation History Disclosure:
The case referenced by Actl dates back to 2009 and concluded in 2011, which is well outside the 10-year disclosure window required by Section 4B. The matter was settled in Horizons' favor.
• Camera Scope Subcontractor:
The camera scope is fully included under our listed electrical subcontractor, Avram Electric. No scope was omitted.
Additionally, Actl 's bid is not only over $330,000 higher, presenting a significant cost difference to the City and the public, but also, Actl's own bid contains irregularities that raise greater concern. For example:
• Alteration of a bid item quantity (see Item 14, Page 3 ofActl's bid), which renders their proposal non-comparable to other bidders and therefore non-responsive. • Missing or incomplete subcontractor information, including DIR numbers and contact details.
• Vague scope descriptions.
Please see the attached marked copy ofActl 's bid for reference.
Legal and Practical Grounds for Waiver
Horizons remains the lowest responsive and responsible bidder. The irregularities cited are minor, clerical, and curable post-bid without impacting bid totals, fairness, or the competitive process.
California law supports waiving non-material irregularities:
"The awarding authority may exercise its discretion to waive minor irregularities... provided the waiver would not affect the amount of the bid or give a competitive advantage..." - Palo Alto Municipal Code § 2.30.480
"The rule of strict compliance... does not preclude the contracting entity from waiving inconsequential deviations. "
- MCM Construction, Inc. v. City & County of San Francisco Horizons has a strong history of successful delivery on parks and recreation projects, and is fully prepared to execute the Woodbury Park project in accordance with City expectations.
We respectfully request that the City waive these minor irregularities which did not affect the competitive advantage, the qualifications or the scope of the work, and proceed with the award to Horizons as the lowest responsive and responsible bidder.
In the event that the City proceeds with awarding the contract to Act 1 Construction or others, Horizons reserves all rights to formally protest the award and to monitor the bidding and construction process closely. This includes, but is not limited to, requesting access to City staff evaluations, subcontractor information, copies of subsequent subcontract agreements, and related documentation in accordance with applicable public records laws and bid transparency requirements.
Thank you for your kind consideration.

Project: Woodbury Park Revitalization and Expansion Project IFB S-1340 To: City of Garden Grove
11222 Acacia Parkway, Garden Grove, CA 92842
Attn: Ms. Janet Pelayo, Community Services Manager
CC: City Attorney's Office
Subject: Formal Complaint - Apparent Bid Shoppmg and Self-Dealing by Actl Construction in Connection with Woodbury Park Project (IFB S-1340)
Dear Ms. Pelayo,
Horizons Construction Company respectfully supplements its reply to the Protest by Actl Construction and hereby submits this as a formal complaint concerning serious irregularities identified in the Actl Construction bid for the subject project. Upon deeper review of the public bid documents and contractor licensing records, we have uncovered evidence suggesting self-dealing and potential bid shopping in violation of the intent of California Public Contract Code §4100. "Subletting and Subcontracting Fair Practices Act." Findinss:
Actl Construction (California Contractor License No. 657517) has listed several subcontractors trades with a significant portion of the project awarded to Oak Hollow Construction (License No. 1051967), a company:
• Formed more recently at an adjacent mailing address;
• Sharing the same ownership and officer: Mr. Donald Wayne Trenholm; • Operated effectively as a "minor entity" or clone company ofActl Construction.
The trades Actl Construction has listed Oak Hollow Construction for are: HVAC, Lath and Plaster, Doors, Windows, Drywall, Tiles, Painting, Coating, Wood Framing, Anti Graffiti, Casework, Skylights. A major portion of the bid price.
See attached screen shot from California State License Board for the two. This subcontracting arrangement between two entities with the same Owner basically subcontracting to himself is a deliberate strategy to list "placeholder" subcontractors in order to later substitute or negotiate with unrelated subcontractors after bid award, a practice commonly known as "bid shopping".
Legal Concerns:
1. Violation of Subletting and Subcontracting Fair Practices Act (Public Contract Code §4100-^114):
The purpose of this law is to prevent bid shopping and maintain transparency and fairness in subcontractor designations. Listing an affiliated or own entity under same ownership control defeats the purpose of required subcontractor disclosure.
2. Undermining Competitive Integrity:
This tactic gives the appearance of subcontractor participation, while providing the prime contractor with freedom to renegotiate or substitute subs post-award, gaining an unfair advantage over competitors who disclosed bona fide third-party subcontractors m good faith.
3. Potential Misrepresentation:
By listing Oak Hollow as a subcontractor without disclosing the shared ownership, Actl may have misled the City and other bidders, resulting in a bid that is potentially nom-esponsive and subject to disqualification under the Public Contract Code and established contracting principles. This apparent circumvention of the intent of the law raises serious concerns about transparency and good faith, and may warrant further legal or ethical review.
We resnectfuUv uree the Cky to:
• Review Actl's subcontractor listing in light of the shared ownership between Actl and Oak Hollow Construction.
• Demand full disclosure of subcontractor independence and scope of work; confirm the intent by requesting references for experience of Oak Hollow Construction completing projects with the listed trades.
• Disqualify Actl Construction's bid if it is determined that the listing of Oak Hollow violates the intent of subcontractor designation codes and requirements or constitutes misrepresentation.
• On the other hand, the City may also Require affirmation from other bidders that all listed subcontractors are independent third parties, not an alter ego or under common control / ownership with the prime contractor.
As preserving transparency, competition, and fairness in public contracting is paramount, we trust the City of Garden Grove will take this matter seriously and uphold the integrity of its contract award process.
Please do not hesitate to contact me if additional mformation or documentation is needed.
Sincerely.
Horizons Construction Company

Re: Determination Regarding Horizons Construction Company's Bid and Horizons Construction Company's Protest Against the Bid Submitted by Act 1 Construction for the Woodbury Park Revitalization and Expansion Project - City of Garden Grove IFB No. S-1340
Dear Mr. Ibrahim:
Thank you for submitting Horizons Construction Company's bid and the protest against the bid submitted by Act 1 Construction, the second low bidder. Upon review of Horizons Construction Company's bid, the notification of irregularities found by the City, additional irregularities identified by the protest filed by Act 1 Construction, and the additional information provided by Horizons Construction Company and Act 1 Construction, City staff will proceed with a recommendation that the City Council find Horizons Construction Company's bid unresponsive, and let the contract for the project to Act 1 Construction.
It is anticipated that the City Council consideration of the award of the contract will be scheduled for the May 27, 2025, City Council meeting. The agenda and staff report containing our recommendation to the City Council will be posted on the City's website 72 hours before the meeting.
Again, thank you for your interest in the project.
Sincerely,
Janet Pelayo
