TERMS & CONDITIONS
The Proposal is valid for no more than 30-days from the date it was issued. By accepting the Proposal, Edgemoor - Garden Grove Civic Center Relocation agree to following.
Customer is responsible for charges resulting from changes in the size, scope and conditions of the project. Customer’s final charges will be based on the proposal’s pricing and rates for the actual services and actual materials provide during the project by Chipman. Chipman doesn’t provide pricing based on collective bargaining agreements or prevailing wage rates.
All services will be performed during regular business hours (8am - 5pm, Monday through Friday, excluding Holidays) unless otherwise specified in the Proposal.
If Customer requests service during irregular business hours, Chipman’s services will be charged at time-and-a-half of the stated rates after 5pm and all-day Saturday. Sunday and Holidays will be charged at double time of the stated rates.
The Proposal is based on Chipman having free and clear access (and egress) during the project to all docks, entrances, elevators, hallways, offices and common spaces during the project. It is Customer’s responsibility to secure Chipman's priority access to elevators. Access and egress delays, including those caused by other trades and third parties, will result in additional charges.
If the Proposal includes the use of moving crates, dollies, moving bins, or other equipment, Customer will be responsible for the applicable rental rates for the length of time these items are in Customer’s possession, plus the cost of retrieval. Customer is also responsible for any lost or missing rental item at the replacement cost.
Customer will have a representative at all service sites, at all times, during the project. Customer’s representative will have actual authority to approve changes to the scope of work, and approve any change order(s), if needed. In addition, if a change order is signed by Customer, Customer acknowledges and agrees that such services and materials shall be subject to the terms and conditions of this Proposal and Customer’s acceptance and/or receipt of such services shall constitute a financial obligation of Customer to Chipman.
Cancellations made within 48 hours of the scheduled service day will be subject to additional charges. The amount and conditions of these charges will be specified based on the notice period provided and the nature of the service.
Limited Liability for items serviced by Chipman
During the project, Chipman's liability for lost, damaged or destroyed items shall be no more than $.60 per pound per item. Items include, but not limited to, electronics, furniture, product, and effects.
During the course of the project, Chipman shall not be liable for lost, damaged or destroyed items personally owned by Customer’s employees and contractors, including laptops and electronic devices.
Prior to the start of the project, Valuation Protection is available for an additional charge. Valuation Protection is not insurance. Chipman’s maximum liability for Valuation Protection is the lessor of: (1) the actual loss or damage to the item, which measured by the reasonable cost of repair; (2) the replacement cost of the item as of the start of Chipman’s services; or (3) the value declared for the item.
Valuation Protection requires Customer to declare in writing, prior to the commencement of Chipman’s services, one hundred percent (100%) of the replacement value of all items to be serviced by Chipman during the project.
Any and all claims for items lost, damaged or destroyed is limited to items that were actually in Chipman’s care, control and/or custody during the project. All claims must be filed in writing by Customer within 10-days of completion of services. Under no circumstances will the amount of a claim be withheld or short paid from any balance due reflected on the invoice(s). Full payment of all charges due Chipman be a condition precedent of Customer’s right to file any claim. Customer shall not offset or deducted damaged expense and repairs caused by third parties from Chipman invoices.
Payment Terms
Absent credit approval by Chipman, a 50% payment (of the Total Estimated Cost) is required prior to the commencement of service by Chipman. Payment of the balance is due upon completion of the Project. Chipman accepts the following forms of payment: credit card, check, or wire transfer.

Projects performed in phases or more lasting longer than two (2) weeks, will be progressively invoiced by Chipman. A 1.5% per month interest charge will be added to all invoices beyond thirty (30) days or past due. 12 Chipman Relocation & Logistics | chipmanrelo.com
FORCE MAJEURE
Customer and Chipman shall be excused in the performance of any aspect of this Proposal to the extent prevented from doing so by reason of fire, flood, earthquake or other act of God, explosion or other casualty, accident, , war or other violence, or any other act or condition beyond the reasonable control of the party claiming the right to delay such performance, provided, however, that (a) the suspension of performance shall be of no greater scope and of no longer duration than is necessarily caused by the Force Majeure and required by any remedial measures, (b) no obligations of any party that arose before the occurrence of such causes shall be excused as the result of the occurrence, and (c) each party shall use commercially reasonable efforts to remedy its inability to perform.
Jurisdiction and Venue
The terms and conditions shall be construed in accordance with the laws of the state of California. The parties agree that the appropriate state and federal courts situated in the Contra Costa County, California shall be the exclusive forums for any legal controversy arising in connection with the terms and conditions. The parties hereby irrevocably and unconditionally consent to the exclusive jurisdiction of such courts for such purposes. Should any dispute arise out of or relate to this Agreement, the prevailing party shall be entitled to reimbursement by the other party of all attorney’s fees, costs incurred, inclusive of those fees, and costs incurred on any appeal. Any notice required or permitted hereunder shall be sent registered or certified mail, or by reputable national overnight courier, with delivery evidenced by written confirmation, to the Customer’s address set forth above.
SIGNATURE OF APPROVAL
By signing, I declare my intent to engage the services of Chipman Relocation & Logistics as outlined in this proposal. I have read and understand the scope of work, pricing, valuation coverage amount, and term/conditions. The undersigned is fully authorized to represent the Client and agrees to comply with and abide by the terms of this agreement.
