Attention: Lisa Kim, City Manager
With a copy to: Omar Sandoval, Garden Grove City Attorney and Chief Amir El-Farra Re: Notice of Termination – Professional Services Agreement for Mobile Crisis Response Program
Dear Ms. Lisa Kim and Omar Sandoval, Esq.,
This letter serves as formal written notice of termination of the Professional Services Agreement for the Mobile Crisis Response Program between the City of Garden Grove and Mind OC / Be Well OC, originally effective May 25, 2021, as amended, including the Second Amendment extending the term through June 30, 2026.

Following a careful review of Be Well OC’s organizational finances and long-term operational sustainability, we have determined that financial constraints make it no longer feasible for us to continue operating the Mobile Response Team under the current service model. This determination is based solely on internal financial considerations and is not related to the City of Garden Grove, the quality of the program, or our partnership in any way.

Accordingly, and pursuant to the termination and notice provisions of the Agreement, Be Well OC / Mind OC hereby provides notice that the Agreement will terminate effective June 30, 2026, which shall be the last day services will be provided under the contract.

We are sincerely grateful for our many years of collaboration with the City of Garden Grove and deeply value the opportunity we have shared to deliver meaningful, positive impact for the Garden Grove community. Be Well OC will continue to work collaboratively with City representatives through the effective termination date to support an orderly transition, including coordinated wind-down activities and communication planning, to minimize any disruption to community services.

Be Well OC / Mind OC will continue to perform services in good faith through June 30, 2026, and will fulfill all applicable close-out requirements under the Agreement, including final reporting and invoicing for services rendered through the termination date. Nothing in this notice is intended to waive any rights or obligations of either party under the Agreement, including provisions that expressly survive termination.

We appreciate the partnership with the City of Garden Grove and the shared commitment to compassionate, community-based behavioral health response. Please confirm receipt of this notice.

We will work closely with your team to coordinate transition planning as needed.

Sincerely,

Phillip Franks
Chief Executive Officer
Be Well OC / Mind OC
