Report: Alex Theatre Update
1. Note and File 12-Month Alex Theatre Update and Provide Direction regarding Utilization of City Days at the Theatre
COUNCIL ACTION
Item Type: Report Only
Approved for November 29, 2022 calendar
EXECUTIVE SUMMARY
In November 2021, SAS Entertainment assumed management of the Alex Theatre. While their formal Management Agreement was not executed until June 2022, SAS began operations immediately following the departure of the former manager, and have undergone a year of transition. This relationship between the City and this Theatre Operator is different in many ways from the relationship with the former manager, but the transition since SAS began management of the Theatre has been seamless to the community, and embodies the changes and improvements Council sought with a new operator. This report is an update on the Theatre’s activities over the last twelve months. 3 of 21

RECOMMENDATION
City Council note and file this update and provide direction on use of the twelve annual City/Community days.
BACKGROUND
In 2020, the City Council issued a Request for Proposals to identify an operator for the Alex Theatre that could attain the Council’s three stated goals of financial stability for the Theatre; accessibility to community groups while serving as a cultural hub; and to attract top quality entertainment clients, events, and performances with great frequency which will be an economic catalyst for the downtown. Following a national search, three proposers were presented to the Council and SAS Entertainment was selected for further negotiations. While negotiations were ongoing, a 6-month interim management agreement was initiated, during which time SAS demonstrated their aptitude for success as the new operator of the Alex Theatre. With a succinct plan for capital improvements and enhancements to the Theatre, and a Facility Fee fund which would offset the investment by the City, SAS met the goals set by the Council, and their 10-year agreement was approved by the Council in April 2022.
ANALYSIS
SAS Entertainment is delivering on the three stated Council priorities of (1) financial stability for the Theatre, (2) accessibility to community groups while serving as a cultural hub, and to (3) attract top quality entertainment clients, events, and performances with great frequency which will be an economic catalyst for the downtown.
Financial Stability:
•Over the last 12 months, SAS has hosted 15 sold out shows. As SAS built in a Facility Fee return to the City of Glendale, increased audience capacity is key for capturing and offsetting the investments the City makes in the Theatre. •With this Management Agreement, the responsibility for the venue as an asset was transferred from the operator to the City of Glendale. Public Works Department has taken on the maintenance responsibility for all systems within the Theatre, while the day to day maintenance is completed by SAS. There was significant deferred maintenance of some of the Theatre systems, including the HVAC and plumbing, in some areas already requiring full replacements. SAS helped identify key areas of deferred maintenance to address immediately or budget for improvements over a multi-year timeline. This type of proactive planning and regular inspection will prevent costly emergency repairs in the future. These improvements were within the contract amendments Council approved with the Management Agreement.
•The equipment within the Theatre was previously owned by the operator. As the intention of the Theatre is to operate as a theatre, regardless of the operator, it 4 of 21
31 3
7 4
2 was determined the physical assets within the venue should be owned by the City of Glendale in the event of another transition of managers. SAS developed a 10- year technology and venue upgrade plan to bring the Theatre into industry standards and worked with the City to complete the acquisition and installation of a new audio mixing board, piano, audio equipment, and digital projection system.
These improvements were within the Council approved budget with the Management Agreement and were thoughtfully planned out to improve the Theatre’s marketability.
Accessibility to Community Groups / Serving as a Cultural Hub:
•The first booking made by SAS was for an Armenian language film, with a sold out screening. In the process of putting on this event, SAS formed a new relationship with the well-known Armenian ticketing company Ticket-Micket and continues to work with them to reach Armenian-interest audiences.
•In an effort to meet industry standards and increase visibility, SAS moved the Theatre’s ticketing system to Ticketmaster. Ticketmaster is an exclusive partner, but based on an understanding of the community’s interests, SAS negotiated a special accommodation for Armenian shows allowing direct ticketing through Ticket-Micket or Its My Seat, as these outlets are integrated with the Armenian community. This accommodation is very rare for Ticketmaster to allow. •In November, SAS hosted a benefit for Armenian Soldiers, and extended a 50% discount for the cause. They continue to honor a 50% discount for all benefit events for the war in Artsakh and Armenia, and also offer flexibility beyond the terms of the contract including offering rescheduling with no extra charges based on mandates by the Armenian government to halt entertainment during escalated conflict.
•The Armenian Revolutionary Federation held its anniversary event at the Alex, receiving a 50% discount, and have booked their next engagement for the spring. •During the transition of managers, Gay Men’s Chorus, a long standing resident company, left the Alex Theatre due to the uncertainty and inability to place their shows on sale. They have since returned to the Theatre and currently have two shows on sale.
•The community based Glendale Youth Orchestra has continued to have their concerts at the Alex and have received a deeper discount than previous seasons. •The Alex was the leading sponsor for the City’s annual Cruise Night, and presented a trophy and custom “Alex” Fender electric guitar to the selected car winner.
Attracting Top Quality Entertainment:
•Upgrades to the technical area were the first course of action for SAS, understanding without a technical area that met industry standards, attracting top quality entertainment would be impossible. This included re-routing over 200 signal wires from the balcony to the orchestra level. Since this has been accomplished, the Theatre has received compliments for each show, demonstrating the expert perspective that SAS has brought to the Alex and creating an immediate positive effect in re-aligning the Theatre with industry norms.
5 of 21
41 3
7 4
2 •Ticketing contract was signed with Ticketmaster - another industry norm brought into the Alex in order to expose the venue to the larger LA performing arts industry. •The Alex is undergoing new branding to reposition the Theatre. The brand mark is the most distinctive brand asset. Confident, bold and distinctive, it serves as the key point of consistency across all branded materials.
City Use of Theatre
As part of the Management Agreement, SAS agreed to provide the City with 12 days of Theatre use, free of facility rental charge, with the City covering any labor, box office services, and equipment rental necessary to operate the venue. Staff is seeking direction from Council on how these dates should be reserved and utilized. “4.2 (b) City shall have the right to use the Theatre rent free for twelve public event days; provided however, city shall provide Manager with at least thirty days’ notice of such public events, and City acknowledges that booking of public events shall be subject to Manager’s previously booked events. In addition, City agrees to reimburse manager for any labor, box office services, and equipment rental necessary for public events at published rates.”
Staff recommends the Manager provide in writing any requests received by the community for use of these dates, and as it pertains to the lease terms, the items be brought to Council for consideration by the Council for City Sponsorship. City events proposed at the Alex will also be brought forward for Council consideration.

EXECUTIVE SUMMARY
The Homenetmen Glendale "Ararat" Chapter has submitted a request to the City of Glendale to have the intersection of South Brand Blvd and Colorado Street named as “Homenetmen Ararat Square” in honor of its long-standing presence and impact in the Glendale community. Also, at a recent City Council meeting, Mayor Kassakhian requested consideration of naming the intersection of Broadway and Isabel Street as “Sadao Munemori Square” in honor of Glendale-born Sadao Munemori, the first and only Japanese American to be awarded the Medal of Honor in 1946. The City of Glendale has not established a process for naming intersections, nor has City Council ever directed such a naming in the past.

RECOMMENDATION
That Council provide direction on a request received by the Homenetmen Glendale “Ararat” Chapter to name the intersection of South Brand Boulevard and Colorado Street as “Homenetmen Ararat Square," along with a request by Mayor Kassakhian to name the intersection of Broadway and Isabel Street as "Sadao Munemori Square."
BACKGROUND
This report contains information regarding two requests received for naming an intersection/square within the City of Glendale.
Homenetmen Ararat Square
Homenetmen Glendale "Ararat" Chapter has submitted a request to the City of Glendale to have the intersection of South Brand Blvd and Colorado Street named as “Homenetmen Ararat Square.” Homenetmen, also referred to as the Armenian General Athletic Union and Scouts, is a non-profit organization founded in 1918 to provide Armenian American youth with moral, physical, and social education. Homenetmen provides family-oriented scouting, athletic, cultural, educational and community- volunteer programs. Homenetmen is a worldwide organization with 90 chapters and 25,000 members on five continents.
Homenetmen’s Glendale “Ararat” Chapter is the largest chapter in the United States, with nearly 2,300 members. Established with only seven volunteer members in 1978, it experienced tremendous growth during the 1980s. To date, the Glendale “Ararat” Chapter has provided services to well over 10,000 children, young adults, and seniors.
The organization’s priority is provision of healthy programs for teenagers and young adults through organized and supervised after school and weekend activities in a family- oriented environment. This is imparted through volunteerism, community and cultural values, citizenship, teamwork, and leadership training, while working to keep strong negative influences such as drugs, gangs, and crime, at bay. The Homenetmen Glendale "Ararat" Chapter Executive Board has chosen this intersection as it is a prominent intersection in the City.
Sadao Munemori Square
Mayor Kassakhian requested to name the intersection of Broadway and Isabel Street as “Sadao Munemori Square.” Sadao Munemori was a dedicated Army soldier that sacrificed his life in 1945 serving in World War II. The United States recognized Munemori's heroic actions to save his fellow soldiers in Seravezza, Italy, allowing his company to successfully advance the Gothic Line. Munemori became the first and only Japanese American to be awarded the Medal of Honor in 1946.
A second-generation Japanese American, Menumori was born and raised in Glendale, California. He attended Fletcher Drive Elementary School just south of the Glendale 12 of 21

1 border, and graduated from Lincoln High School in 1940. With hopes to become an auto mechanic, Munemori entered Wiggins Trade School, but with the war underway, Munemori decided to enlist in the US Army in 1941.
Following the Japanese attack on Pearl Harbor at the end of 1941, thousands of Japanese Americans, including Munemori's family, were forced to the Manzanar Japanese internment camp in California's Sierra Mountains. Munemori was selected for Military Intelligence Service language school in 1942, but soon left to join the segregated Japanese American 442nd Regimental Combat Team. He visited his family for the last time in Manzanar before beginning his first combat tour in 1944. He successfully fought in Italy and France before returning to Italy for his final battle. On April 5, 1945, many – including Munemori's squad leader – were injured on the Gothic Line. Munemori stepped in to lead his Batallion and cleared the path for his company's triumphant advance. At the cost of his own life, Private First Class Munemori's act of heroism saved two of his men and aided the United States’ ultimate victory.
ANALYSIS
The City of Glendale does not have an established process in place for naming intersections, nor has City Council ever directed such a naming in the past.
Earlier this year, City Council adopted a Public Monument & Memorial Plaque Policy, which establishes the criteria and process for the placement of monuments and memorial plaques sponsored by individuals and/or groups on City property. The policy indicates that monuments dedicated to an individual could be considered for a person who has made a significant contribution to the City of Glendale, and has been deceased for at least five years. The policy also established the criteria and process for the placement of memorial plaques sponsored by individuals and/or groups on benches and picnic tables in City parks. Proposed honorees must be deceased, and should be recognized for some contribution to the community.
The City of Los Angeles has several squares named after individuals and groups, but they do not have a policy in place that guides this process. Councilmembers bring such requests within their districts to the City Council for their consideration and approval.
Examples of signs used by the City of Los Angeles are included as Exhibit 1.

FISCAL IMPACT
Should City Council provide direction to name the intersection, staff would need to design, manufacture, and install signs at the intersection. One sign similar in size and design to the signs used by the City of Los Angeles (see Exhibit 1) in naming intersections/squares would be approximately $150. Should signs be approved, staff recommends the installation of at least two signs, but Council may direct staff to install up to four signs. Should Council direct staff to install these signs, staff recommends an 13 of 21
42 3
8 0
1 amount-not-to-exceed $1,000 for manufacturing and installation at each intersection, bringing the total for both intersections to $2,000. The Public Works Department budget can absorb this cost, and therefore no new appropriation is being requested at this time.
The funding is outlined below:
Existing Appropriation
Amount Account String Funding Source
$2,000 45350-1010-PWD-7517-P0000 General Fund
ENVIRONMENTAL REVIEW (CEQA/NEPA)
The proposed naming of the intersections and installation of signs on the existing traffic signal poles are exempt from the California Environmental Quality Act (CEQA) review as a Class 1 Existing Facilities project for the operation, repair, maintenance, or minor alteration of existing facilities pursuant to the California Code of Regulations, Title 14, Section 15301.
CAMPAIGN DISCLOSURE
This item is exempt from campaign disclosure requirements.
ALTERNATIVES
Alternative 1: Adopt both resolutions to name the intersection of South Brand Boulevard and Colorado Street “Homenetmen Ararat Square,” and to name the intersection of Broadway and Isabel Street “Sadao Munemori Square;” and direct staff to manufacture and install two signs at each intersection on existing traffic signal poles.
Alternative 2: Adopt one of the two requested resolutions to name an intersection, and direct staff to manufacture and install two signs at the intersection on existing traffic signal poles.
Alternative 3: Hold off on both requests, and ask for staff to return with a square naming policy for consideration and adoption prior to approving such requests.
Alternative 4: Council may consider any other alternative not proposed by staff.
