RESOLUTION OF THE COUNCIL OF THE CITY OF GLENDALE, CALIFORNIA
AUTHORIZING THE CITY MANAGER OR DESIGNEE TO EXECUTE THE
JOINT POWERS AGREEMENT FOR THE CITY OF GLENDALE TO JOIN
PUBLIC RISK INNOVATION, SOLUTIONS, AND MANAGEMENT (PRISM)
AND TO EXECUTE A MEMORANDUM OF UNDERSTANDING TO JOIN
PRISM’S GENERAL LIABILITY PROGRAM 2
WHEREAS, Article 1, Chapter 5, Division 7, Title 1 of the California Government Code (Section 6500 et seq.) permits two or more public agencies by agreement to exercise jointly powers common to the contracting parties; and WHEREAS, the City of Glendale desires to join together with the members of the Public Risk Innovation, Solutions, and Management (PRISM) Joint Powers Authority for the purpose of jointly funding and/or establishing excess and other insurance programs as determined; and
WHEREAS, PRISM has determined that it is necessary for each member of PRISM to delegate to a person{s] or position[s] the authority to act on the member's behalf in matters relating to the member and PRISM; and WHEREAS, the Council of the City of Glendale has determined it is in the City’s best interest to join PRISM’s General Liability Program 2.
NOW, THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY OF GLENDALE, CALIFORNIA THAT:
1. The Council does hereby approve becoming a member of the Public Risk Innovation, Solutions, and Management (PRISM) Joint Powers Authority and authorizes the City Manager or his designee to execute the PRISM Joint Powers Agreement; and
2. Except as to actions that must be approved by the Council, the City Attorney or his or her designee is hereby appointed to act in all matters relating to the City of Glendale, as a member, and PRISM; and
3. The Council authorizes the City Manager or his designee to enter Memorandums of Understanding with PRISM with fespect to PRISM’s General Liability Program 2.

Council Member Asatryan , that the Council authorizes the annual renewal of excess insurance policies for the City’s property, general liability, workers’ compensation, cyber liability, employment practices and other miscellaneous coverages for the 2023-24 fiscal year, as outlined in the Report to Council dated June 27, 2023. The total amount of premiums authorized by this motion shall not exceed $7 451,812.97.

A RESOLUTION OF THE COUNCIL OF THE CITY OF GLENDALE
DISPENSING WITH COMPETITIVE BIDDING AND AUTHORIZING THE
CITY MANAGER OR HIS DESIGNEE TO EXECUTE AN AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT #C105715A WITH MODERN
PARKING, INC.; EXTENDING THE PROFESSIONAL SERVICES
AGREEMENT FOR ONE YEAR; AND INCREASING THE AMOUNT BY
$2,869,524 FOR PARKING MANAGEMENT SERVICES FOR FOUR
DOWNTOWN GLENDALE PARKING FACILITIES
WHEREAS, on July 30, 2009, following a request for proposals process, the City Council awarded a three-year contract to Modern Parking, Inc. for parking management services for four downtown Glendale parking facilities; and
WHEREAS, on February 11, 2014, the City Council authorized the City Manager to dispense with competitive bidding and execute a five-year extension, with two, one-year extension options with Modern Parking, Inc.; and WHEREAS, on June 15, 2021, the City Council authorized the City Manager to dispense with competitive bidding and execute an additional two-year professional services agreement extension due to impacts of the Covid-19 pandemic and the uncertainty on the maintenance and operational impacts on parking management services at the time; and
WHEREAS, with more certainty of the required parking management services still needed, staff recently started preparing an updated Request for Proposal (RFP) for these services; and
. WHEREAS, staff determined that additional time would be required past the expiration of the current professional services agreement to complete preparation of the RFP comprehensively incorporating existing parking conditions, fully advertise the RFP industry-wide and conduct a thorough RFP process; and
WHEREAS, on April 26, 2023, the City submitted a revised scope of services to Modern Parking, Inc. including several changes and improvements, including operational changes adopted during the Covid-19 pandemic, as well as improvements recommended by Internal Audit, and requested pricing for one additional year; and
WHEREAS, In response Modern Parking, Inc. submitted to the City pricing the staff has determined to be fair and commensurate with the revised scope of {

work; and
WHEREAS, Glendale Charter Art. VI Section 9 provides an exception to competitive bidding where City Council determines that it is in the best interest of the City to dispense with competitive bidding; and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GLENDALE:
1. The foregoing facts are deemed to be true and correct and area basis for dispensing with competitive bidding and authorizing the execution of an amendment to contract #C105715A with Modern Parking, Inc., and that the City Council finds that it is the City's best interest for a contract amendment.
2. The City Council hereby:
A. Dispenses with competitive bidding;
B. Authorizes the City Manager or his designee to execute an amendment to the contract # C105715A with Modern Parking, Inc. for parking management services for four downtown
Glendale parking facilities, increasing the contract amount by $2,869,524, and extending the contract duration one-year to June 30, 2024.
