7 RESOLUTION NO. _____________

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF GLENDALE, CALIFORNIA, DISPENSING WITH COMPETITIVE BIDDING; AND AUTHORIZING

THE CITY MANAGER OR A DESIGNEE TO AMEND THE FIVE-YEAR
PROFESSIONAL SERVICES AGREEMENTS WITH YAMADA ENTERPRISES, INC., MARGARET C. PETT, INC., DBA INFO-COM BUSINESS PRODUCTS, AND

CATALYST OFFICE FOR AS-NEEDED CONSULTATION, DESIGN,

PROCUREMENT, AND INSTALLATION OF FURNITURE SYSTEMS CITY-WIDE EXTENDING THE AGREEMENTS BY TWO YEARS TO DECEMBER 31, 2025.

WHEREAS, over the past 15-years, the City has standardized nearly all office furnishings to specific manufacturers: Steelcase, Trendway, and specialty furniture specific to Libraries; and
WHEREAS, following a Request for Proposals/Request for Qualifications process the City Council on December 18, 2018, issued Resolution No. 18-231 to dispense with competitive bidding and award three five-year professional services agreements to Yamada, Info-Com, and Catalyst for a cumulative total of $2,750,000.

WHEREAS, Yamada, Info-Com Business, and Catalyst are regional representatives for the furniture systems manufacturers that are compatible with the City’s existing furniture-- Steelcase (Catalyst) or Trendway (info-Com), and Yamada remains the local representative for specialty furniture specific to Libraries; and

WHEREAS, the contracts to all three vendors expired January 1, 2024 with significant remaining financial capacity due to the Covid-19 pandemic; and WHEREAS, Yamada, Info-Com Business, and Catalyst ("the three vendors") have provided satisfactory services throughout the term of the contracts, and WHEREAS, performing a new Request for Proposals/Request for Qualifications process at this time will delay needed furniture procurements and is unlikely to result in savings or new vendors; and
WHEREAS, Glendale City Charter, Article VI, Sec. 9 provides an exemption to competitive bidding where the Council determines it is in the best interest of the city to dispense with competitive bidding; and
WHEREAS, given the need for continuing furniture procurement and installation, adequate justification exists and it is in the City's best interest upon recommendation of the Director of Public Works to dispense with competitive bidding and to authorize the 1 0

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF GLENDALE:

1. The foregoing facts are deemed to be true and correct, and a basis for dispensing with competitive bidding and authorizing the execution of extensions to professional services agreements with each one of the three vendors.

2. The Council hereby:

A. Dispenses with competitive bidding; and
B. Authorizes the City Manager, or a designee, to amend the five-year Professional Services Agreements with Yamada Enterprises, Inc.; Margaret C.
