AMENDMENT NO. 1
Professional Services Agreement Between
the City of Glendale and North American Security and Investigations (NASI) Inc.
This Amendment No. 1 to the North American Security and Investigations Professional Services Agreement, City of Glendale Contract No. 8002241 ("Agreement") is made May 20, 2025, between the North American Security and Investigations Inc. ("CONSULTANT"), and the City of Glendale, a California Municipal Corporation ("CITY").
RECITALS
WHEREAS CITY and CONSULTANT entered into a contract on August 1, 2023, to provide background investigation services for Fire Department candidate employment; WHEREAS CITY wishes to extend the term of this agreement until July 31, 2027; WHEREAS CITY wishes to increase the Agreement amount to support additional candidate backgrounds through the end of contract on July 31, 2027; NOW, THEREFORE, the parties hereto mutually agree as follows:
1. The parties hereby amend the term of this agreement from August 1, 2023 through July 31, 2027.
2. The parties hereby amend this Agreement to increase the total not-to-exceed amount by Fifteen Thousand dollars ($15,000) commencing May 20, 2025, through July 31, 2025.
3. The parties hereby amend this Agreement to increase the not-to-exceed contract amount by Two Hundred and Thirty-Seven Thousand dollars ($237,000) over the term extension.
4. CONSULTANT shall provide the services in accordance with Scope of Work (“the Services”) outlined in the original Agreement inclusive of psychological and polygraph services.
5. Except as stated above, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect.
Digital Signatures. A signed copy of the Agreement or any amendment thereto bearing a digital signature, shall be deemed to have the same legal effect as delivery of an original executed copy of the Agreement or such amendment thereto for all purposes, and each digital signature should be given the same legal force and effect as a handwritten signature.
IN WITNESS WHEREOF, CITY and North American Security and Investigations Inc. have caused this Amendment No. 1 to the herein referenced Service Agreement, to be executed by their duly authorized representatives on the date(s) set forth below.
