EXECUTIVE SUMMARY
Los Angeles Armenian Folk Instrument Orchestra is requesting use of one of the City’s 12 annual rent-free dates at the Alex Theatre to host the first Armenian Folk Music Awards on September 25, 2025. 6 RECOMMENDATION
Provide direction for utilization of one rent-free date at the Alex Theatre.
ANALYSIS
As part of the Management Agreement, Evnsong (formerly SAS) agreed to provide the City with 12 annual days of Theatre use, free of facility rental charge. In addition to events hosted by the City, the City may sponsor community groups, who meet the minimum criteria and receive City Council approval, by providing them use of one of these 12 dates. The facility rental fee is waived by the Theatre for these groups, but all other costs associated with the use of the Theatre are to be paid for by the group requesting the sponsorship.
This is the seventh request received by the City from a community group for the 2025 calendar year. Community Groups which have received a City day:
1. Los Angeles Youth Orchestra (May 31, 2025) *approved
2. Ofelya Hambardzumyan’s 100-Year Anniversary with artist Gevorg Chakmanyan (April 3, 2025) *approved
3. Wild Honey (May 24, 2025) *approved
4. Center for Armenian Arts Benefit Concert (April 30, 2025) *approved
5. Sister Cities Event (March 6, 2025) *approved
6. Horizon TV concert to celebrate Armenian Independence Day (May 29, 2025) *approved
7. Armenian Fairytales (December 2025) *approved
8. Armenia Fund (May 16, 2025) * approved
9. Armenian Folk Music Awards *current request
Staff and the Alex anticipate the City will use the Theatre for reoccurring events and are cognizant not to bring forward community events which would surpass the number of allocated dates considering these anticipated date uses. The Council may direct staff to set aside additional dates for anticipated events in addition to the three below:
1. Armenian Genocide Commemoration Event
2. Glendale Tech Week
3. Women’s Equity Day
The Los Angeles Armenian Folk Instrument Orchestra was created a year and a half ago with the goal of preserving national harmony in the community. The group consists of 20 high-quality professional musicians and 10 singers. On September 25, 2025, they would like to organize the first Armenian Folk Music Awards with the goal of presenting Armenian national songs and introducing new singers to the community. This ensemble has presented three concerts, one of which was at the Alex Theatre last year. 4 of 39

COUNCIL ACTION
Item Type: Action Item
Approved for June 3, 2025 calendar
EXECUTIVE SUMMARY
The Alex Theatre is engaged in a 10-year Capital Improvement Project to bring the Theatre’s appearance, amenities, and audio/visual equipment to the industry standards.
The current major upgrades are requested to be done through three single sources in lieu of the regular bidding process, as recent tariffs have imposed a significant cost increase and time delay to the proposed project. Local vendors have been identified that have these items already in stock, preventing the increase in cost and time delay.
RECOMMENDATION
That the City Council approve the three resolutions to allow staff to pursue these three single source contracts.
ANALYSIS

In 2022, the City Council approved the contract with Evnsong (formerly SAS Entertainment), with a capital improvement schedule intended to modernize the Theatre and bring the operations up to industry standards. This 10-year project to improve the Theatre’s appearance, amenities, and audio/visual equipment has been underway for three years, with more upgrades still required. These upgrades and purchases are budgeted annually and have occurred through the City’s regular procurement process.
This report outlines a major upgrade to Theatre equipment – bringing in a LED video wall, a rigging system to hold the LED video wall and new lighting, and LED lighting which is compatible with the broadcast quality multi-camera video system purchased in 2025. Staff is requesting the acquisition and installation of the new equipment be from three single source vendors because of the variety of compatible components needed to be delivered, installed and integrated at one time. Because of the intricacy of the equipment, this upgrade requires expert vendors to coordinate the specifications of all the pieces to ensure proper functionality and connectivity. Additionally, by utilizing the three single source vendors for these items, the City is able to procure items currently locally available in lieu of bidding out items, which would otherwise be subject to new tariffs from China. Utilizing local vendors with items in stock also provides a guarantee that the equipment being delivered and ready for use within 30 days. Some supply chain issues with previous procurements have led to waits as long as 12 months.
The Rigging (Killswitch) and LED wall (Meridian) are replacing equipment that Evnsong has been renting. Evnsong has been informed by the rental vendors that this equipment will no longer be available after this summer. As these systems have become integrated into the Theatre’s operations, they need to be replaced with the purchases at this time.
The new Lighting equipment (Volt) is the only vendor with the specific makes and models compatible with the current lighting and video system at the Alex. Without this equipment the newly installed camera system cannot be used effectively.
Killswitch Inc. - This rigging contract includes the engineering, installation, and upkeep of two separate rigging systems. The first will hang the new LED wall above the stage.
The current rental wall is rigged with rental rigging - so as the new wall comes in, it will need to be replaced with owned equipment. The second rigging installation is to for the new LED lighting, which is necessary for compatibility with the camera equipment. The total for this project is $83,525.
Volt Lighting - These lights represent the first of two lighting upgrades needed and included in the CIP plan. These LED lights will replace the antiquated incandescent lights. The total for this project is $148,560.
Meridian - The LED video wall was also included within the CIP plan for the Theatre and this contract requires local design and installation. The total for this project is $134,500.

KILLSWITCH’s outside attorney’s current rate is $700 per hour billed in quarter hour increments. Such rate is subject to increase if such outside counsel increases its hourly rates charged to KILLSWITCH.
Title to all Sale Equipment shall transfer to the CLIENT upon timely receipt of payment in full by KILLSWITCH. Until such time as KILLSWITCH has timely received payment in full, KILLSWITCH shall retain ownership of the Sale Equipment, and all components therewith.

29. General: This Agreement (including any and all schedules and exhibits attached hereto) constitutes the entire agreement of the parties relating to the subject matter hereof, supersedes all prior written and oral agreements and understandings relating to such subject matter and cannot be modified or amended except by a written instrument executed by the parties hereto. Each of the parties hereto and each person executing this Agreement on behalf of each party to the Agreement represents that he/she/it has the power and authority to do so. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original and all of which shall constitute one and the same Agreement. This Agreement supersedes and replaces all prior understandings and communications (oral or written) concerning the subject matter thereof. In the event of an ambiguity in or dispute regarding the interpretation of this Agreement, interpretation shall not be resolved by any rule providing for interpretation against the party who causes the uncertainty to exist or against the drafting party. CITY OF GLENDALE, CALIFORNIA
REPORT TO THE GLENDALE CITY COUNCIL
AGENDA ITEM
Report: Tax Equity and Fiscal Responsibility Act Public Hearing for California Municipal Finance Authority Proposed Issuance of Approximately $60 Million in Tax Exempt Revenue Bonds in Support of Gateways Hospital and Mental Health Center. (1) Resolution of the City Council of the City of Glendale Approving the Issuance of Approximately $60 Million Tax Exempt Revenue Bond Obligations in Support of Gateways Hospital and Mental Health Center and Certain Other Matters Relating Thereto by the California Municipal Finance Authority (CMFA).
COUNCIL ACTION
Item Type: Public Hearing
Approved for June 3, 2025 calendar
EXECUTIVE SUMMARY
Gateways Hospital and Mental Health Center (Gateways), a non-profit organization located in Echo Park and with facilities in Glendale, has applied for the issuance of approximately $60 million in revenue bonds by the California Municipal Finance Authority (CMFA).
Gateways recently acquired several properties at and around the former Glendale College of Law at 220 N. Glendale Avenue (see attached plat map – Exhibit A) with a short-term loan and cash with taxable financing in order to secure these properties in a competitive real estate environment. They are looking to refinance these properties with a tax-exempt financing to achieve a better interest rate and acquire two additional properties. Eventually Gateways will remodel and upgrade all of these properties to meet their needs through separate tax-exempt financing.
Specifically, Gateways will use the funding to:
(a) refinance an existing bank loan, a portion of the proceeds of which were used to:
(i) finance the acquisition of the building located at 220 North Glendale Avenue, to be used as forensic conditional release outpatient program and general administration facility (the “Law School Building”),

(ii) finance the acquisition of four residential cottages located at 215-217 North Everett Street, 223-225 North Everett Street, 231-231A North Everett Street and 233-235 North Everett Street in Glendale, California, to be used as Statewide Transitional Residential Program Services facilities, and (iii) finance the acquisition of a building located at 234-236 North Glendale Avenue, to be used as rental property (currently leased by two commercial tenants: 234 by ITT Insurance Services and 236 by H & H Book Services), and
(c) finance the acquisition of two additional residential cottages located at 227 North Everett Street and 219-221 North Everett Street in Glendale, California, to be used as Statewide Transitional Residential Program Services facilities (collectively the “Projects”).
In order to issue revenue bonds utilized within city limits, the City Council has been requested to conduct a Tax Equity and Fiscal Responsibility Act hearing on behalf of Gateways (Borrower) and CMFA. Section 147 (f) of the Internal Revenue Code of 1986 requires that the local elected public body conduct a public hearing related to the proposed issuance of revenue bonds and that the public be provided an opportunity to present arguments both for and against the issuance of these bonds by CMFA.
RECOMMENDATION
That the City Council conduct a Tax Equity and Fiscal Responsibility Act (TEFRA) hearing and approve the issuance of up to approximately $60 million in Tax Exempt Revenue Bonds in order to refinance the acquisition of the properties which are owned and operated by the Borrower and to acquire two additional parcels.
ANALYSIS
Gateways Hospital and Mental Health Center, a non-profit organization located in Echo Park, has been serving the Greater Los Angeles area since 1953. Their qualified healthcare professionals treat all mental health conditions and provide services for children, adolescents, transitional aged youth and adults. They pride themselves on offering quality mental health treatment to all individuals in need, regardless of their ability to pay.
The Borrower has applied for the issuance of approximately $60 million in revenue bonds by CMFA in order to refinance the acquisition of the properties which are owned and operated by the Borrower and to acquire two additional parcels.
In order to issue revenue bonds which will be utilized within Glendale, the City of Glendale has been requested to conduct a TEFRA hearing on behalf of the Borrower and CMFA.
Section 147 (f) of the Internal Revenue Code of 1986 requires that the local elected public body conduct a public hearing related to the proposed issuance of revenue bonds and that the public be provided an opportunity to present arguments both for and against the issuance of these bonds by CMFA. The City Council has previously conducted TEFRA hearings for City and other privately sponsored projects such as Glendale Adventist Medical Center, Maple Park, Casa de la Paloma, Park Paseo, and Ararat Homes. 33 of 39

The CMFA was created on January 1, 2004, to promote economic, cultural and community development, through the financing of economic development and charitable activities throughout California. To date, over 350 municipalities, including the City of Glendale, have become members of the CMFA. The CMFA is a public entity, separate and apart from each member. The debts, liabilities and obligations of the CMFA do not constitute debts, liabilities or obligations of the members.
The bonds to be issued by the CMFA for the proposed project will be the sole responsibility of the Borrower, and the City will have no financial, legal, moral obligation, liability or responsibility for the proposed project or the repayment of the bonds for the financing of the proposed project. All financing documents with respect to the issuance of the bonds will contain clear disclaimers that the bonds are not obligations of the City or the State of California but are to be paid for solely from funds provided by the borrower.
The City became a member of the CMFA in August 2012 and the City will in no way become exposed to any financial liability by reason of its membership in CMFA. In addition, participation by the City in CMFA will not impact the City’s appropriations limits and will not constitute any type of indebtedness by the City. Outside of holding the TEFRA hearing and adopting the required resolution, no other participation or activity of the City or the City Council with respect to the issuance of the bonds will be required.
There is no fiscal impact to the City of Glendale associated with this TEFRA hearing or with the issuance of tax-exempt revenue bonds by the CMFA. The bonds proposed to be issued will be the indebtedness of the Borrower, and the City will not be asked to approve or execute any of the documents relating to the financing. The bond proceeds will benefit the Borrower and will allow for the acquisition, refinancing and rehabilitation expenditures for the Projects.
